By starting the presentation of the results, I would like to highlight some events that marked the results of the group in this quarter. In July 3rd, 2023, it was concluded the acquisition of 100% of the social capital of the company, gas company of Espírito Santo ES Gás. Detainer of the concession to exploit the services of channel gas and further activities correlated to the state of Espírito Santo by paying BRL 1.438 million, considering the correction by the IPCA since the auction date, conform currently on the notice. ES Gás, we are advancing with our, the diversification strategy and growth in segments of energetic infrastructure. We are a energy company that's always growing and transforming in what today offers the market a complete ecosystem of energetic solutions, efficient, safe, innovative, and sustainable.

The search for better condition, better solutions and challenges which provide for the market. That's part of our strategy of our businesses. We believe in the convergence of the markets with the electric energy and natural gas. By acquiring gas distributors, we are totally aligned with the strategy to access new bases in all Brazil. We'd like to develop a gas market, a natural gas market, contributing to transition to a clean energy, would promote more energetic safety to the country in giving them innumerous benefits to the development, to the economical socio-development, to better convenience with the customers and better competitive with the industry, with the market. We are gonna be expanding the marketing. In all the services we're gonna make. Yes, with all the gas, we like the digitalization growth and the experience with the market.

To conclude this challenge, ES Gás will come with a new structure and experienced team on the sector, led by Fabio Bertollo, which assumed the presence of ES Gás in August 1, 2023, and will be in charge to develop and implement the new company, working with Synergy Holding Group in the search of extraordinary results. He works for more than 20 years in the company, with the Gas Natural company section. He has a large experience on this energy situation. Mr. Fernando Tupan, current Administrative Manager of Rondonia, promoted to Administrative Director of ES Gás for this integration period. He also will support the ES Gás team with his expertise by integrating post-acquisition, to accelerate its growth and make another good transformation in privatized shares. Going right now to the financial economical highlights with the second quarter, the EBITDA, adjusted recurring EBITDA, which excludes the composition of VNR, the Distribution Energy set, and EBITDA societary of the segment and regulatory, had a growth of 9.3% related to the same quarter last year. Totaling BRL 1.49 billion.

In the sequence, Mauricio will give me-- bring more details about the financial economic situation of the group. With our market, they have, like, some representative business, non-regulated. We reached 307 megawatts peak, with the generation distributed, with 79 power plants operating tenth of August fifth. Only in the last 6 months, it aggregated 100 megawatts peak capacity to the portfolio. This line of business is readily, like, getting bigger without our business with Energisa. We have, like, a fast growth process. This highlights, I give the word to Mauricio Botelho, our Relations Investors CS Director, to present the main results on the second quarter 2023.

Mauricio Botelho
Relations Investors CS Director, Enegisa

Thank you, Ricardo. Good afternoon, everyone. I appreciate the presence, and the showing of another earnings conference call of Energisa.

First, I would like to inform that, in results of the needs to represent the financial demonstrations, conform we showed in the fourth quarter last year, we're gonna represent as well, the results on the six months of 2022, to consider the effects of the representation of the first quarter 2022, showing the better comparison between the times. About the highlights consolidated each quarter, the EBITDA recurring has a growth of 9.3% and had a total of BRL 1.9 billion. The conventional EBITDA had a growth of 4.6% and reached a mark of BRL 1.77 billion in the quarter. This result was a reflection, mainly of the evolution of the transmission of Energisa, that had a relevant growth comparing between the quarters.

Besides the impact of the distribution of energy, that had a growth of 2.9%, and the consumption of energy, and the growth at the Parcela B, recurring to the revisions of EMC, Mato Grosso, Mato Grosso do Sul, and Sergipe, that had been included in April this year. The PMSO consolidated, the line presented an increment of approximately 13%, comparing between the quarters. The people and third party services were boosted by the acquisition of Gemini at the end of the second quarter, 2022, and the ramp up of the distributed generation by the portfolio, by the constructed power plants.

In the segment of distribution of energy, the growth on the operational expenses, happened in according to the allocation of the new distributors that we had, and these levels of service, defined by Resolution 1,000 by ANEEL, that had some benefits on this quarters. That bring, that help, like working between the before the raining process, by the maintenance and improving the quality of service. With a little bit more detail about the people section, we had a growth of more than 4.4 million BRL in salaries and payments, justified by the growth of the number of collaborators and the readjust that we had in 2022, around 10% of the readjustment.

Talk about third-party services, mainly in the distribution business, we had a growth of BRL 18 billion in the consulting services, BRL 24 million in expenses of tree cutting and cleaning the areas, maintenance and prevention, with all the section and between inspection as well. Despite the growth of PMSO in the last quarters, Energisa keeps working with discipline and the management of the operational costs, doing like the reallocations, like in a right way. Considering the PMSO historical, the last quarter, for example, we had a growth of 18.5%, really below the IPCA of 27.7% of the IGP-M, of 50.2%, received at the same time. The next slide, we present the PMSO per segment, where we can observe the highest concentration of the distribution according to the facts mentioned before earlier.

Energies are the costs increase is linked with the expansion of the energy. In this slide, we can show we can talk about the net income. The consolidated had a reduction of 33.2% related second quarter of 2022, and reached a markup of ... The net income adjusted, that like makes the discussion of the market options and bonus subscriptions, and the accountability of the NRR of distribution, such as the adjustment of regulatory results of the segment. They had like a decrease of 14.2%, reducing from BRL 200 million to BRL 343 million, comparing between the second quarter of 2022 and the second quarter of 2023.

This decrease can be explained by the result, by the financial net income that represented financial expenses of $504 million, 24% bigger than the second quarter of 2022. In fact, mainly by the increase of taxes in Brazil, that influenced the average cost of the debts, and by the increase of the values of the debt, according to the new captations of the group last year. Let's talk now about investments right now. We had a growth comparing between the quarters. In the segments of distribution generation, which follows a speed growth of 194% more than the second quarter, 2023.

The transmission segment presented a reduction of 12.8%, as a result of the entrance of the operation of Tocantins in Maranhão at the beginning of this year. In the distribution segment, we had a reduction of 4%, and it was a result of the reduction of the intense rhythm of investments, mainly in the, in the CGP, Mato Grosso and Mato Grosso do Sul, that went through the tariff tax revision in April 2023, in which remuneration bases closed in October 2002. By the end, second quarter 2022, we working with the construction of the solar complex in Rio do Peixe. We started operating September 2022, then had a reduction of 79% of the others aspect. Well, let's talk, talk about... The debt.

Despite the high level investments and the macro scenario, the challenge scenario, like net income, like taxes high, the group made a hookup of 2.9% of the debt income with the debt, just like the same pattern, same level reported in March 2023. The leveling levels of they work like control about 2, 4.25% of the liquid debt with the adjusted covenants. The income of the companies, we closed the quarter of BRL 8.9 billion, looking forward to BRL 7 billion in March 2023 as well. We hear the highlights of the consolidated financial of the period, now we're gonna be talking about the distribution.

In the second quarter of 2023, the energy consumption in the markets of Grupo Energisa, they presented growth of 2.9% related the same time last year, and advancing in all the nine distributors. We highlighted them North and North and Northeast, that presented a weather, hotter weather this year, and by the calendar, we had a growth in the consumption this time. The main highlights, they have in their, residential classes and industrial, and as well in the oil and gas. Foods and paper products as well. Falling out to the total losses of energy, of energy, the level reached 12.29%, 2,000 quarter 2,003, 0.84 percentile points below the regulatory level, keeping the company consistent below the reference in the last 24 months.

Besides this, we had a growth of 0.42 percentage points related to the total losses registered in the same amount of time last year. It's important to highlight that the nine distributors of the Grupo Energisa, they presented a reduction in the losses compared to the same amount of time last year, except for Mato Grosso, all the companies were below the regulatory level. It's important to mention that starting the tax reports in April 2023, by this indicator, the energy compensated by the units, micro and mini generation distributed, they start to be considered on the reconstitution of the technical losses, adding to the market of the distributors. In this slide, talk about DEC and FEC. We had a year excellent performance on the quarter.

A lot of distributors reaching the best results, historic results in DEC and FEC, highlighting them, Sergipe, Mato Grosso do Sul , South, Southeast, and Acre. Energisa keeps, like, getting good results with their discipline, allocating capitals with consistent improvements of quality of service, including the satisfaction of the customers. You can be checking the annual research of 2023 of Abradee, who classificated South Southeast in first and second places between the company's best, like, evaluated by the customers in Brazil. In the next slide, please. Talk about the, the defaults. We had, like, 1.15%, representing improvement 0.23 percentage points, related same amount of the last year. By financial terms, we got a reduction of $19.5 million between quarters, totally $97 million in the second quarter of 2023.

That's the best result since December 2029. The performance in the low attention classes, that's the biggest part of the group. They keep, like, working with the reduction of this default taxes. Next slide, please. Talk about transmission. In this cycle, we had as of moment, cycle of 23, 24, July 7, 2023, establishing a readjustment of 3.9%, reaching a, a rep of, on this cycle, 23, 24, of BRL 818 million, including, like, the, the revenue of optical fiber. Furthermore, we are focused on delivering the four projects as planned. In this slide, we can show the, the deadlines, the latest deadlines with the contracts with ANEEL, but it's like, it's customary to anticipate these deadlines. Talking about the Energisa.

The EBITDA of Energisa, which considers the sum of the individual results of the distributor generation, commercializer, and the aggregated value services, had a growth of 9.1% comparing to the second quarter of 2022, reaching a total of BRL 26 million in the quarter. The investments reached BRL 41 million, a growth of 185% comparing the second quarter of 2022 as well. In the generated distribution unit, the results shows the adding of new solar plants, totaling 79 plants with 370 watts peak capacity installed in August 10th, which 100 megawatt peak were added in the last 6 months. Is highlight highlight as well. The acceleration reflected in the great performance of selling performance.

On a single month, it was 39 megawatts peak in a single months, with an advance of 1,500% of the digital channels by the year. In the next slide. As we talked like previously about ES Gás, as Ricardo told us previously, yes, we concluded on July 3rd, the acquisition of 100% of the total social capital of ES Gás. We'd like to show the results here. It should be highlighted. It will be only available. It wouldn't impact on the second quarter. It will then be consolidated only after the third quarter. The EBITDA of ES Gás, it totaled BRL 65 million, BRL 16 million above the second quarter of 2022. The expense with PMSO closed the quarter 13% on the second quarter of 2022, totaling BRL 14 million.

The net income with ES Gás in the second quarter was of BRL 42 million, BRL 10 million above the rest of the same amount of time, 2022. The objective of-- The goal of Energisa is to improve the supply of natural gas in the Espírito Santo's areas, since it has like a potential market considerable. We're gonna be working boldly to have, like, a boost on the performance of the state of Espírito Santo, bring a better competitiveness and economical to the gas. Such as the ES Gás will be presenting next month's acceleration plan of investments to be submitted to the regulator forum. We end here the presentation. Please, we are available to start the Q&A. Guilherme Lima
Equity Research Analyst, Santander

Good afternoon, everyone. I have just one question. We've seen recently, showing up with the, relating the renovation of concession, which defends the destination of SUDENE. Yes, about the taxes. Could you show your vision about this risk being implemented to the company, with the government, how it's gonna be working? What are you guys suggesting?

What's being suggested? What's the idea? To extinguish the benefit, and they'll be gonna be working on the next year of the contract, or gonna be changing it, or will we keep on the current contract? I don't know. Thank you. Fernando, please answer.

Fernando Maia
VP of Regulation, Enegisa

Hi. Good afternoon, Guilherme. Really, this information was already being released by the. We got this information, and then we got this, like, in a very positive way. It's gonna be dealing with, it agrees with the, the option to extend the who have managed energy, talk about the exceeding, financial exceeding. Was the same like, thinking belief that we have to be discussed and investigated to do with it, and the regulation, and not in the, in the extension progress, process. It also agrees with the changing in the index and anticipates the concessions.

That's positive as well. Related to the fiscal benefits, we think it like really a, a balanced situation by the government, saying that the benefits, it should be a benefit for everyone, for all the customers. It shows to be working with their relation with ANEEL. The, the regulation system of ANEEL, we're already discussing this situation by a long time, in a way that, talking about the, the justice, we want a, a caution situation to work with it, and we're waiting for the decision by merit, by first and second decisions. We're actually waiting for, like, some situation that can be developed, but it's being treated as, as good. The information that was released, it was really positive.

Guilherme Lima
Equity Research Analyst, Santander

Thank you. Thanks so much.

Operator

Just a reminder, to make some questions, remember the questions, they must be sent via the Q&A icon located at the bottom area of your screen. By dynamics, your names will then be announced so that you can ask your question live. Let's go to our next question. It comes from Tr avitzky, sell-side analyst from Banco Safra. Daniel, please, we're gonna be opening your audio, so that you can ask your question live. Daniel, please go ahead.

Daniel Travitzky
Senior Equity Analyst, Banco Safra

Hello, guys. How are you guys? Thanks for taking my question. I, I'm talking about, like, the, the gas market, the ES Gás. I would like to understand how has it been working with the, the first interactions with the, with the regulator, this first moment, ARSP, since you're now starting to work with it, which have been like this.

The first discussion is how are you guys being, like, receiving the situation? The second question is more about like to what expansions of this project, of the gas, that's been working right now. I would like to understand, I mean, in your minds, how you guys think of, like, winning the synergy, like, through the different... We're working in different states, since the regulations, they work differently between each state. If you can talk about these two situations to help me. Thank you.

Okay, Daniel. Carlo and Fernando, would like to split the, the answers?

Fernando Maia
VP of Regulation, Enegisa

Yes, we can do it. Well, it's no problem. Daniel, can you listen me fine? Good.

Daniel Travitzky
Senior Equity Analyst, Banco Safra

Yes, yes, please.

Fernando Maia
VP of Regulation, Enegisa

First, I would like to say that we've been received, like, in a good way here in the state, not only by the regulator, by the, the customers, by everything.

In the interactions, they have been. We are in favor to the improvement in all of it, in the energy process in the country. Talking about the regulator, the interactions there have been more like a talk about some rulings, about the consultation, trying to understand the biomethane situation on the market with the gas in the states of Espírito Santo, that's a recent regulation, and the commercial situations as well, how we talk about the construction as well. We are still, like, in a preliminary talks about this. We're working with this. The state already worked with it, and now we're just taking it, and we have plans to modify some things and improve it.

Since, like, now we're doing our investment plans here, show it up, to work with this, talking about expansion and market expansions, and now we're going to be having a lot more interactions with this right now. Now we're going to be submitting to the situations of consideration in the next months. We're also waiting for the tax review that's going to be happening in August 2025, that we're going to be having here. With everything working properly with the team here, we have all the conditions to, to have be working this nicely with the regulation. Talking about the synergy, the second question. That's true. The state has its, its regulation. That's not so different between other states, yes. Talking about, like, have mature conversations and thinking about this, how we work.

Some states have, like, very differences, yes, but what do I think about this? Well, what we operate here about energy and talking about some parallels, we think that we are here with the gas company, working with the same tools that we, we do in any other distributor. That's been working with the, with the market expansion situations, with the efficiency, with the base expansion, with the satisfaction of the customer and all of it. With Espírito Santo, talking about Vitória today, I'm here. We're gonna be working, basically in creating a playbook, well organized, well structured, with all our experience that we have here. What we do here, in a lot of other markets about privatization, to learn fast and be in the condition, of course.

If we have conditions to expand this market in any other distributors, we must be, like, sharp and prepared to do it. I would like to just add, Ricardo, talk about the regulations. That's not so different from the energy situation. It has its particularities, of course, but Energisa , our regulatory team, we already have specialists with the regulations on gas as well. Besides the good, like, communication, the good, like, reception that we have from them, we have any problems with the regulator, with the talks, and the conversations have been going, like, in really good ways. We're, like, really happy to be working to develop ourselves together.

Daniel Travitzky
Senior Equity Analyst, Banco Safra

Excellent. Thank you so much.

VP of Regulation, Enegisa
