Good day, everyone, and welcome to Aeluma Incorporated's Annual Meeting of Shareholders. Now, I'll turn the meeting over to your host, Jonathan Klamkin, CEO. Jonathan, please go ahead.

Good morning, ladies and gentlemen. Firstly, thank you for your patience. As you know, Broadridge experienced system issues that delayed our call. We're now able to move forward with the dial-in format for the speaking portion of our call. Please continue to use the web meeting portal if you will be casting a vote today or submitting questions. With that, I would like to welcome you to the Annual Meeting of Shareholders of Aeluma Inc. My name is Jonathan Klamkin. I am the Founder, Chairman, and CEO of Aeluma, and I will serve as the chairman of this meeting. Joining me on the call today are Christopher Stewart, Aeluma's Chief Financial Officer, and James Seoe, our Controller and Director of Finance, as well as my fellow directors, Steven DenBaars, John Paglia, Craig Ensley, and Mike Byron.

I would also like to introduce Mr. Andrew Wolf from our outside legal counsel, Hunter Taubman Fischer & Li LLC, Mr. Damien Pineda from Rose, Snyder & Jacobs LLP, our independent audit firm, and Mr. Alex Villalta from Financial Profiles, our investor relations firm. Mr. Stewart will serve as the Inspector of Election for today's meeting. All persons who held shares of Aeluma on the record date of November twenty-first, twenty twenty-five, are permitted to vote at this shareholders' meeting. Many shareholders have already submitted their proxies. If you have already voted by proxy, you do not need to take any further action. If you are a shareholder of record or a beneficial owner in possession of a legal proxy from your bank, broker, or nominee and are logged into the meeting using your 16-digit control number, you may vote your shares or change your previously submitted vote.

You may do so now by clicking the Vote Here button at the bottom right corner of the webcast screen. If you would like to ask a question about the matters to be voted on at today's meeting, please submit them now via the Ask a Question section. Chris will now report on preliminary matters.

Thanks, Jonathan. As Inspector of Election, I would like to report on a few preliminary matters. First, we have reached a quorum since the holders of more than a majority of the outstanding shares have returned proxies to us. Second, we have received a statement from Broadridge Financial Solutions, our proxy tabulator, showing that notices and proxy materials were properly mailed to our shareholders on December second, twenty twenty-five. We did not receive any shareholder proposals for this meeting. Since a quorum is present, the meeting is duly constituted, and the business of the meeting can begin.

Thank you, Chris. I will now identify each matter to be voted on at this meeting, which is limited to the two matters identified in the proxy materials. Proposal one, Election of Directors. The first item of business is the election of the class of two Class One directors. Directors are elected by a plurality of the voting power of the shares present online or represented by proxy at the meeting and entitled to vote on the election of directors. The board of directors' nominees are Steven P. DenBaars and John Paglia. Two, Reelection of Independent Auditor. The second item of business is to approve, ratify, and confirm the reappointment of Rose, Snyder & Jacobs LLP, as the company's independent auditors for the year ending June thirtieth, twenty twenty-six, and to authorize the board of directors to fix their remuneration.

We will now review any questions submitted. Please stand by. There being no questions related to the proposals, we will pause briefly to allow shareholders to vote their shares. The polls are now closed. Inspector, please deliver your preliminary report.

Thank you. On a preliminary basis, I'm pleased to report that each of the director nominees received a plurality of the votes cast and has been reelected. The second item of business, the approval, ratification, and confirmation of the reappointment of Rose, Snyder & Jacobs as the company's independent auditor for the year ending June thirty, twenty twenty-six, and the authorization of the board of directors to fix their remuneration, has received affirmative vote of a majority of the shares present and entitled to vote at the meeting, and thus has been approved.
