Welcome to Ameresco's 2026 annual meeting of stockholders. I would now like to introduce the first presenter, George Sakellaris, Chairman of the Board and CEO of Ameresco.
Good morning, everyone, and welcome to Ameresco's 2026 annual meeting of the stockholders. I will now call the meeting to order. We appreciate your attendance, your interest, and most importantly, your support of Ameresco. Although we are not in person, we encourage your full participation. Stockholders who have entered their control numbers when accessing the meeting may submit questions at any time during this meeting in the space provided on the virtual meeting screen. During the annual meeting, questions from stockholders should pertain to the proposals being considered at that particular time. Stockholders wishing to ask other questions will be given an opportunity to do so following the meeting.
I am pleased to introduce the other members of our board of directors who are present at today's meeting, including David Corrsin, who also serves as Executive Vice President, Secretary, and General Counsel, Claire Johnson, Jennifer Miller, Nickolas Stavropoulos, Joe Sutton, and Frank Wisneski. Also from the company, I would like to introduce Mark Chiplock, Executive Vice President and Chief Financial Officer, Leila Dillon, Senior Vice President, Marketing Communications, and Nina Andersson-Willard, Associate General Counsel. Also attending this meeting from RSM US LLP, Ameresco's registered public accounting firm, are Jess Suchy and Cory Hall. They will be available to answer questions during the general question and answer session. I will now turn the meeting over to Mr. Corrsin, who will act as chair for the meeting. David?
Thank you, George. I have received an affidavit from Broadridge certifying that the notice of the annual meeting and proxy statement were sent to all stockholders of record as of April 10th, 2026. Mark Chiplock has been appointed to act as Inspector of Election. Mr. Chiplock, would you please confirm that we have a quorum present?
I confirm that a quorum exists.
Thank you. On the basis of the affidavit of mailing and the report of Inspector of Election, I find that proper notice has been given and that a quorum is present. Accordingly, this meeting has been properly convened. The polls for voting on all matters are open. All Ameresco stockholders entitled to vote at this meeting have the ability to do so online. If you are a stockholder entitled to vote and have not yet voted, or if you want to change your previously cast vote, please do so via the website used to access this meeting. Please remember that if you have already voted by proxy, it is not necessary to vote again. After voting has been completed on all matters on the agenda, we will close the polls, and the Inspector of Election will provide his preliminary report. We will now move to a review of the proposals.
The first matter to come before the meeting is the election of directors. The two nominees for election are Claire Hughes Johnson and Frank Wisneski. The second proposal to come before the meeting is the ratification of the selection of RSM US LLP as the company's registered public accounting firm for the current fiscal year. The third proposal to come before the meeting is the approval of an amendment to the company's 2020 Stock Incentive Plan to increase the number of shares of Class A common stock available under the plan by 3.2 million shares. Seeing none, we'll move on to the next proposal. The fourth proposal to come before the meeting is a non-binding advisory vote on executive compensation. Are there any questions or comments on this proposal?

The polls are about to close. If you have not yet voted, please do so. Give everyone a moment. Since everyone has had the opportunity to vote, the polls are now closed. The next item on the agenda is the preliminary report of the inspector. Any ballots collected before the polls closed but not reflected in the preliminary report will be reflected in the final report of the Inspector of Election. Mr. Chiplock, would you please report the preliminary results of the meeting?
Based on the preliminary report, all of the nominees have been elected as Class I directors of the company, and the selection of RSM US LLP as the company's registered public accounting firm has been ratified, and the amendment to the company's 2020 Stock Incentive Plan has been approved. The compensation of the named executive officers has been approved on an advisory, non-binding basis.
