Good afternoon, and welcome to Bakkt, Inc.'s special meeting of stockholders. I am Sean Collins, Chair of the Board of Directors of Bakkt, Inc., and I will preside as Chair of this meeting, which I now call to order. Present with us virtually today from management, we have Marc D'Annunzio, our General Counsel and Secretary, and Priya Patel, our Senior Director and Counsel. Also with us virtually is Anna Hagberg Sitko, a representative of Broadridge Financial Solutions, our Inspector of Election. Based on information provided by the Inspector of Election, we do not have present in person by remote communication or by proxy the holders of a sufficient number of shares to constitute a quorum. As the Chair of the meeting, pursuant to Section 2.4 of Bakkt, Inc.'s Amended and Restated Bylaws, I now declare this meeting adjourned until 1:00 P.M. on April 17, 2026.
At that time, the meeting will be reconvened and will be held at the same web address as this special meeting, www.virtualshareholdermeeting.com/BKKT2026SM. As of close of business on March 23rd, 2026, approximately 48.2% of the shares outstanding have submitted proxies to be voted at the special meeting of which approximately 99.1% had voted in favor of the issuance proposal. The record date for the special meeting remains the close of business on February 10th, 2026, and will apply to the reconvened special meeting on April 17th, 2026. No changes have been made to the issuance proposal or the other proposals to be voted on by the stockholders at the special meeting. Proxies previously submitted in respect to the special meeting will be voted at the reconvened special meeting unless properly withdrawn or revoked.
Stockholders who have previously submitted their proxy or otherwise voted need not take any additional action. For stockholders who have not yet cast their votes, Bakkt strongly encourages these stockholders to vote their shares of Class A common stock now. Stockholders may cast their votes by following the instructions set forth in the company's definitive proxy statement on Schedule 14A, filed with the SEC on February 13, 2026, which is available on the SEC's website at www.sec.gov.
