Good morning, and welcome to the 2025 Annual Meeting of Stockholders of Bruker Corporation. We are pleased to be hosting this virtual meeting. This format allows us to be more inclusive and to reach a greater number of our stockholders. Welcome. At this time, I would like to introduce Gerald Herman, our Executive Vice President and Chief Financial Officer, Brent Alldriedge, our Senior Vice President, General Counsel and Corporate Secretary, and Joe Kostka, our Director of Investor Relations, all of whom are present with me today. Also joining us on the virtual meeting platform are Bonnie Anderson and Richard Packer, two of our Independent Directors. Thank you all for being here with us today. I hereby confirm that Secretary Alldredge has been appointed as Inspector of Elections.

I would also like to introduce John Coffey and Jacqueline Lahey from PricewaterhouseCoopers, the company's independent registered public accounting firm for fiscal year 2025. Now, will the Secretary please report on the giving of notice and the existence of a quorum for this meeting?

Thank you, Frank. As noted in the proxy statement and notice of annual meeting of stockholders previously made available to the company's stockholders electronically or by mail, the record date for voting at this meeting was the close of business on April 1, 2025. I have an affidavit of distribution from Broadridge Financial Solutions evidencing service of notice to stockholders and an alphabetical list from the company's transfer agent of stockholders entitled to vote at the meeting as of April 1, 2025. A copy of the affidavit of distribution will be incorporated into the minutes of this meeting, and the list of stockholders is available for inspection via the web portal. There is, in excess of 95% of the shares entitled to vote at this meeting, present or virtually—excuse me—present virtually or represented by proxy, and accordingly, a quorum is present.

Thank you, Brent. Because holders of a majority of shares entitled to vote at this meeting are present virtually or by proxy, this meeting is now duly convened for purposes of transacting such business properly before it. Will the Secretary please attend to those matters in the notice of meeting?

Any stockholder who has not yet voted or wishes to change his or her vote may do so by clicking on the voting button on the web portal and following the instructions. Stockholders who have sent in proxies or have previously voted via telephone or internet and do not want to change their votes do not need to take any further action at this time. I will now describe the matters to be voted on at today's meeting. The first proposal before the stockholders of the company is the election of four Class 1 Directors to hold office until the company's 2028 Annual Meeting of Stockholders. The nominees are listed in the proxy statement. The Board of Directors recommends the election of the following nominees for Class 1 Director: Bonnie H. Anderson, Frank H. Laukien, Ph.D., John A. Ornell, and Richard A. Packer.

The second proposal to come before the meeting is to consider and act upon a proposal to approve, by non-binding advisory vote, the 2024 compensation paid to our named executive officers, as described in the proxy statement for this 2025 Annual Meeting of Stockholders. The Board of Directors recommends a vote for the approval, on an advisory basis, of the 2024 compensation paid to the named executive officers, as described in the proxy statement. The third proposal before the stockholders of the company is the ratification of the appointment of PricewaterhouseCoopers LLP as the company's independent registered public accounting firm for fiscal year 2025. The Board of Directors recommends ratification of the appointment of PricewaterhouseCoopers as the company's independent registered public accounting firm for fiscal year 2025. The fourth proposal before the stockholders of the company is the approval of the adoption of the Bruker Corporation 2026 Incentive Compensation Plan.

The Board of Directors recommends a vote for the approval of the adoption of the 2026 Incentive Compensation Plan, as described in the proxy statement. Is there any other business for this meeting?

The voting results are that each of Bonnie H. Anderson, Frank H. Laukien, Ph.D., John A. Ornell, and Richard A. Packer has been duly elected as a Class 1 Director of Bruker Corporation to hold office until the 2028 Annual Meeting of Stockholders or until his or her respective successor is duly chosen and qualified. The compensation paid to our named executive officers for 2024 has been approved by non-binding advisory vote. The appointment of PricewaterhouseCoopers LLP as the company's independent registered public accounting firm for fiscal year 2025 has been ratified, and the adoption of the Bruker Corporation 2026 Incentive Compensation Plan has been approved.
