Good morning. I'm Bill Hawkins, Chairman of the Board of Directors of Bioventus and the Chairman of today's meeting. I'm very happy to welcome you to our 2026 annual stockholders meeting. Before I call the meeting to order, I would like to introduce the other members of the board and the officers of the company who are here with us today. The other members of the board on the annual meeting webcast today are Rob Claypoole, our Chief Executive Officer, John Bartholdson, Pat Beyer, Phil Cowdy, Mary Kay Ladone, Michelle McMurry-Heath, Guido Neels, Guy Nohra, Susan Stalnecker, and Marty Sutter. In addition, Mark Singleton, our Chief Financial Officer, and Tony D'Adamio, our General Counsel and Corporate Secretary, and Dave Crawford, our Vice President of Investor Relations, are on the webcast today.
I would also like to introduce Dewayne Southern of Grant Thornton, the company's independent Auditor, who is available to respond to appropriate questions via the question and answer function on the meeting webpage. The meeting will now officially come to order. We will proceed with the formal business of the meeting as set forth in the notice of annual meeting and proxy statement. Tony will now review the instructions and rules of conduct for the meeting.
Thank you, Bill. The polls opened today, June 3rd, 2026, at 10:00 A.M. Eastern Time for voting on all matters before the meeting. If you have not already voted and wish to vote, the polls will remain open until we finish presenting the proposals and close the polls. You do not need to vote during the meeting if you have already voted and do not wish to change your vote. On the virtual meeting webpage, you will find the agenda for the meeting. You will also find the rules of conduct for today's meeting. Please review these rules carefully. Note only that stockholders who have logged into the meeting using their 16-digit control number will be able to vote and ask questions at today's meeting. All holders of record of our Class A and Class B common stock at the close of business on April 6th, 2026, or holders of a valid proxy, are entitled to vote at the meeting. At this time, I'd also like to introduce Paul Ramirez, who represents Broadridge and has been appointed by the Board of Directors to act as the Inspector of Election at today's meeting. Mr. Ramirez has signed the customary oaths of office to execute his duties with strict impartiality. We will file this oath with the records of the meeting. We have determined that a quorum is present. Therefore, I hereby declare this meeting to be duly constituted for the transaction of business. We will now proceed with the formal business of this meeting. There are two proposals to be considered by the stockholders at this meeting. The company recommends that the stockholders vote for each proposal.
The first item of business is the election of John Bartholdson, Patrick Beyer, Robert Claypoole, Philip Cowdy, Ajay Dhankhar, William Hawkins, Mary Kay Ladone, Michelle McMurry-Heath, Guido Neels, Guy Nohra, Susan Stalnecker, and Marty Sutter as directors of the company for the term of office expiring at the annual stockholders meeting to be held in 2027, or until each such director's respective successor is duly elected and qualified. The second and final item of business is the ratification of the Audit Committee's appointment of Grant Thornton as the independent registered public accounting firm of the company for the year ending December 31, 2026. Based on this preliminary report, John Bartholdson, Patrick Beyer, Robert Claypoole, Philip Cowdy, Ajay Dhankhar, William Hawkins, Mary Kay Ladone, Michelle McMurry-Heath, Guido Neels, Guy Nohra, Susan Stalnecker, and Marty Sutter have been elected directors for the term of office expiring at the annual meeting of stockholders to be held in 2027, and the appointment of Grant Thornton as our independent registered public accounting firm for the year ending December 31, 2026, has been ratified.
The final tally of votes will be published within four business days in a current report on Form 8-K to be filed with the Securities and Exchange Commission.
