Welcome to the special meeting of stockholders of Beazer Homes USA Inc. I am Allan Merrill, Chairman, President, and Chief Executive Officer of Beazer Homes. I will act as Chairman of this meeting. Michael Dunn, Senior Vice President, General Counsel, and Corporate Secretary of Beazer Homes, will act as the Secretary of this meeting. The agenda for today's meeting and the rules of conduct that will govern today's meeting are available on our virtual meeting portal. It is now shortly after 8:00 A.M. Eastern Time on October 15, 2026, and I hereby call this meeting to order. I will now call on Mr. Dunn to present certain items in connection with this meeting.
Thank you, Allan. I present to this meeting copies of the notice of special meeting and proxy statement, which were mailed to the stockholders of Beazer Homes as of the close of business on September 14, 2026, the record date for this meeting, together with an affidavit as to the mailing of such materials commencing on September 15, 2026. All of which will be filed with and made a part of the minutes of this meeting. [Anita Gillespie] has been duly appointed as Inspector of Election of this meeting and has taken the oath of office, which I direct be filed with the minutes of this meeting. Our fourth amended and restated bylaws provide that the presence, in person or represented by proxy, of holders of a majority of the stock issued and outstanding and entitled to vote at this meeting shall constitute a quorum.
I confirm that immediately prior to the commencement of this meeting, holders of a majority of the stock issued and outstanding and entitled to vote at this meeting were present virtually or represented by proxy. I therefore declare that we have a quorum present and that this meeting is duly convened. We will now proceed with the items presented in the proxy statement furnished to our stockholders. If you have already submitted a valid proxy and do not wish to revoke it, you do not have to vote now during this meeting. If you wish to change your vote or have not yet voted, please vote now using the voting tab on your screen. The polls are now open, and you are able to vote at any time during this meeting until I close the polls.
The first item of business today is the proposal to adopt the Agreement and Plan of Merger, dated as of August 6, 2026, by and among Beazer Homes USA Inc, Dream Finders Homes Inc, and Bulldogs Merger Sub Inc, pursuant to which Bulldogs Merger Sub Inc will merge with and into Beazer Homes USA Inc, as further described in the proxy statement. The affirmative vote of Beazer Homes stockholders holding a majority of the outstanding shares of Beazer Homes common stock entitled to vote as of the close of business on the record date is required to approve the merger agreement proposal. Beazer Homes Board of Directors recommends that you vote for the merger agreement proposal.
The second item of business today is the proposal to approve, on a non-binding advisory basis, the compensation that may be paid or become payable to Beazer Homes' named executive officers that is based on or otherwise relates to the Merger Agreement and the transactions contemplated thereby. The affirmative vote of Beazer Homes stockholders holding a majority of all shares having voting power present virtually or represented by proxy at this meeting is required to approve the compensation proposal. Beazer Homes Board of Directors recommends that you vote for the compensation proposal. The third item of business today is the proposal to adjourn this meeting from time to time, if deemed necessary or appropriate by Beazer Homes Board of Directors or any committee thereof.
Because sufficient votes are represented at this meeting to approve the merger agreement proposal, at this time, the adjournment proposal will not be submitted for a vote. If before the polls close, it is determined that an adjournment is necessary or appropriate, we will have a vote on the adjournment proposal at such time. We have received proxies from Beazer Homes stockholders authorizing us to vote their shares of common stock on the items of business before this meeting, and we have voted those shares accordingly. Please cast your votes if you've not already done so. The polls will close shortly. The polls are now closed. We will now report the results of the voting. Based on the preliminary report of the Inspector of Election, sufficient votes have been cast so that each of the merger agreement proposal and the compensation proposal have been approved.
The exact and final vote count for each proposal submitted to a vote at this meeting will be reported in a current report on Form 8-K, which will be filed with the U.S. Securities and Exchange Commission within four business days after today's meeting. This concludes the official business of this meeting. Accordingly, this meeting is now adjourned. Thank you all for attending this special meeting and for your support.
This now concludes this special meeting. Thank you for joining, and have a pleasant day.
