Lisa Disbrow
Chair of the Board, CACI International Inc

Will preside at this meeting. The annual meeting of shareholders of CACI International Inc. is hereby called to order. As the agenda states, President and CEO John Mengucci will review CACI's overall performance and provide operational highlights. But first, as Chair, I'd like to present my perspectives from this past year. For more than 60 years, CACI has remained committed to two pillars of its culture, character and innovation, while supporting critical national security missions. We believe this commitment is reflected in our performance and in our stock price, which has remained very favorable. We continue to hear requests from leaders in the national security community for industry to help them challenge assumptions, leverage innovation, and partner with them from the very beginning. CACI has been, and will continue to be, a trusted partner who does just that.

We stand by our national security forces in all of their missions and endeavors, and we remain ever vigilant in providing expertise and technology for national security. The past year demonstrates how CACI has become a better partner and a better company while continuing to create shareholder value. I'll mention a couple of corporate highlights from this past year. Our stock reached an all-time 52-week high of $683.50. We were ranked 459th on the Fortune 500 and named one of America's most admired companies by Fortune. We were ranked 10th on Washington Technology's most recent list of top 100 federal prime contractors. Nearly 40% of our workforce are veterans or military spouses, and our commitment to veterans continues to be recognized. G.I. Jobs, Military Times, and US Veterans Magazine all ranked CACI as a top employer for veterans.

We continue to support the careers of our military veterans and honor their service. CACI is proud to be a trusted national security partner. We're proud to provide value and wealth creation for our shareholders, as well as recognition and opportunities for our employees. I'll now turn the floor over to Bill Koegel, Executive Vice President, General Counsel, and Secretary of the company. I've delegated authority to Mr. Koegel to supervise the transaction of all business scheduled to come before this meeting. Bill, I'll turn the meeting over to you.

Thank you, Lisa. I'd also like to welcome everyone to our annual meeting of shareholders. In attendance with us today are each of our nominees for election to the board of directors. Those biographies are included in our proxy statement for your review, as well as CACI's executive officers, senior officials, and employee shareholders. A special welcome to all CACI shareholders. I'd also like to introduce Scott Thompson from PricewaterhouseCoopers, the company's appointed independent auditors, who will be available to respond to questions related to our financial statements during the question and answer period of the meeting. Also with us is Tony Franklin, Vice President and Deputy General Counsel, who's been appointed as Inspector of Election for this annual meeting. I'd now like to turn to the business portion of the meeting.

Before we get started, I'd like to remind everyone that we will follow the agenda, conduct the meeting in accordance with the material available to you this morning. The Inspector of Election has informed me that notice of the meeting was duly given on or about September 4, 2026, as evidenced by an affidavit of mailing delivered by the company Secretary. A copy of the notice of the meeting, the affidavit of mailing, and all documents concerning the call and notice of the meeting will be filed in the minute books of the company as part of the record of this meeting. Second, all shareholders of record as of the close of business on August 21, 2026, are entitled to vote at this annual meeting, and a list of the shareholders entitled to vote is available for inspection upon request.

The Inspector of Election has reported to me that he is present at this meeting in person or by proxy, and the holders of over 20 million shares of CACI common stock, which represents approximately 91% of the outstanding common stock of the company at the record date, is present and accounted for. Since the majority of the voting power of the issued and outstanding common stock entitled to vote at this meeting is present in person or by proxy, the quorum is present for all purposes, and this meeting is declared lawfully and officially convened and is competent to transact the business for which it has been called. The agenda for today's meeting consists of three formal business items. First, the election of directors. Second, the advisory approval of the company's executive compensation.

Third, the ratification of the appointment of PricewaterhouseCoopers as independent auditors for CACI's fiscal year 2027. These business items will be followed by remarks from John. We've set aside time for comments and general questions on operations after the briefings and after the formal business matters have been attended to. Please hold your questions and comments until that time, and those questions are restricted to matters that are properly before this annual meeting. Each of the three business matters to be acted upon will be introduced individually. Persons who wish to comment on the proposals will be given an opportunity to do so after all proposals have been presented. We ask that any shareholder who wishes to comment, please identify yourself and your status as a shareholder. Comments or questions during this portion of the meeting are limited to the proposals presented.

Shareholders who wish to vote may do so by clicking on the voting button on the web portal and following the instructions there. Shareholders who have sent in proxies or voted via telephone or Internet and who do not want to change their vote do not need to take any further action. The polls are now open. The polls will close when I announce their closure later in the meeting. I'll now present the nominees for election to the board of directors. The board has nominated Lisa S. Disbrow, Michael Gilday, Susan M. Gordon, David F. Keffer, John S. Mengucci, Scott C. Morrison, Philip O. Nolan, Debora A. Plunkett, Stanton D. Sloane, and Charles L. Szews to be elected by the shareholders to serve as directors for the company until the next annual meeting and until their successors are duly elected and qualified.

There being no further nominations for election to the board of directors, I consider the nominations to be closed. The meeting will now proceed to the proposal to approve, on a non-binding advisory basis, the compensation of our named executive officers. The board of directors has recommended that the shareholders vote to approve, on a non-binding advisory basis, the compensation of our named executive officers. The meeting will now proceed to the proposal to ratify the appointment of PricewaterhouseCoopers as the company's independent auditors for CACI's fiscal year 2027. The board of directors has recommended that the shareholders ratify the appointment of PricewaterhouseCoopers as auditors to examine and report on the company's financial statements for the fiscal year ending June 30, 2027. If any shareholder would like to comment regarding any of the three proposals, please submit your comment through the web portal at this time.

We'll have a brief break while we determine whether any shareholders have submitted any questions relating to any of those three proposals. Any shareholder who has not yet voted or wishes to change their vote may also do so now. All right. Not having received any questions relating to any of the three proposals, and because everybody has had the opportunity to vote, I hereby declare the polls closed at this time. As no other business has properly come before the annual meeting, the Inspector of Election will now tabulate the vote. During the voting tabulation, John Mengucci will provide the CEO's company update. John, over to you.

President and CEO, CACI International Inc

Thanks, Bill. Ladies and gentlemen, fellow shareholders, welcome to CACI International's Annual Shareholder Meeting. Let's move to slide seven, please. Fiscal year 2026 was another outstanding year for CACI. We delivered on our commitments, and our performance demonstrates that our strategy is working. In fiscal year 2026, we delivered free cash flow of $735 million and free cash flow per share growth of 68%, driven by revenue growth of 11% and EBITDA margin of 12.3%. We also won over $10 billion in contract awards, representing a 1.1 times book to bill. As a result, our backlog of $32 billion remains strong, representing three years of annual revenue. Slide seven, please. Our performance reflects the clear and consistent strategy we've executed over many years underscores the technology-first national security company CACI has become. Let me discuss the key elements of our strategy.

Our strategy starts with deep mission knowledge that tells us where to focus and where to invest. We concentrate on enduring, well-funded national security priorities and invest ahead of customer need in differentiated software-defined technology that can be deployed quickly. We execute with discipline and deploy capital strategically to create long-term value for our customers and our shareholders. We also continue to invest in our people and strengthen our executive leadership team in areas critical to our next phase of growth. Slide eight, please. We remain flexible and opportunistic in deploying capital to drive long-term growth and free cash flow per share and shareholder value, including through M&A, share repurchases, and debt reduction. In fiscal year 2026, we acquired ARKA, adding differentiated space-based sensors, optical systems, and advanced agentic AI capabilities. The acquisition strengthens our technology-first strategy and expands our position in the strategically important space domain.

Our strong cash flow and access to capital give us continued flexibility to invest for long-term growth and create additional shareholder value. Slide nine, please. Turning to industry awards and recognition, I am pleased with the recognition our company and employees continue to receive. In fiscal 2026, CACI was named a Fortune World's Most Admired Company for the 15th time and continued to rank among the Fortune 500, solidifying our place as one of the 500 largest companies in the U.S. CACI was also recognized by Forbes as one of America's best companies and among America's dream employers. CACI continues to be a workplace that fosters employee growth and success, and our employees once again rated us as a top place to work.

We have been named a top workplace by USA Today for the sixth consecutive year based on our employees' feedback from third-party surveys evaluating CACI's leadership, culture, and benefits. We are especially pleased to have received 10 prestigious distinctions recognizing CACI's continued efforts to create meaningful career pathways for veterans and the military-affiliated community. I couldn't be prouder that our company is so highly respected, and I thank all of our employees who helped us earn these recognitions. Slide 10, please. In closing, fiscal year 2026 was another strong proof point that our strategy is working.

We delivered on our commitments, strengthened our portfolio, and enter our fiscal year 2027 with substantial backlog, differentiated technology, and leading positions in enduring national security markets. CACI is well-positioned to continue creating value for our customers and our shareholders. Our success is driven by the talent, innovation, and commitment of our employees, and I want to thank the entire CACI team for what they do for our company and for our nation. To our shareholders, I thank you for your continued support of CACI. With that, I will turn the call back to Bill.

Thank you, John. Several of the comments made in the briefings today or in answer to questions may contain forward-looking statements. These statements are subject to important factors that may cause actual results to differ materially from the statements made today. The factors which could cause a material difference in results are available on the web portal and are set forth in detail in the company's periodic reports to the Securities and Exchange Commission. We have a preliminary count on the voting tabulations. The report of the Inspector of Election shows that all director nominees, Disbrow, Gilday, Gordon, Keffer, Mengucci, Morrison, Nolan, Plunkett, Sloane, and Szews, have been elected by the company's shareholders. They are hereby declared elected to serve as directors until the next annual meeting.

The report also shows that a majority of votes have been cast in favor of proposal two with regard to approving the compensation of our named executive officers. Finally, the report shows that a majority of votes have been cast in favor of proposal three with regard to ratifying the appointment of PricewaterhouseCoopers as the company's independent auditors for the fiscal year ending June 30, 2027. The preliminary report of the inspector is accepted. The inspector is directed to prepare a final report to be affixed to and made a part of the record of this meeting. I will now turn the floor over to John for Q&A. We will take shareholder questions that are being entered today on the web portal. Please note we will attempt to answer as many questions as time allows, but only questions that are germane to this meeting will be addressed.
