Good morning, and welcome to the special meeting of stockholders of Corebridge Financial, which is being held virtually via live webcast. I'm Jeannette Pina, Deputy General Counsel and Corporate Secretary of Corebridge Financial, and I will act as Secretary for the meeting. Alan Colberg, Chair of the Board, will act as Chair of the meeting, and Marc Costantini, our President and Chief Executive Officer, is in attendance. Also in attendance for this special meeting of stockholders is Tracy Oats, a Representative of Broadridge Financial Solutions, Inc., who has been appointed Inspector of Election for this meeting and has taken the required oath. In the meeting materials portion of the proxyvote.com portal, stockholders may find links to the agenda for today's meeting, outlining the order of business, the rules of conduct, which are intended to ensure an orderly meeting, and the joint proxy statement prospectus related to this special meeting.

As of June 22nd, 2026, the record date for this meeting, there were 445,768,608 shares of common stock outstanding and entitled to vote at this meeting. I have received an affidavit of distribution certifying that notice of this special meeting was mailed to all stockholders of record as of the record date, at least 10 days in advance of this special meeting. The Inspector of Election has informed us that a majority of our outstanding shares of common stock are present virtually or by proxy, which constitutes a quorum for this meeting. With proper notice having been given and a quorum present, the meeting is duly convened to transact such business as may properly come before it. With that, I will turn the meeting over to the Chair of our Board of Directors, Alan Colberg.

Thank you, and good morning, everyone. I hereby call to order the special meeting of stockholders of Corebridge Financial. Before we begin, I want to take a moment and acknowledge Marc and the entire Corebridge Financial team for their exceptional leadership, dedication, and tireless work in bringing us to this important milestone. This transaction is a testament to their vision and unwavering focus on creating long-term value for our stockholders and customers. Their hard work and commitment have positioned Corebridge Financial for this exciting new chapter. The proposals to be considered by the stockholders at this meeting are the Corebridge Merger Agreement Proposal, the Corebridge Advisory Compensation Proposal, and the Corebridge ESPP Proposal, all of which were set forth in the notice of meeting.

There are no other formal matters to be considered at this meeting other than the Corebridge Adjournment Proposal, which was also set forth in the notice of meeting. Note that we do not intend to call a vote on the Corebridge Adjournment Proposal if there are sufficient votes to approve the Corebridge Merger Agreement Proposal. The polls are open for voting on the proposals to be presented. We will address appropriate questions either through direct communication with the stockholder who submitted the question or through responses made available on our website. Each share of our common stock is entitled to one vote. Any stockholder who hasn't yet voted or wishes to change their vote may do so by clicking on the voting button on the portal.

Stockholders who've sent in proxies or already voted via telephone or internet and do not want to change their vote do not need to take any further action. We will now proceed with the agenda items for today's meeting. Following the presentation of all agenda items, we will pause for a moment to give anyone who hasn't yet voted an opportunity to vote. The first item of business is the Corebridge Merger Agreement Proposal, where we are asking stockholders to vote to adopt the agreement and plan of merger, dated as of March 26, 2026, by and among Corebridge Financial, Inc., Equitable Holdings, Inc., Mountain Holdings Inc., [inaudible] Holdings Inc., and Marcy Holdings Inc. The board unanimously recommends a vote for this proposal.

The second item of business is the Corebridge Advisory Compensation Proposal, where we are asking stockholders to vote to approve, on a non-binding advisory basis, the compensation that may be paid or become payable to the named executive officers of Corebridge Financial in connection with the transactions contemplated by the merger agreement. The board unanimously recommends a vote for this proposal. The third and final item of business is the Corebridge ESPP Proposal, where we are asking stockholders to vote to adopt the Corebridge 2026 Employee Stock Purchase Plan. The board unanimously recommends a vote for this proposal. I've been advised by the Inspector of Election that based on the preliminary tabulation of the proxies, the Corebridge Merger Agreement Proposal will receive sufficient votes to be approved. Accordingly, we will not be submitting the Corebridge Adjournment Proposal for approval. We will now briefly pause for final voting.

The polls are now closed for voting on all matters. Final votes will be tallied and then certified by the Inspector of Election. As previously noted, based on the preliminary voting results, the Corebridge Merger Agreement Proposal has been approved by stockholders. The Corebridge Advisory Compensation Proposal has been approved by stockholders, and the Corebridge ESPP Proposal has been approved by stockholders. We expect to report our final voting results in a Form 8-K filed with the SEC within four business days after the end of this meeting. There is no other formal business before the meeting. Accordingly, we will now officially adjourn the special meeting of stockholders of Corebridge Financial. For those interested, I'll now turn the meeting over to Jeannette, who will provide instructions on submitting any questions related to the business of the meeting.
