Hello, and welcome to the October 2026 special meeting of stockholders of The Elmet Group Company. Please note that today's meeting is being recorded. It is now my pleasure to turn the meeting over to Peter Anania, Chairman of the Board and Chief Executive Officer of the company. Mr. Anania, the floor is yours.

Peter Anania
Chairman and CEO, The Elmet Group

Good afternoon, ladies and gentlemen. I'm Peter Anania, chairman of the board and chief executive officer of The Elmet Group Co., and I will preside over this special meeting. With me is Chris Chandler, the secretary of the company, and he will conduct the actual vote. It is my pleasure, on behalf of the board of directors and officers of the company, to extend you a warm welcome and to express our appreciation to you for virtually attending this special meeting. It is 1:00 P.M. Eastern Time, and the special meeting is now officially called to order. Today we will be voting to approve the 2026 employee stock purchase plan.

The purpose of the 2026 employee stock purchase plan is to enable eligible employees of the company to use payroll deductions to purchase shares of the company's common stock and thereby enhance their sense of participation in the affairs of the company. Our board of directors believes that providing eligible employees with the opportunity to acquire an ownership interest in the company will be essential to the company's ability to attract and retain highest quality and highest performing employees. Further details concerning this plan can be found in the proxy materials you received prior to this meeting. We believe the adoption of the 2026 employee stock purchase plan will be a positive and encouraging development for all of our employees and encourage you to vote for adoption of the plan. I will now turn the meeting over to Mr. Chandler to conduct the vote.

Chris Chandler
Secretary, The Elmet Group

Good afternoon, everyone. We will now proceed to the business portion of this meeting. The only proposal to be voted on today is the approval of The Elmet Group Company 2026 employee stock purchase plan. We have opened the polls for voting on our single proposal. Voting will only be open for a few minutes. If you have not yet voted or if you wish to change your vote, please follow the instructions on your screen in order to vote. The board fixed August 28, 2026, as the record date for determining The Elmet Group Company stockholders entitled to notice of and to vote at this special meeting. I have here an affidavit sworn to by our mailing agent, Broadridge Financial Solutions Incorporated, stating that the mailing commenced on September 11, 2026. Donna Ackerly of Lioness Consulting will serve as the inspector of election for this meeting.

She will tabulate the results of the voting, and she is present at this meeting today. As required by law, Ms. Ackerly has taken and signed an oath as Inspector of Election. Prior to the meeting, the Inspector of Election submitted a report of the number of shares of common stock presented or represented by proxy at this meeting. The board of directors selected August 28 as the record date for this meeting. On the record date, there were 30,495,498 shares of common stock outstanding. At least 1/3 of the shares of the capital stock of the company issued and outstanding are entitled to vote at this meeting in person or by proxy. Accordingly, I find that the proper notice has been given, a quorum is present, and this meeting has been properly convened. The polls are still open but will close shortly.

We will hold the polls open for another minute, and then they will close. The polls are now closed, and I will ask the Inspector of Election, Ms. Ackerly, to provide her preliminary report.

Donna Ackerly
Inspector of Election, Lioness Consulting

The ballots and votes have been counted, and the preliminary results regarding the proposal are as follows. Holders of at least a majority of votes present or represented by proxy at the meeting and entitled to vote approved The Elmet Group Co. 2026 employee stock purchase plan.

Chris Chandler
Secretary, The Elmet Group

As there is no further business to come before this meeting, I would like to now turn the meeting over to Mr. Anania for final remarks and to adjourn the formal business part of this meeting.

Peter Anania
Chairman and CEO, The Elmet Group

In my capacity as a stockholder, I hereby move that this meeting be adjourned. Do I hear a second motion to adjourn the formal part of this meeting?

Chris Chandler
Secretary, The Elmet Group

In my position as a stockholder, I second the motion.

Peter Anania
Chairman and CEO, The Elmet Group

I declare the formal part of this meeting adjourned. Thank you to our shareholders for your support. The Inspector of Election is directed to submit a certificate of Inspector of Election of the final vote count with respect to the proposal voted on today, which shall be included with the minutes of this meeting. There is no further business to come before the meeting. This concludes the meeting. Therefore, the meeting is officially adjourned. I would like to, again, express my sincere appreciation to the stockholders who attended this meeting virtually, as well as those who submitted their proxies but were unable to join us today. Thank you.
