Thank you. Good afternoon. I'm Eric Remer, CEO and Chairman of the Board of EverCommerce, and the chairman of today's meeting. I'm very happy to welcome you to our 2026 Annual Meeting of Stockholders. Before I call the meeting to order, I'd like to introduce you to the other Members of the Board and the officers of the company who are with us today. The other members of the board in attendance are Penny Baldwin-Leonard, Tanner Austin, John Rudella, Rick Simonson, and Amy Guggenheim Shenkan. In addition, participating today are Ryan Siurek, our Chief Financial Officer, and Lisa Storey, our Chief Legal Officer. I would also like to introduce Diego Baca of Ernst & Young, the company's independent auditor, who will be available to respond to appropriate questions during the question and answer portion of the meeting. The meeting will now officially come to order.

It is now 12:01 Mountain Time, the polls are now open for voting on all matters before the meeting. I will now turn things over to Lisa Storey to proceed.

Thank you, Eric, welcome EverCommerce stockholders. We will now proceed with the formal business of the meeting as set forth in the notice of the annual meeting and proxy statement. If you have not already voted and wish to vote, the polls will remain open until we finish presenting the proposals and close the polls. You do not need to vote during the meeting if you've already voted and do not wish to change your vote. On the virtual meeting webpage, you will find the agenda for the meeting. You will also find the rules of conduct for today's meeting. Please review these rules carefully. Note that only stockholders who are logged into the meeting using their 16-digit control number will be able to vote and submit questions at today's meeting.

As EverCommerce's corporate secretary, I will file the proof of mailing of notice of the meeting with the records of this meeting. All stockholders of record at the close of business on April 20th, 2026, or holders of a valid proxy are entitled to vote at the meeting. A complete list of the holders of record of the outstanding shares of common stock is available on your screen if you've logged into the meeting using your 16-digit control number. At this time, I'd like to introduce Christine Amerine, a representative of Broadridge Financial Services. The Board of Directors has appointed a representative of Broadridge to act as Inspector of Election at today's meeting. Ms. Amerine has signed the customary oath of office to execute her duties with strict impartiality. We will file this oath with the records of the meeting.

I have been informed that quorum is present, therefore, I hereby declare this meeting to be duly constituted for the transaction of business. We will now proceed with the formal business of this meeting. There are two proposals to be considered by the stockholders at this meeting. The company recommends that the stockholders vote for each of these proposals. The first item of business is the election of John Rudella, Mark Hastings, and Amy Guggenheim Shenkan to serve as Class II Directors of the company for a term of office expiring at the annual meeting of stockholders to be held in 2029. The second item of business is the ratification of the audit committee's appointment of Ernst & Young LLP as the independent registered public accounting firm of the company for the year ending December 31, 2026.

Diego Baca is attending this meeting on behalf of Ernst & Young. That was the final proposal for today's meeting. If you wish to vote, and you haven't already, please vote now by clicking on the voting button on the web portal and following the instructions. You do not need to vote electronically if you've already sent in your signed proxy or if you've voted by telephone or the internet. As you navigate the electronic ballot site and you're making your decisions, Eric will discuss EverCommerce's highlights and milestones of the past year and update all of you on our business priorities. After that, we will enter into the question and answer period of the meeting before closing the polls. Before I turn the presentation over to Eric, I would like to review our safe harbor statement.

Thank you, Lisa. EverCommerce is building the A operating system for the service SMB workflows. We offer tremendous value to our customers by providing the system of action necessary to run their business with tailored, unique workflows. We provide end-to-end solutions to more than 745,000 customers across our three major verticals: EverPro for home and field services. EverHealth for medical practices, and EverWell for wellness service providers, with the two former verticals representing approximately 95% of consolidated revenue. We believe our large base of customers represents an immense embedded opportunity to provide value-added features and services like payments and customer rebates through our purchasing programs. On a pro forma basis in 2025, we generated $591.7 million of revenue, representing a 6.4% year-over-year growth. We also generated 30.7% adjusted EBITDA margin. Finally, our annualized total payments volume, or TPV, expanded to $13 billion.

2025 was the year of tremendous positive change for EverCommerce. We entered the year having just begun to stand up the vertical business units for EverHealth and EverPro. Throughout the year, we focused on product, people, process, and technology improvements across our business to better serve our customers and drive shareholder return. From an organizational standpoint, we ended 2025 with robust functional organizations in both EverPro and EverHealth that each had enhanced core competencies in the area of product strategy and development, customer experience, and go-to-market, among others. In 2025, we sold our marketing technology solutions business that had been a detractor for both growth and predictability. We acquired ZyraTalk, which has proven to be a strong foundation for our current and future AI-first product initiatives. We deployed $85 million of capital to repurchase 8.2 million shares of our common stock. We repriced and extended our credit facility.

In the midst of all this positive progress and change across multiple aspects of our business, we met or exceeded our financial targets for the year, demonstrating our continued focus on financial performance. Looking ahead, our highest priority for 2026 is advancing the AI capabilities we provide our customers through our solutions. We are in the business of simplifying and empowering the lives of business owners whose services support us every day. This has been the mission statement for EverCommerce since its inception. When you look deeper at who our customers are, almost by definition, they are sub-scale operations. Plumbers, HVAC technicians, electricians, healthcare providers, and salons that range from pure sole proprietor to ones with just a handful of employees. AI is just not an add-on for these customers. AI does not just save them time or automate a manual process.

AI is, in our view, a force multiplier for our customers, providing a variety of growth opportunities and efficiencies. For example, we believe that an AI-based 24-hour receptionist that can schedule jobs does not replace the human receptionist. Instead establishes an inbound call function that didn't exist. Outbound calling can generate new business. Billing collection agents can run in the background to improve collections and working capital. Embedded ambient scribe increases time with patients in the exam room. There are many more examples. We are reimagining workflows and making significant investments to be the leading edge of AI capabilities for our customers. Bottom line, we view AI as an enabler and accelerator, not a threat. We already provide an AI-powered revenue acceleration and a better workflow capabilities for our customers, but it's just the beginning.

Based on this preliminary report of the Inspector of Election, John Rudella, Mark Hastings, and Amy Guggenheim Shenkan have been elected to serve as Class II directors, and the appointment of Ernst & Young as our independent registered public accounting firm for the year ending December 31, 2026, has been ratified. A final tally of the votes will be published within four business days in a current report on Form 8-K to be filed with the Securities and Exchange Commission.
