Founder and Global CEO, Faraday Future Intelligent Electric

Hello, everyone. I am very happy to share a major milestone with you today. FF Robotics business has taken a big step toward its independent public listing. Yesterday, September 28th, Nasdaq-listed AIxC, soon to be FFR, announced a proposed combination with FF EAI Robotics to start a major strategic restructuring. This could make it the number one publicly traded pure-play full-core, full-stack AI robotics ecosystem company. It could put us in a stronger position to lead the global embodied AI robotics industry. It would also put us on a fast path to maximize the strategic and the capital market value of FF's robotics ecosystem. At the same time, FF EAI announced a major strategic upgrade. We plan to become a Robotaxi and AI Cabin shared mobility operations company, as well as a Physical AI investment holding company.

Our goal is to help drive the next wave of change in the auto industry once again. Now, let me share this major milestone, which could be the breakout moment that unlocks huge value. FF EAI has signed a term sheet with Nasdaq-listed AIxC, which currently trades under the ticker AIxC. Under the proposed transaction, we would bring 100% of FF's robotics company into AIxC. The market-based valuation is approximately $200 million, and FF EAI will receive AIxC shares in exchange. On September 30th, AIxC will take the name FF EAI Robotics Ecosystem, Inc, and its ticker will change to FFR. With this major milestone, FF EAI and FFR, currently AIxC, will each have a new path for growth. First, once FF's robotics business merges with publicly listed AIxC, it will operate and raise capital independently, leaving long-standing burdens behind and entering a breakout phase of value realization.

Let me share what this means, starting with our strategy. Once the transaction is completed, AIxC will leave the crypto business behind completely. It will become a pure-play AI robotics company. For the business, look at what we have achieved in less than a year. The results have exceeded our expectations. We completed phase I of the Built in USA acceleration program. We are building the One Brain, multiform, multi-capability FF EAI Robot World 2.0, and we have launched 24 products across three robot forms. All 24 have received FCC certifications, and we are continuing to deliver them to customers. Our full-core, full-stack AI ecosystem is beginning to take shape, and you can see the progress in the numbers. By the end of August, cumulative AI devices sales and shipment reached 552 units. In Q2, the average contribution margin on our robotics products was over 30%.

Cumulative revenue was approximately $1.52 million. There is progress across all three other cores. Our EAI Brain, which we developed in-house, has entered engineering, testing, and delivery. Version 1.0 of the developer platform is live. Our EAI Data Factory has established an initial commercial closed loop. We have also completed our first round of data collection and training with real robots. Four industry productivity solutions have been completed and launched. RoboShare has received multiple paid orders as well. Where do we plan to go from here? Under FF EAI's robotics business plan, we expect to reach positive quarterly operating cash flow in Q3 2028. Over five years, we project cumulative revenue of around $1.98 billion, with gross margin gradually rising to about 54% in 2030. We also expect ecosystem businesses to account for a growing share of that revenue.

Together, we plan to deliver EAI devices at a much larger scale. Our five-year target is more than 130,000 units sold. At the same time, the EAI Brain and development platform, industry productivity solutions, EAI Data Factory, and services will grow together and bring all four cores further into real-world use. We also plan to invest an estimated total of $300 million in R&D over five years so we can stay ahead in both products and technology. We are now in phase II of our Built in USA Acceleration program. We are moving faster to roll out the next Futurist and the next Aegis product series. We have also started the conditional approval application processing line with applicable regulatory requirements. We are speeding up to build out our supply chain compliance and certification and production capabilities.

Our target is to have the robotic factory operational by the end of this year, with the first new EAI device rolling off the line in the first quarter of 2027. We want to build this with partners. Today, FF is officially opening the EAI Robotics Made in USA Industry Alliance to new members. Later, you'll hear directly from representatives of 10 suppliers, including MetaSense Technology USA, ENCOS, and NexCOBOT. They'll give you a sense of the great potential for global innovation to work closely with U.S. R&D, manufacturing, and the supply chain ecosystem. For capital, we will give the robotics business its own platform in the public markets. This will help investors see and value the business on its own merits and help us unlock that value over time.

We want to rely less on financial methods that could cause substantial dilution and move as quickly as possible to maximize value for our stockholders. Financially, our three financial statements, the income statement, balance sheet, and cash flow statement, will be more clear and better represent the true underlying value of FFR. At the same time, we expect the business to need much less capital. Our current projection is to achieve positive quarterly operating cash flow in the third quarter of 2028 based on this five-year plan. Once the transaction is completed, our goal is for FFR to remain among the top three EAI robotic ecosystem companies overall over the next five years. Second, for FF EAI, we have two strategic upgrades. Number one, become a Physical AI investment incubation and holding company by bringing its robotics business into AIxC, will soon be FFR.

Number two, we are upgrading our automotive strategy in three ways. First, enter Robotaxi operations, including connecting to the CyberCab networks. Second, bring FF's AI Cabin into other intelligent vehicles. Third, connecting our own vehicle to Robotaxi networks. FF has five strengths that can help us make these upgrades. First, our DNA and forward-looking strategy. Back in 2014, we were the first to bring up the four future trends strategy: electrification, AI, internet, and sharing. Autonomous driving has developed for more than a decade. Now, as the technology matures, shared mobility is once again becoming a major direction for the auto industry. At the turning point, FF has a natural advantage in helping drive the change. Second, our experience in shared mobility network operations. We once owned Yidao, China's largest premium ride-hailing network. It was often called China's Uber Black. Third, our AI Cabin technology.

Drawing on more than 20 years of intelligent cabin experience, we plan to bring FF's third AI space to Robotaxi, including CyberCab, and to conventional intelligent vehicles. We want to give passengers two kinds of value, a ride from A to B, and an AI-powered living space inside the vehicle. Fourth, synergy across shared platform operations. RoboShare already has operating capabilities we can build on. We plan to extend them quickly into Robotaxi mobility services, from bringing vehicles onto the platform to operating them and serving users. By using resources well and keeping costs as low as possible, we aim to build a real competitive advantage. Fifth, ecosystem investment holding. FFR is set to become the first publicly traded robotics ecosystem company. We have incubated that will demonstrate FFAI's ability to incubate businesses in Physical AI and also show the strength of our model.

Once the merger is complete, FFAI will be its single target and the controlling stockholders. We will continue to share in the potential future value of the robotic business. If applicable conditions are met, FFAI will also consolidate FFR's financial results. We would expect to see meaningful improvement in the reported financials for both FFR and FFAI. Today, we stand at a new starting point. I believe FFR will move forward in a new way with far greater room to grow. FFAI will unlock value in a more open and resilient way. This is a new beginning for both companies. It is also an important step for AI and Physical AI, from exploring what is possible to building the industry together and toward the next great leap. Let's join hands with partners around the world.

Together, we can bring Physical AI into the real world and open a new era for the industry. Now, I'd like to invite Jerry to the stage. Jerry, over to you.

Jerry Wang
Global CEO and Director, AIxC

First, on behalf of AIxC, I want to thank FFAI for its long-term investment, support, and incubation of the robotic business. Through sustained build-up, FFAI's robotic business has established a fairly complete foundation in product, technology, and commercialization, spanning four core areas: AI brain and the developer platform, AI devices, industries productivity solutions, and the data factory. AIxC has great respect for the technical strength, product portfolio, real-world delivery capabilities, and future growth potentials of FFAI's robotic business, and we also have great confidence in its potential to scale further through the FFR platform. As of the end of August, FFR's cumulative sales and shipment reached 552 units, ranking number one in the United States regarding the unit of delivery, with the business continuing to deliver a positive gross margin. According to second quarter results, robot products delivered an average contribution margin of about 30%.

Our cumulative revenue in the robotic business from independent third-party customers came in at approximately $1.52 million. FF EAI Robot World 2.0 has now completed its lineup, covering three device forms, five series, 11 models, and 24 products, and we're now one step closer to realizing One Brain, multi-form, multi-capability across our AI devices. At the same time, FFR has completed the data factory commercial rollout, launched the developer platform, completed education validation with two Los Angeles public school districts, and closed RoboShare's first paid order. Related business has moved beyond product R&D alone and entered a new stage where sales, delivery, data accumulation, and commercial operations all advanced in parallel. Let me then put some numbers around FFR's robotic business plan. In 2026, total revenue across the Four-Core Full-Stack AI Ecosystem is projected to reach $7.1 million, with a positive gross margin of 9.9%.

For 2027, we project $45 million in revenue and a gross margin of 30%, marking our entry into a high gross margin phase. Over five years, cumulative revenue is projected to reach $1.98 billion, with gross margin raising gradually to 54%. The AI brand developer platform, industry productivity solutions, AI data factory, and services grow. We project their combined shares of ecosystem revenue to raise from 22% in 2026 to 49%, would make the value of our Four-Core Full-Stack AI Ecosystem much more visible and in the business. Now, let's look at the scale we're working towards. Our AI device sales targets are 2,001 units in 2026 and 7,400 in 2027. In five years, the target is more than 130,000 units. On the data side, we project more than 19 million hours of cumulative data supply over five years.

That will support continued improvement of the AI brain and growth in computing capability. We'll keep developing around One Brain, multiple forms, with the goal of deploying different robot forms at scale while maintaining strong product power. What will those robots do in the real world? Our industry productivity solutions will begin with education and research, security and inspection, industrial, and services. We'll then expand into more verticals, bringing multiple forms, multiple capabilities into practical industry use. For FF, the planned merger is an important step for the robotic business. Once completed, we believe FFR can provide a cleaner platform of the market to realize its value and for the business to grow over long term, moving from product delivery to scaled operations, and gradually form a cycle among business fundamentals, capital support, and ecosystem growth. There is still work to complete before that happens.

Next, both parties will move towards the definitive agreement, financing arrangement, and deal closing. After the transaction is formally completed, we will announce FFR's next day strategy and business plan. At the same time, FFR plans to complete in the near term. We will keep you updated on this progress as it happens. Stay tuned. This is not the only exciting news I have for you today. Our robotic business has officially launched in the Middle East. On September 23rd, we held our FFR Middle East launch event in Dubai, and we signed six partnership agreements on the spot. Together, these partners form our first regional network of capabilities, spanning education, security, services, leasing, and RaaS. This is the foundation of our scale expansion across the GCC and MENA markets. Now, please turn your attention to the screen.

Let's take a look at the video from our Middle East launch event. Thank you.

Thank you, YT and Jerry, for sharing those important updates. Today is a major milestone for FFR. I believe it could also become an important moment for the U.S. embodied AI robotics industry. As AI foundation models, embodied AI robotics devices, and the real-world data come together at an accelerating pace, competition in robotics is moving beyond individual devices. The next frontier is the Physical AI ecosystem. With our Four-Core Full-Stack AI Ecosystem and our One Brain, multi-form, multi-capability Robot World, FFR aims to build a leading U.S.-based platform for Physical AI and robotics, and to become one of the top two robotics companies in the United States. At the heart of our Built in USA Acceleration Program is a practical goal to turn these technologies and ecosystem capabilities into lasting U.S. capabilities in R&D, compliance, supply chain, manufacturing, delivery, and service.

At part one of this launch on August 26, we introduced the three-phase roadmap for the Built in USA Acceleration Program for the first time. Today, I am excited to share more of our execution plan for phase II. With the initial framework of our four-core, full-stack AI ecosystem in place from phase I, let me share where each core stands today. Our EAI Brain core has entered engineering, testing, and delivery. In our industry productivity solutions core, EAI Robotics Education Ecosystem Solution 1.0 is complete. We have also launched four industry productivity solutions for K-12 education, research, security, and inspection, and are delivering them in phases. In our EAI Data Factory core, we have built the initial framework of a decentralized data factory and signed our first sales order.

We have also begun to establish a closed loop, deploy robots in real settings, collect data, refine the EAI Brain models, and bring those improvements back into real-world deployments. For the EAI devices core, we are accelerating the development of the next Futurist and the next Aegis product series. We have also initiated conditional approval applications as appropriate under applicable regulatory requirements. Our first new Built in USA products will help validate our U.S. capabilities across product development, supply chain integration, compliance and certification, production, testing, and delivery. As we deploy them with real customers, each deployment will bring back more real-world data to help us keep improving the products. We will continue expanding our product lineup to support our five-year product plan. At the same time, we are advancing in-house development of our AI devices, starting with core components such as control units, AI computing platform, and key sensors.

In parallel, we are developing two types of software in-house, software with strong industry competitiveness and software that forms the core of our products. We are also transitioning to U.S.-based suppliers. Let me turn into supply chain and compliance. It starts with our products and the key parts inside them. Our technical team is reviewing both in detail to find a more effective path to U.S. localization. We are bringing 12 years of technology and supply chain experience from intelligent electric vehicles to this work. Batteries, motion control board, computing boards, and the robot body structure are among the key components where we plan to build up U.S. suppliers. Compliance is part of that work from the beginning. We are working through the applicable FCC, ICTS, and National Defense Authorization Act requirements, applying for conditional approval where appropriate, assessing our products and the supply chain. Moving forward U.S. suppliers.

We also plan to bring key components and manufacturing steps to the U.S. and build local assembly and production capabilities. We will do this in phases, increasing the share of U.S. manufacturing and sourcing in our products. Our ultimate goal is to meet applicable Buy American Act and related government policy requirements, where building a U.S. robotics industry system with long-term competitiveness, compliance capability, and supply chain resilience. Here is the timeline we are working toward. We built to have our robotics factory operational by the end of this year. Our target is for the first new AI device to roll off the line in February 2027. From there, we plan to progressively achieve assembled in USA for our AI devices and the components needed for FCC compliance. For production, we can build on the factory's existing supply chain management, manufacturing, testing, validation, and quality system.

We plan to renovate and expand its flexible production lines so they can handle final assembly and end-of-the-line testing for both quadruped and humanoid robots. We are selecting a new dedicated robotics manufacturing site as well to support production and delivery at scale. Within five years, our plan is to produce multiple robot models flexibly on shared lines and reach a combined annual capacity of 50,000 units on our own production lines. Thank you.

Max Ma
Head of Supply Chain, Government Affairs and Strategic Corporation, Faraday Future Intelligent Electric

Thank you, Chris. FF's open strategy for AI robotics comes down to three key ideas: global innovation, U.S. platform, and ecosystem synergy. FF wants to build an open AI robotics industry ecosystem that brings together outstanding partners from around the world in robotics, AI, chips, components, research, and capital. The United States will be a key platform for innovation, R&D, and advanced manufacturing and bringing products to the market. Through that platform, FF wants to connect these resources and help partners across industry work together. This openness runs through every core of FFR's four-core full stack AI ecosystem. FFR welcomes partners in AI devices and components, AI models, and developer tools, industry productivity solutions, data, and cloud services to take part. That was the thinking behind the EAI Robotics Made in USA Industry Alliance initiative that FFR introduced at our August 26th event.

We believe the alliance can create value for global partners in five ways. First, connections to the U.S. market and industry resources, potential business opportunities. Second, collaboration across the technology products, manufacturing supply chain, real-world applications, and capital. Third, a faster path for promising technologies and products to reach real-world users and the market. Fourth, opportunities to work together on Made in USA initiatives from the U.S. R&D and manufacturing to supply chains and the industry development. Finally, the fifth, the chance to start with one product and build towards broader long-term industry partnerships. Today, I am honored to make it official. The EAI Robotics Made in USA Industry Alliance is now open for membership to FF's partners around the world. FF invites you to join us. We are inviting four groups of partners to join us.

The first is technology and product partners across our four full stack AI ecosystem. This includes partners in the AI devices, core components, the EAI Brain, the developer ecosystem, industry productivity solutions, and data capabilities. The second is manufacturing and supply chain partners, from factories, equipment, and production processes, to quality system testing and certification, as well as the key component suppliers. The third is the real-world application and commercialization partners, industry customers, system integrators, channel partners, fulfillment and operations providers, robot assets owners, and rental services partners. The fourth is government, research, capital, and long-term strategic partners. FFR wants each group to have a clear way to work with us. For developers, the EAI Brain and open platform will make it easier to connect AI devices, develop new capabilities, and publish skills.

For suppliers and manufacturing partners, we'll pursue joint validation and U.S. localization under the three-phase Built in USA plan. With our real-world application partners, we will start with actual tasks and work together to define industry productivity solutions that can be deployed, operated, and deliver measurable value. Now, let's bring our partners into the conversation. Today, we're honored to hear from all the partners from around the world. They will share their perspectives on the AI robotics industries and Built in USA. Now, I'd like to invite everyone to turn your attention to the screen. Let's hear what our partners have to say.
