Thank you, and good morning. So I'm Jared Isaacman. I'm the founder, CEO, and chairman of the board of directors of Shift4 Payments, Inc., and the chairman of today's meeting. I'm very happy to welcome you to our 2024 annual meeting of stockholders. Before I call this meeting to order, I'd like to introduce you to the other members of the board and the officers of the company who are with us today. The other members of the board that are in attendance are Donald Isaacman, Christopher Cruz, Karen Roter Davis, Sam Bakhshandehpour, Sarah Grover, and Jonathan Halkyard. In addition, participating today are Nancy Disman, our Chief Financial Officer, Jordan Frankel, our General Counsel and Secretary, and Taylor Lauber, our President and Chief Strategy Officer.
I would also like to introduce you to Stephanie Marella of PricewaterhouseCoopers, the company's independent registered public accounting firm, who will be available today to respond to appropriate questions during the Q&A portion of the meeting. So with that, this meeting will now officially come to order. We will proceed with the formal business as set forth in the notice of the annual meeting and proxy statement. The polls opened today, June 7th, 2024, at 11:45 A.M. Eastern Time for voting on all matters before the meeting, put forth before the meeting. If you have not already voted and wish to vote, the polls will remain open until we finish presenting the proposals and close the polls. You do not need to vote during the meeting if you have already voted and do not wish to change your vote.
On the virtual meeting webpage, you will find the agenda and rules of conduct, so please review these carefully. Note that only stockholders who are logged in using their 16-digit control number will be able to vote and submit questions today. Our corporate secretary will file the proof of mailing of notice with the records of the meeting. All stockholders of record at the close of business on April 17, 2024, or holders of a valid proxy, are entitled to vote today. A complete list of the holders of record of the outstanding shares of the company's Class A, Class B, and Class C common stock on the record date is available on your screen after entering your 16-digit control number. At this time, I'd like to introduce Tony Carideo, a representative of Broadridge Financial Services.
The board of directors has appointed him to act as Inspector of Election at today's meeting. Mr. Carideo has signed the customary oath of office to execute his duties with strict impartiality. We will file the oath with the records of the meeting. I have been informed that a quorum is present. Thereby, I hereby declare the meeting to be duly constituted for the transaction of business. There are three proposals to be considered by the stockholders today. The board of directors recommends that the stockholders vote for each of these. So item one, election of directors. The first item of business, the election of myself, Jared Isaacman, and Karen Roter Davis, to serve as a Class One director of the company for a term expiring at the annual meeting of stockholders to be held in 2027.
Item two, ratification of appointment of our independent registered public accounting firm. So the second item of the business, again, is the ratification of the audit committee's appointment of PwC as the independent registered public accounting firm for the company for the year ending December 31, 2024. And item three, approval of an advisory, non-binding basis of compensation of our named executive officers. So this is the third item of business, again, for approval on an advisory basis for the compensation of the named executive officers. And this was the final proposal for, today's meeting. So if you wish to vote and you haven't already, please vote now by clicking on the voting button on the web portal and following the instructions. You do not need to vote electronically if you've already sent in your signed proxy or if you voted by telephone or internet.
We will pause for approximately 30 seconds before closing the polls. The time is now approximately 12:10 P.M. Eastern Time on June 7, 2024, and the polls are now closed for voting. So thank you very much. I have received the preliminary report of the Inspector of Election to be kept with the company's records. Based on the preliminary report of the Inspector of Election, Jared Isaacman and Karen Roter Davis have been elected as Class One directors. The appointment of PwC as our independent registered public accounting firm for the year December 31, 2024, has been ratified, and the stockholders have approved, on an advisory non-binding basis, the compensation of companies named executive officers. The final tally of the votes will be published within four business days in a current report on Form 8-K, to be filed with the SEC.
So the meeting is now adjourned, and with the meeting adjourned, the management team and I are now available to answer any questions.
