It is now 11:00 A.M. on the dot, and the meeting will now officially come to order. We'll proceed with the business of the meeting as set forth in the Notice of Annual Meeting and the Proxy Statement. We have appointed Erich Hellmold to be the Acting Secretary of the Meeting. I have here a complete list of the stockholders of record of the company's common stock on December 6, 2024, the record date for this meeting. I also have an affidavit certifying that on December 20, 2024, the Notice of the Annual Meeting of Stockholders of the Company was first mailed to all stockholders of record as of the close of business on December 6, 2024.
Thanks, Erich. Myself and Nicole Schaltenbrand, CFO and Treasurer, have been appointed as Inspectors of Election for the meeting. Broadridge Financial Solutions tabulated the votes, and the inspectors and their staff have been in contact with Broadridge in connection with the vote tally. Now, both myself and Nicole have also taken and subscribed to customary oath of office to impartially execute duties as Inspectors of Election. We'll file these oaths with the records of the meeting, and the inspector's function is to decide upon qualifications of voters, sift votes, and at the end of balloting to tally the final votes. Proxies have been received for 0.2% of the 22,329,852 shares of common stock and 448,725 shares of preferred stock outstanding on the record date. A total of 14,396,645 shares are present in person or by proxy, which constitutes the quorum for the meeting, and we may now carry out the official business of the meeting. Proposal one for our common stockholders to elect incumbent directors John Outland and David Gladstone as for the common and preferred shareholders to serve as additional terms to expire at the 2028 Annual Meeting until their successors are duly elected and qualified, and then to ratify our committee selection of PwC as our independent registered public accounting firm for the fiscal year at the end of September 30, 2025. They'll be closed to voting after we go through these matters one more time.

No. Proposal two, the second item of business, is to ratify our audit committee selection of PwC as the independent registered public accounting firm for the fiscal year ending September 30, 2025.
