Good morning, everybody. Welcome to the two thousand twenty one annual stockholders meeting at Gladstone Capital Corporation. My name is Michael LiCalsi. I'm the general counsel of the company. We have with us, the following representatives of the company, are Kel Mould, assistant general counsel Nicole Scholtenbranch, chief financial officer and treasurer.
I'd also like to say that Nicole Straub, a representative of PwC, our independent registered public accounting firm is here with us as well. It's now 11:01AM, and the meeting will now officially come to order. We'll proceed with the business of the meeting as set forth in the nash notice of annual meeting proxy statement. We have appointed Eric Helmholt to be the acting secretary of the meeting. Will the secretary please report on the mailing of the notice of the meeting in the stockholders list?
I have here a complete list of the stockholders of record of the company's common stock on 12/04/2020, the record date for this meeting. I also have an affidavit certifying that on 12/18/2020, a notice of the annual meeting of stockholders of the company was first mailed to all stockholders of record as of the close of business on 12/04/2020.
Thanks, Eric. Myself and Nicole Schulman, CFO and treasurer of the company, have been appointed as inspectors of election at this meeting. Broadridge Financial Solutions tabulated the votes, and the inspectors and their staffs have been in contact with the representatives in Broadridge connection with the vote tally. Both myself and Nicole have also taken and subscribed the customary oath of office to impartially execute our duties as inspectors of elections, file these oaths with with the records of the meeting. Their function is to decide upon the qualifications of voters, accept votes, DM the voting to tally the votes.

Proxies have been received for 66.23% of the 32,453,674 shares of common stock outstanding on the record date. A total of 21,495,773 shares are present in person or by proxy, which constitutes a quorum for the meeting today, and we may now carry out the official business of the meeting. Thank you. We'll now proceed with the business of the meeting. There are two proposals to be considered by the stockholders at this meeting. Number one, proposal number one for our common stockholders to elect incumbent directors Terry Brubaker, Karen Merrick, and Walter Wilkinson, each to serve an additional term to expire at the twenty twenty four annual meeting of stockholders and until his or her successor is elected and qualified. Proposal two, to ratify our audit committee selection of PwC as our independent registered public accounting firm for our fiscal year ending 09/30/2021.
Time is now 11:03 on February '21, and the polls have been open for voting by computer for some time now. They're still open. The polls will be closed to voting after we go through these matters. And that's proposal number one. The first item of business is to elect the election of Terry Brubaker, Karen Merrick, and Walter Wilkinson each to serve as a director until the twenty twenty four annual meeting and until his or her successor is elected and duly qualified.
Is there any discussion? No discussion. Proposal two, the second and final item of business is to ratify our audit committee selection, PwC, as our independent registered public accounting firm for fiscal year ending 09/30/2021. Is there any discussion on that? Okay, that was a final proposal for today, putting this by proxy and written ballot.
You do not need to vote through the portal for the meeting if you've already voted, and each share of common stock is entitled to one vote for each matter on which they're entitled to vote. The report of the inspectors of this election covering the proposals presented at this meeting is as follows.
