Good morning, everyone. Welcome to the twenty nineteen Annual Stockholders Meeting of Gladstone Capital Corporation. This is Michael Licalci. I'm the General Counsel of the company. We have with us the following representatives as well from the company.
Nicole Scholtenbrand is here. She's the Chief Financial Officer and Treasurer of Gladstone Capital. We have Eric Helmold. He's the Assistant General Counsel. He will also act as Secretary of this meeting.
Also have Karen McLaughlin. She's the head of our investor relations department here at Gladstone Capital. We'd also like to say that Nicole Stroud, she's a representative of PricewaterhouseCoopers, our independent registered public accounting firm. She's here as well. It is now 11:00, and the meeting will now officially come to order.
We'll proceed with the business of the meeting as set forth in the notice of annual meeting and proxy statement. We have appointed Eric Helmold to be the acting secretary of the meeting. Will the secretary please report on the mailing of the notice of the meeting and the stockholders stockholders' notes. Excuse me.
I have here a complete list of the stockholders of record of the company's common stock on 12/03/2018, the record date for this meeting. I also have an affidavit certifying on 12/14/2018, a notice of the annual meeting of stockholders of the company was first mailed to all stockholders of record as of the close of business on 12/03/2018.
Thanks, Eric. Myself and Nicole Scholtenbrand, CFO and treasurer of the company, have been appointed as the inspectors of election at this meeting. Broadridge Financial Solutions tabulated the votes, and the inspectors and their staffs have been in contact with the representatives from Broadridge in connection with the vote tally. Both myself and Nicole have also taken and subscribed the customary oath of office to impartially execute duties as inspectors of election. We'll file these oath votes with the records of the meeting, and their function is to decide upon the qualifications of voters, accept votes, and at the end of balloting to tally the final votes.

Proxies have been received for 90.58% of the 28,504,745 shares common stock outstanding on the record date and for 75.22% of the 2,070,000 shares of preferred stock outstanding on the record date. Total number of common and preferred shares is 30,574,745 shares. Thus, the presence of 15,287,373 shares They'll constitute a quorum for the meeting. The total of 27,378,128 shares are present in person or by proxy, which constitutes a quorum for the meeting today. We may now carry out the official business of the meeting.

And then proposal two, to ratify our audit committee selection of PwC as our independent registered public accounting firm for our fiscal year ending 09/30/2019.

Again, proposal one, the first item of business is the election of Paul Attlebran, David Gladstone, and John Outland each to serve as a director until the two thousand twenty two annual meeting until his successor is elected and duly qualified. Is there any discussion about this proposal? Proposal two, the second and final item of business is to ratify our audit committee's selection of PwC as our independent registered public accounting firm for our fiscal year ending 09/30/2019.
Is there any discussion on this proposal? That was the final proposal for today's meeting. Voting is by proxy and written ballot. You do not need to vote through the portal for the meeting today if you have already done so. Each share of common and preferred stock is entitled to one vote for each manner on which they are entitled to vote.

The report of the inspectors of this election covering the proposals presented at this meeting is as follows.
