Good morning, and welcome to the 2026 Annual Meeting of Shareholders for the Koss Corporation. I'm Michael Koss, Chairman of the Board and CEO of Koss Corp. I will chair today's meeting. It's my pleasure to welcome you to the meeting. Thank you for joining us today for our virtual meeting. We will conduct the business portion of the meeting, and you may ask questions through the portal. We may not be able to answer the questions during the meeting, but we'll do our best to address any unanswered questions via email. In keeping with the digital approach to this year's meeting, it is now shortly after 8:00 A.M. Central Standard Time on October 14th, and this meeting is officially called to order.
I would like to introduce the other members of the board at today's meeting, Thomas Doerr, William Sweasy, Lenore Lillie, and Michael Koss Jr. The company has appointed our Corporate Secretary, Kim Schulte, as the Inspector of Election for today's meeting. Thank you, Ms. Schulte. We are also joined by Wipfli, our independent registered public accounting firm. The Board of Directors fixed August 24th, 2026, as the record date for determining stockholders entitled to vote at this meeting. An affidavit has been delivered attesting to the fact that either, one, a notice of internet availability of the notice of the meeting, the proxy statement, and the 2026 annual report to stockholders, or two, the documents themselves were mailed on or about September 4th, 2026, to all stockholders as of the record date and will be incorporated into the minutes of the meeting.
The stockholder list shows that as of the record date, there were 9,466,438 shares of common stock outstanding and entitled to vote at this meeting. We are informed by the Inspector of Election that there are represented in person or by proxy shares of common stock representing 6,812,817 votes, or approximately 72% of the voting power on the record date. Since this represents more than a majority of the voting power of all issued and outstanding stock entitled to vote on the record date, a quorum is present for purposes of transacting business. Now I will present the matters to be voted upon. Proposal one is the election of directors for fiscal year 2027. The current board has nominated Thomas Doerr, Michael Koss, Lenore Lillie, William Sweasy, and Michael Koss Jr. Proposal two is the advisory vote to approve compensation of our named executive officers.
Proposal three is ratification of the appointment of Wipfli as the independent registered public accounting firm. It is now 8:04 A.M. Central Time on October 14th, 2026, and the polls are open. Any shareholder who hasn't yet voted or wishes to change their vote may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who sent in proxies or voted via telephone or internet and do not want to change their vote do not need to take any further action. Now that everyone has had the opportunity to vote, I declare the polls for the 2026 Koss Corporation annual stockholder meeting closed at 8:05 A.M. on October 14th, 2026.
We've been informed by the Inspector of Election that the preliminary vote shows that the nominees for election to the board have been duly elected, the compensation of the named executive officers has been approved by the advisory vote, and the appointment of Wipfli as the independent registered public accounting firm has been ratified. We will be reporting the final vote results in a Form 8-K to be filed within four business days. There being no further business to come before the meeting, the 2026 annual meeting of shareholders of Koss Corporation is now adjourned. I will check the site to see if there are questions that we can answer at this time. There is a question pertaining to the number of shares that are held by Cede & Company pertaining to as registered owners. This has to do with stock that is held in street name.
There's no other way to answer that question that's been asked here, but that explains why Cede & Company has been listed. So thank you very much. The second question here is if there are any business acquisitions that have been made and have any meetings been made. Well, as time goes by and we continue looking into this, the prospect for future investments, we will keep the shareholders up to date as best as we can. But there's nothing to announce at this time. I would like to take this time to thank you all for your support, and have a very nice day. Thank you.
This concludes today's meeting. You may now disconnect.
