Good morning. I'm Brian Harris, Chief Executive Officer of Ladder Capital Corp, and it's my honor to welcome you to Ladder's 2026 Annual Meeting of Stockholders. I would also like to welcome the other members of the board of directors and officers of the company who have joined us today. Kelly Porcella , Ladder's Chief Administrative Officer and General Counsel, will be serving as chair of this meeting. Thank you, Brian. Now I would like to turn our attention to Ladder's 2026 Annual Meeting of Stockholders. The company has appointed Kevin Chow as our independent inspector of election. Mr. Chow is attending this meeting and has taken the oath of inspector of election. A web replay of the annual meeting will be posted at www.virtualshareholdermeeting.com/ladr2026 for a period of one year. No one attending via the webcast is permitted to use any audio recording device. The board fixed April 8th, 2026, as the record date for determining stockholders entitled to vote at this meeting. We have been informed by the inspector of elections that more than a majority of the voting power of all issued and outstanding shares of Class A common stock entitled to vote on the record date are now represented either in person or by proxy.
As such, a quorum is present for purposes of transacting business and for purposes of voting on each of the proposals to be considered at this meeting. We are here to consider two proposals, as indicated in more detail in the notice of internet availability of proxy materials and the accompanying documents that were made available beginning on April 21st, 2026, to holders of record of Class A common stock as of the close of business on the record date. They are, one, the re-election of Brian Harris and Mark Alexander to the board, and two, the ratification of the appointment of Ernst & Young LLP as our independent registered public accounting firm for 2026. The polls are now open.
Any stockholder who has not yet voted or wishes to change their vote may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in proxies or voted via telephone or internet and do not want to change their vote do not need to take any further action. Now that everyone has had the opportunity to vote, I declare the polls for the 2026 Ladder Capital Corp Annual Meeting of Stockholders closed.
