Welcome to the 2020 Annual Meeting for MEDNAX Inc. Our host for today's call is Mark Ordan, Chief Executive Officer. At this time, all participants will be in a listen only mode. I will now turn the call over to your host, Mr. Ordan.
You may begin, sir.
Thank you. Good morning, ladies and gentlemen. For the meeting, please come to order. I'm Mark Ordan, Chief Executive Officer and a member of the Board of MEDNAX Inc. I want to welcome you to the 2020 Annual Shareholders Meeting.
Due to continued public health concerns resulting from the COVID-nineteen pandemic and to protect the health and safety of our shareholders, directors and employees, this year's annual meeting is being held in a virtual only meeting format. This allows shareholders regardless of physical location to participate in today's meeting. Shareholders can listen to the meeting, submit questions and vote their shares online prior to the closing of the polls in accordance with the instructions you received prior to the meeting. Today, we will vote on 5 proposals, including the election of 11 directors. At the conclusion of the business portion of our meeting, we will entertain questions from our shareholders.
First, I'd like to introduce you to our other directors who are virtually attending today. Carrie D. Barker, Doctor. Wally A. Carlo, Paul G.
Gebos, Manuel Cadre, Thomas A. McEachin, Doctor. Roger Medel, Michael A. Rucker, Guy Sansone, John M. Starker, Jr, and Shirley Weiss.
I want to thank each of our board members for your service on our Board of Directors. I also want to recognize our other executives who are virtually attending today. They are Stephen Farber, Executive Vice President and Chief Financial Officer Dominic Andriano, Executive Vice President, General Counsel and Secretary Nikos Nicolaopoulos, Executive Vice President, Chief Strategy and Growth Officer John Pepia, Senior Vice President and Chief Accounting Officer Doctor. Mack Hinson, President of our Pediatrics and Obstetrics Medical Groups and Mark Richards, Executive Vice President and incoming Chief Financial Officer. Charles Lynch and Cindy Edwards will serve as inspectors for today's meeting and Dominic Andriano will serve as secretary.
Notice of the meeting was given to shareholders of record on July 30, 2020. The record date of this meeting was July 2, 2020. Holders of common stock on that date are entitled to 1 vote per share on each matter that is submitted to the shareholders for approval. The list of shareholders of record of the company as of the close of business on July 2, 2020, is available for inspection by the shareholders upon request. The inspectors of election have informed me that more than a majority of the outstanding shares of common stock are present virtually or by proxy at this meeting.
Therefore, a quorum is present and I declare that this meeting is duly qualified to transact business. This meeting has been called to consider and take action upon each of the proposals noted on the slide shown on your screen. Biographical information for all the nominees for directors is contained on Pages 12 through 17 of your proxy statement. The polls are now open for you to vote. If you previously voted by proxy, you do not need to vote again.
If you are voting today, you must ensure you submit your electronic ballot in order for your votes to be counted. The inspectors of election will not accept any votes submitted after the closing of the polls. Please note that any votes submitted by our electronic ballot will be subject to final verification by the inspectors of election. All shareholders attending virtually or by proxy have now had the chance to vote and the polls are declared closed. The inspectors have provided me with the preliminary voting results and I report that the shareholders have 1, elected all the nominees to the Board of Directors and 2, approved all the other proposals except for the advisory vote on the compensation of our named executive officers for the 2019 fiscal year.
As there is no other business to come before this meeting, is there a motion to adjourn this meeting? So moved. Is there a second? Second. The business portion of the annual meeting of shareholders of MedDak Inc.
