Good morning, everyone. Welcome to the 2026 Annual Meeting of Stockholders of Montauk Renewables, Incorporated. We are very excited to be hosting our fifth annual meeting of stockholders. I'd like to now turn the meeting over to John Ciroli, Chief Legal Officer and Secretary at Montauk Renewables. Please go ahead.

Thank you. Good morning and welcome to Montauk's Annual Meeting of Stockholders. In attendance at our 2026 annual meeting are representatives of Montauk's Board of Directors, as well as the company's executive management team. Members of our executive team are Sean McClain, President and CEO, James Shaw, Chief Operating Officer, Kevin Van Asdalan, Chief Financial Officer, Sharon Frank, Vice President of Environmental Health and Safety, and myself, John Ciroli, Chief Legal Officer and Secretary. I'd like to now turn the meeting over to Mr. McClain, who will preside over this meeting.

Thank you. Good day and welcome everyone. Thank you for joining us. We believe that our virtual approach to the annual meeting provides a convenient way to access our proxy materials and vote, enables greater stockholder participation in the proceedings, while also reducing the cost and environmental impact of the annual meeting. It is 9:01 A.M., and I am pleased to call to order the 2026 Annual Meeting of Stockholders of Montauk Renewables, Inc. In order to provide a fair, informative, and orderly meeting, we have established the rules of conduct and procedures for this meeting. The agenda, rules of conduct, and technical support information for the meeting can be found in the bottom half of your screen. We will conduct the meeting in accordance with these documents, and your cooperation in observing the rules of conduct and procedures is greatly appreciated.

During the meeting, stockholders will have an opportunity to submit questions in writing by typing the question into the Ask- a- Question field at the bottom half of your screen and then clicking Submit. We will do our best to respond to appropriate questions in the time permitted during the questions and answer portion of the meeting. If there are any submitted questions pertinent to the meeting that cannot be answered during the meeting due to time constraints, we will publish responses to each appropriate question on the investor relations portion of our website as soon as practicable following the meeting. Biographical information about each of our directors, including the two director nominees and the board committees on which they serve, are described in our proxy statement for the 2026 annual meeting of stockholders.

Present today, representing the company's independent auditor, is [Eamonn Wadon], Audit Partner, and Tom Baginski, Senior Audit Manager, Montauk's engagement contacts with Grant Thornton LLP. If questions arise during the question- and- answer session at the end of that meeting Grant Thornton should appropriately address. [Mr. Wadon] will be gladly to respond. I would now ask the Secretary to report on the existence of a quorum and other matters relating to the meeting.

Thank you, Sean. This meeting is being held pursuant to the notice and proxy statement, each dated April 10th, 2026, which was provided to stockholders of record as of the close of business on April 2nd, 2026. In accordance with Delaware law, a list of stockholders as of the record date has been made available for the examination by stockholders for any purpose germane to the meeting for a period of at least 10 days prior to the meeting. In addition, we're being assisted today by Bob Johnson, a representative assigned by Broadridge Financial Services, Inc. He's been designated as the Inspector of Elections to tabulate proxies and ballots. Mr. Johnson has been duly sworn to perform the duties of the Inspector of Elections. A total of 143,243,304 shares are entitled to vote at this meeting.

According to the Inspector of Elections at this meeting, 101,535,080 shares of common stock are represented in person or by proxy, representing more than 70% of all shares entitled to vote at this meeting.

Thank you, John. Based on the percentage of total shares of the company held by stockholders now present at the meeting, either by person or by proxy, I declare a quorum is present. This meeting is now duly convened for purposes of transacting business properly brought before it. Polls are now open at 9:05 A.M. for each matter to be voted on at this meeting. Voting today is by proxy and by electric ballot. Most of our stockholders have already returned their voting proxies and their shares are being voted accordingly. Any stockholder who has not voted or wishes to change his or her vote may do so by clicking on the vote button on your screen and following the instructions provided.

Stockholders who have submitted proxies or who have previously voted via the internet, by mail, by fax, by phone, or other such applicable means and do not wish to change their vote do not need to take any further action. Votes will be counted automatically. At this time, the polls are open for voting on the proposals. Would the Secretary please introduce the two matters for stockholder consideration?

There are two items of business for this meeting. Both of these items are described in detail in the proxy statement. The first item is the election of directors. The two named directors have been nominated for election, each to serve as a Class III director for a three-year term expiring at the 2029 annual meeting of stockholders. As no other persons have been nominated in accordance with the company's governing documents, the nominations are now closed. The board of directors recommends voting for the election of each director nominee named in the proxy statement.

The second item of business is the ratification of the appointment of Grant Thornton LLP to serve as our independent auditor for the year ending December 31st, 2026. The board of directors recommends voting for the ratification of the appointment of Grant Thornton to serve as our independent auditor for the year ending December 31st, 2026.

Thank you. We will now proceed to the next agenda item. I now declare the polls closed at 9:07 A.M. today, May 26, 2026, and ask that Mr. Johnson, Inspector of Elections, complete the tabulation of the votes. Will the Secretary please report the preliminary voting results?

The Inspector of Elections has counted the ballots and proxies and has reported that the preliminary voting results are as follows. With respect to the election of directors, the preliminary result is that each of the two nominees named in the proxy statement for this meeting received more than the requisite votes cast for such nominee. Therefore, all two nominees have been elected.

With respect to the ratification of the appointment of the independent auditor, the proposal has received the requisite affirmative votes of a majority of the shares present by person or represented by proxy and entitled to vote on the matter of the votes cast for such proposal. Therefore, the appointment is ratified. These voting results are preliminary, and the final voting results will be reported on a Form 8-K that the company will file with the Securities and Exchange Commission within four business days after this meeting. The final report of the Inspector of Elections will be filed with the records of the meeting. That concludes my report.
