Good day and welcome to Recruiter.com Group Inc.'s 2023 Annual Shareholders Meeting. At this time, I would like to turn the conference over to Evan Sohn, Chairman of the Board of Directors at Recruiter.com Group Inc. Please go ahead, sir.
Thank you very much, and thank you everyone for joining us today. On behalf of the entire Board, our officers and employees, I'd like to thank you for attending our annual meeting of shareholders. We're pleased again to again conduct our annual meeting virtually via the internet. At today's meeting, following introductions, we will conduct the formal portion of our annual meeting. I would like to now introduce the directors and officers in attendance at today's meeting. In addition to myself, we have attending Miles Jennings, Chief Financial Officer and Director of Recruiter.com Group and former Chief Executive Officer. Miles is the founder of the company and serves as CEO of our subsidiary, Recruiter.com Recruiting Solutions LLC. Granger Whitelaw, Chief Executive Officer and Director as of this month.
Granger is a serial entrepreneur who has built and advised many businesses across a diverse range of industries and has a strong background in finance and operations. With that, I will now call our 2023 Annual Shareholders Meeting to order, and I would like to introduce Miles Jennings, who will conduct the formal portion of today's meeting. Miles?
Thank you, and good afternoon, shareholders. Hope everyone's having a great day. We will now conduct the formal business as set forth in the notice of meeting and proxy statement, which was mailed to all shareholders of record as of March 8, 2024. While we allow time for shareholders who haven't already done so to complete their voting, I'd like to remind you that some of the statements made at this meeting may be considered forward-looking. The company cautions investors that results of future operations may differ from those anticipated. We urge you to review the cautionary statements and other information contained in the company's filings with the SEC, including our annual report on Form 10-K and quarterly reports on Forms 10-Q, which identify certain factors that could cause actual results to differ materially from those projected in any forward-looking statements made during this meeting.
Copies of the 10-K, 10-Q, and other filings are available at SEC.gov or on our investor website, which we host at Investors.Recruiter.com. At this time, any shareholders that are logged in and who have not already submitted a proxy and wish to vote their shares may do so now by clicking on the "Vote Here" button on your screen. If anyone has technical questions or issues voting, please submit them in a question, and the operator can assist you. I'll now give people a few more minutes to complete their voting and review the votes and tally them. Recruiter.com Group shareholders, as of the record date, were sent notice of the annual meeting on or about March 11, 2024, along with a proxy statement and request for proxy by the Board of Directors.
The notice of annual meeting also stated the date, time, and meeting purpose, along with a web address for participating in today's virtual meeting. I am pleased to announce that there are present by proxy a sufficient number of the voting shares of the company to constitute a quorum, which we determined to be 487,523 shares. Accordingly, this meeting is duly called to order. A copy of the notice, proxy statement, and the form of proxy, as well as an affidavit of distribution of Broadridge Financial Solutions, shall be made a part of the record of this meeting. At this point, I would ask for all votes to come in, and I'll wait for a moment. At this point, the polls are closed, and I will now report the preliminary results of the voting.
There are three proposals to be considered during this meeting, all of which were described in detail in the proxy statement furnished to shareholders. Our first proposal is the election of directors. The Board has selected seven people as its nominees for election as directors, including Evan Sohn, Granger Whitelaw, Lilian Mbeki, Deborah Leff, Steve Pemberton, Wallace Ruiz, and Miles Jennings, myself. I am pleased to report that each of the directors standing for election at today's annual meeting have received an affirmative vote of more than the majority of shares voted in our hereby elected. Those shares being voted by proxy, consisting of a plurality of the shares represented at this meeting, have voted in favor of this proposal. Consequently, these seven nominees have been elected.
Our second proposal relates to the ratification of the appointment of Salberg & Company, P.A., to serve as the company's independent registered public accounting firm for the company's 2023 and 2024 fiscal years. The number of shares voted by proxy, which consists of a majority of the shares represented at this meeting, have voted in favor of this proposal. Consequently, the proposal has been approved. Our third proposal relates to the adjournment of this annual meeting to a later date or time, if necessary, to permit further solicitation and vote. However, since we reached a quorum, this proposal is moot. The final tabulation of these votes will appear in our required Form 8-K form to be filed with the Securities and Exchange Commission. This concludes the formal portion of our 2023 Annual Shareholders Meeting for Recruiter.com Group, Inc. Thank you very much for your participation and support.
I'll now turn it back to Evan, who will first adjourn the meeting and then follow up with time for questions and answers to be submitted online. Evan.
Thank you. Thank you, Miles. The third item of business relates to the adjournment of the annual meeting to a later date or time, if necessary, to permit further solicitation on the votes of the proxies. The company reached a quorum. Therefore, this proposal is moot. The final tabulations of these votes will appear. Oh, sorry about that. If there's any further business to come before the meeting, and if there's no further business, this meeting is hereby adjourned. We now have a brief period for questions and comments by stockholders, which are submitted online.
Shareholders, we are reviewing questions to be submitted online, and if there are questions, I would encourage you to please submit them at this time.
If there are no additional questions or no further questions, I make a motion to adjourn the meeting, or I move to adjourn the meeting.
I second that motion. This is Miles Jennings, and the meeting is formally adjourned. We thank you so much for your participation and support of the company, and please be sure to keep in touch with the company. It's an exciting time, and we are issuing communications via press release and through 8-Ks. Everything is available through SEC.gov. Also, keep in touch with our investor website. It's Investors.Recruiter.com, and we thank you again for your participation.
