Good morning and I'd like to welcome you all to the annual meeting of stockholders of New Mountain Finance Corporation. I am John Kline, President and CEO of NMFC. It is my pleasure to welcome you here today for this meeting. We have stockholders attending via the web portal. As our custom, we will conduct the business portion of our meeting first and answer any questions at the end of the meeting. In keeping with the digital approach to this year's meeting, it is now 10:30 A.M., and this meeting is officially called to order. Present at the meeting today are other senior management members of NMFC. Kris Corbett, Chief Financial Officer, and Eric Kane, Corporate Secretary.

Also in attendance are our independent board members, Rome Arnold III, Barbara Daniel, Daniel B. Hébert , John P. Malfettone, and David Ogens, as well as Steven Klinsky, Chairman of the Board of Directors of NMFC. Eric Kane will act as Secretary of this meeting. Paul Ramirez, a representative of American Election Services, LLC, has been appointed to act as Inspector of elections. Clay Chandler, a representative of Deloitte & Touche LLP, NMFC's independent registered public accounting firm, is also present at this meeting. During the question and answer period at the end of this meeting, he will be available to answer questions concerning the company's financial statements. I will now turn the meeting over to Eric Kane.

Thank you, John. After the formal meeting has been adjourned, we will provide time for general questions. Only validated stockholders may ask questions in the designated field of the web portal. Out of consideration for others, please limit yourself to one question. Company management fixed March 13th 2026 as the record date for determining stockholders entitled to vote this meeting. An affidavit has been delivered attesting to the fact that either, one, a notice of internet availability of the notice of the meeting, the proxy statement, and the 2026 annual report to stockholders, or two, the documents themselves were mailed on or about March 27th, 2026 to all stockholders as of the record date and will be incorporated into these minutes.

The stockholder list shows that as of the record date, there were 98,509,563 shares of common stock outstanding and entitled to vote this meeting. We were informed by the Inspector of Election that there are represented in person or by proxy shares of common stock representing 73,699,578 votes, or approximately 74.81% of the voting power of the record date. Since this represents more than a majority of the voting power of all issued and outstanding stock entitled to vote on the record date, a quorum is present for the purposes of transacting business. I will now present the matters to be voted upon.

Please note that we will give stockholders an opportunity to comment on the proposals themselves after all proposals have been presented. Please submit your comment through the web portal. The first proposal before the stockholders of NMFC is the election of Rome Arnold III, Daniel B. Hébert and Steven B. Klinsky as directors of NMFC to serve until the annual meeting of stockholders in 2029 or until their respective successors are duly elected and qualify. The second proposal before the stockholders of NMFC is the ratification of the appointment of Deloitte & Touche LLP to serve as NMFC's independent registered public accounting firm for the fiscal year ending December 31st, 2026.

It is now 10:34 A.M. Eastern Time on May 12th, 2026, and the polls are now open. Any stockholder who hasn't yet voted or wishes to change their vote may do so by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in proxies or voted via the Internet and do not want to change their vote do not need to take any further action. Now that everyone has had the opportunity to vote, I now declare the polls for the 2026 annual stockholder meeting closed.

We have been informed by the Inspector of Election that the preliminary vote report shows that the nominees for election to the board have been duly elected, as well as the ratification of the appointment of Deloitte & Touche LLP as NMFC's independent registered public accounting firm. We will be reporting the final vote results in a Form 8-K to be filed within four business days. With that, I turn the meeting back over to John.
