Investor update

Oct 28, 2026

Summary

The majority-interest acquisition of Fox Soccer Academy is scheduled to close in November, with integration focused on academy growth, international pathways and cross-selling. Fox serves ~2,100 players, with ~95% voluntary retention; a digital HPT platform is being prepared.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Nomadar will acquire a majority interest in Fox Soccer Academy. The agreement was announced on September 14th and remains on track to close next month. My name is Richard Land with Alliance Advisors Investor Relations, and I will host today's panel discussion with Nomadar's CEO Americas and Board Director, Joaquín Martín, Fox Soccer Academy Co-founder, Managing Partner, and Technical Director, Christian Fuchs, and Fox Soccer Academy's Co-founder, Managing Partner, and Business Director, Raluca Gold-Fuchs.

For background, Nomadar has been listed on Nasdaq for just about one year now and has continued to achieve some significant milestones on its strategic plan during this time, including the agreement with Fox Soccer Academy. The company also was added to the Russell Microcap Index in June. Nomadar operates at the intersection of sports, tourism, technology, health, and experiential infrastructure, and it develops and operates platforms designed to connect global audiences through high-performance training, youth development, digital education, international programs, sports tourism, and large-scale experiential projects.

Fox Soccer Academy is an international youth soccer organization co-founded by Christian Fuchs and Raluca Gold-Fuchs. The academy operates across the United States, the United Kingdom, and Austria, providing structured development programs, camps, clinics, showcase events, and international pathways for youth players. The model combines elite coaching standards, a Premier League-inspired curriculum, and a long-term approach to player and personal development.

Before getting into our discussion, I do want to let you know that you can submit questions in the chat feature of the webinar, and following the panel discussion, we will get to as many of your questions as possible, time permitting. With that, before we begin the panel conversation, I want to provide Joaquín, Christian, and Raluca with a few minutes to review their respective companies. Let's start with Joaquín.

Joaquín Martín
CEO Americas and Board Director, Nomadar

Okay. Thank you, Richard, and thank you everyone joining. I'm going to give a little overview, brief, because we will have the opportunity in this webinar to show the connections of Nomadar and with Fox, et c. Nomadar, as you said, we started trading in Nasdaq, became a public company last October 31st, 2025. It's an international connected ecosystem platform focused on sports, technology, tourism, and real estate. We are linked with Cádiz Club de Fútbol, is our majority shareholder, historical team of LaLiga.

Around the professional soccer club, in that ecosystem, we have different verticals. One of the verticals is soccer academies, training, education, which is the main topic that we are covering today. But the other verticals, as I said, is real estate, technology in a transversal way to all the different areas. Concerts and events is the third edition in 2027 that we're having for summer. Anyway, different verticals that we can speak, but the main element is that all the verticals are connected, as we will see, and that's one of the important elements that is bringing us today. I'm going to pause there. I'm going to pass to Raluca to have some overview for Fox Soccer Academy.

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

Thank you, Joaquín. I am Raluca. I am the founder, together with Christian, of Fox Soccer Academy. We founded the company about 11 years ago in New York, and we have expanded since then to multiple locations throughout the U.S., the U.K., and Austria. We have players that are registered in multiple leagues in the United States, from the lower local leagues to the highest leagues in the soccer world. We provide many opportunities to our players to apply to college through all the soccer education that they get through our academy.

We also provide international opportunities for our players, and some that excel at what they do have the opportunity of becoming professional, and that's something that Christian has naturally extended from his professional career as a player into our company, and we're also very excited to have kids and players that stay with us for the duration of our company.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Perfect. Thanks, Raluca. Thanks, Joaquín. All right. Let's get into our conversation this morning, and let's start with, I think, a question maybe for all three of you. Let's start with the strategic fit and what the benefits of bringing these two companies together. So I'll ask you, how does connecting Fox Soccer Academy's U.S., U.K., and Austrian operations with Nomadar's high-performance training program, which I'll refer to in the panel discussion as the HPT program going forward, and Cádiz Club de Fútbol, how does it help grow both operations of the businesses? Joaquín, do you want to start with that?

Joaquín Martín
CEO Americas and Board Director, Nomadar

Yeah, I will start with that. It's a very natural fit. I'm going to give a step back because since the beginning, we have been working together, or we met around one year ago, and since the beginning, we saw the natural connection in terms of what we could do together. Fox is in New York, North Carolina, U.K., and Austria, working on player development. We have our high-performance training program, our HPT program, with our own methodology in Cádiz, in Spain. The fact of aligning and collaborating two methodologies, which are world-class.

We have to remember that Christian is a Premier League former champion, 2016 with Leicester, that Fox Soccer Academy has a Premier League-inspired methodology. We have our world-class methodology with a LaLiga team. There are many connections there working from the position of collaboration. How can we enrich the experience of the players, the methodologies, and also something very important, and I will pass Raluca and Christian, something very important that we are doing is building those bridges between different territories and different continents for the players to have the possibility in their development to have access to, one, elite methodology, two, professional environment, a professional club environment. Just wanted to put the frame, because we started working as collaborators, and we're ending being actual partners. Raluca, Christian?

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

Yeah. First of all, thanks everybody for joining. I'm Christian Fuchs. It has been a very good journey so far with Nomadar. Like Joaquín said, it's about 11 months, almost 12 months. I was very curious from a football perspective what Nomadar and Cádiz are doing in Spain. We took the opportunity to go there and to see firsthand what their HPT program is. For us, this HPT program has a lot of value. That's one part. The other part is that we always want to give players opportunities, international opportunities, to provide experiences. So this partnership is really about building on what we've already created and taking it to the next level.

As Joaquín said, Fox Soccer has a very strong presence in the U.S. and U.K., and also Austria. Together with Nomadar, we can offer even more, right? A big part of Nomadar is the HPT program, like I said, which gives ambitious players, I believe, build even stronger foundation to reach the next level, to reach their full potential. Our connection with Cádiz also creates this opportunity of international football experiences, which I'm a big friend of, because it just takes one single moment for a player to make the next step to get inspired, which can change a whole career of a player.

For us, it means expanding our offers to our families, while still keeping the personal approach, which is for us, so important, that we always have a personal approach with them, that we know players by their names, not by numbers. At the end, I think this can help very much so for both organizations to grow. But again, what matters the most to us is that the player is always in the centerpiece of the operations.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Perfect. Thanks.

Joaquín Martín
CEO Americas and Board Director, Nomadar

If I can add—

Richard Land
Managing Director, Alliance Advisors Investor Relations

Uh-huh. Go ahead, Joaquín.

Joaquín Martín
CEO Americas and Board Director, Nomadar

If I can add just an example, because it makes sense following what Christian was saying. In the last couple of months, for example, from the HPT program, it's a proof for players after, in the middle of their development, how they can be successful. For example, Mario Lobato, in the last two months, Mario Lobato, has been for five years in our academy with the HPT program, with the methodology, has been called up by the national Spanish team U15. Or we have the case of Dilan Zárate, who is actually playing in their first team of Cádiz Club de Fútbol, and he has been called up by the Spanish national team U20.

Or Jan Saltzman was U16, and he has been called up by the Swedish national team. He's playing in the Cádiz academy. These are just few examples how a methodology such as Fox Soccer Academy and the HPT program can help those that they have professional aspiration. It's not the only aspiration, the only motivation, or the only reason, because we are aligned in that, in values. But it was just three examples of the last two months, how players are being called up and being successful by the national teams.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Perfect. I want to build on some of the comments that Christian had, and Raluca, maybe I'll turn this one over to you, in terms of what makes Fox Soccer Academy unique among other academies. Coming out of the World Cup here, one of the talking points in the U.S. was on youth soccer development. Is your international presence a differentiator for U.S. players compared to other domestic-based academies? Or just what is the secret sauce that makes Fox Soccer Academy unique and a high-value proposition for youth players?

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

Yeah. What I believe makes us unique is having this international exposure that we've created since the very beginning. We try to stay one step ahead of our competition by creating our curriculum, which is based on international football, by giving players the opportunity to travel overseas and spend time at our other locations, and seeing the level of football, soccer, at other locations throughout the world. Because I believe staying just in the U.S. and being exposed to just the local leagues limits their potential, and we don't want them to be under the false impression that they are the best.

We want to push them to their limits when they do travel internationally to the U.K., to Spain, to Austria. So offering them this opportunity to have exposure to international soccer is, I believe, more unique to us. Having the connection to Nomadar, now being able to also show them the Spanish soccer, again, gives them more opportunities, more chances to train with players in other leagues in other countries, seeing what it is that they still need to work on when they come back to their base.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

Richard, if you do not mind—

Richard Land
Managing Director, Alliance Advisors Investor Relations

Yeah.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

—I would like to follow on that as well with a little something. What we have been able to do over the last four to five years, really, was that a lot of players were interested already that were predominantly based in the U.S. to come to us to England for a month, for two months, for a year. One player even stayed for two years to be able to be exposed to high competition, to be able to follow a professional calendar where the players go to school in the morning, our own school that we are hosting, have training during school hours, then go back to school again, then have a game in the middle of the week.

What we frequently do is put on showcase games where we play against teams from academies from Premier League, Championship, League One, League Two, National League, to showcase them. To give them opportunities, A, to learn, which I think is the most important thing, then, B, if a player actually shows up, they have the opportunity to get signed. We have quite a few success stories in those regards already as well.

The way I see it with our U.S.-based players, because we know there is a lot of regulations with FIFA, what is there is these experiences can help them then, hopefully, that is our goal, create scholarships in U.S. colleges. So when they go back, they can say, "Okay, I have been playing here. I've played against those teams, with those teams, and show on their CV what they actually achieved over the last 2 years in a foreign country, which, given our experiences, and we have college coaches in our coaching staff as well, is a big advantage over players that were just staying local.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Perfect. Thanks, Christian. We're going to keep the spotlight on Fox Soccer Academy just for this next question because we want investors to understand what the business is that Nomadar is acquiring here. If we think about the existing business and the model for the business, I think Fox Soccer Academy serves a little more than 2,000 players currently. If you can give us some background on what you're comfortable with on how many are recurring academy members versus camp clinic or other program participants and essentially, if we think about the last season's operating performance, including member retention rates, what should that bring to investors to understand the business that's being acquired?

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

Sure. Yes, we do have approximately 2,100 players registered throughout all our locations. About 70% of those are permanently registered with our teams for the season, playing in local leagues or higher leagues. The other 30% attend our camps and clinics and showcases and all the other programs that we have to offer. Our retention rate, voluntary retention rate, is about 95%, so it's very high. For those players that return to continue their team training, we start teams from U9 and we go all the way to U19s. I'm very proud to say our retention rate is very high.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

The business, obviously, I'm sorry, I'm coming here as well, because we are operating in three different countries, the business in each country is different. In the U.S., it's very heavily based on teams, as most of us know. In the U.K., the teams start at U16, where they come to us on a full-time program where we provide tutoring, where we provide the A levels so they can go on to further studies. So that's from U16 to U19. Below that is also recurring, is a season from September until June, where players come to us on a weekly basis. They are committed to us for a whole year.

They sign a contract before that, to receive additional training to their club training. In Austria, the business, again, is very differently, but again, the subscriptions are annually where we focus on individual training. Everything is the commitment of players, again, is on a long-term basis, but because U.S. is different to the U.K. or Austria, or every country is different, those subscriptions look slightly different in all countries based on what's available.

Joaquín Martín
CEO Americas and Board Director, Nomadar

I would like to add for the investor understanding some color from Nomadar perspective in terms of how we approach and how this worked very well, thanks to the alignment of vision and interest. No doubt, Fox Soccer Academy is a 10-year running academy, solid in operations, and there's no doubt about that. Now, the way that we approach is working together with the founders, with the core of operations, and we agree and we align in a growth plan for the coming years. There's two drivers for growth here. Number one is the academy itself.

Fox Soccer Academy, no doubt, has space to grow in different ways. The academy itself, number of players, Raluca and Christian, they are very careful about the quality of the service and the quality of the training, and at the same time, keeping that in parallel with the growth of the academy in the different territories, expanding, etc. That is something that before signing the agreement, before completing this, both teams, we are fully aligned. That's driver number one for the following years. But driver number two, and I remind, is this possibility of interconnecting the different verticals.

Because once Fox Soccer Academy is integrated in Nomadar ecosystem, we have the possibility of all the bridges, all the paths that we're building are multidirectional. So taking players from U.S. to Europe, vice versa, taking players from Europe to U.S., not only in sports. Have in mind that we are also focused in sports tourism. So we are expanding that scope, that audience, as well, in both directions.

The audience that Fox has to give the opportunity to have experiences, and not only for the players, but also for the families, that they are already doing, because every year, as Raluca was describing, players from U.S., they go to tournaments in Europe, and with the players, they go the families. So there are possibilities with those two lines, the academy itself with a growth plan, and the integration in Nomadar ecosystem with all the interconnection that allows growth for the ecosystem, basically.

Richard Land
Managing Director, Alliance Advisors Investor Relations

That's perfect, Joaquín, and I think you were seeing just slightly into the future as you started to get a little bit. You started to get into my next question here. Let's focus. We've gone a lot into the background on the business and the opportunities here and what the strategic fit is. Let's talk a little bit more for investors that are looking at this combination, how we turn this combined network into incremental revenue. I'll phrase it at least. How should we think about a typical Fox Soccer Academy player and family moving from the local training at the academy into Nomadar's international HPT programs, tournaments, and sports tourism programs?

Have you have a game plan set out for how you think about over the next several years, what participation rates and incremental margins actually that can come from higher revenues, like how that supports your expectations for being able to cross-sell the two programs together over the next several years? Joaquín, I put a lot into that question, but you did tease it out before that, so let's start with you.

Joaquín Martín
CEO Americas and Board Director, Nomadar

Yeah. Two levels of answers. One is the concept. The concept here, as I already described, is a possibility of what are the reasons why the players get involved, or they would like to go abroad, either from U.S. to Europe or Europe to U.S. There is a motivation of having a foreign experience abroad, an experience abroad with a catalyst or the driver of soccer. Have in mind that we are focusing in players between 12 and 18 years old in terms of mobility. There is also the sector or the niche of those that they are preparing to go to college or university, and at the same time, they want to have an experience in their curriculum for their application.

And there is a third group, those that they have professional aspirations. We have seen that here in the States, the players in 17, 18, they have professional aspirations, and they have to manage by themselves. Here is the possibility to have a structured path for those that they have professional aspirations. The other element is the total connection with a professional soccer club, with a league such as LaLiga. At the same time, we have in Europe the market of U.K. and Spain very strongly, besides Austria, but fully operational there with connections.

The fact that there are two methodologies, that they are combined and aligned, thanks to the good understanding, the fact of the connection with a professional soccer club, those are catalysts in terms of growing. From a conceptual point of view, that is the game plan, that integration, that strong position in different markets, which are world-class football soccer market, and that connection with professional. Those from a conceptual point of view. From the game plan, as I was saying, of course, we are growing. We have on the table a growth plan.

We can say that obviously we are working with factors multiplying by two or by three. Let's have in mind, for example, the industry numbers. U.S.A., only U.S.A. market, it's $2.28 billion. Global, the youth sports, only the youth sports, not only soccer, in 2025, it was $36.3 billion. We're only a little part. We're attacking only a little percentage of that, but in our ecosystem, we have the power, we have the advantage of being able to work as one in markets such as U.S., U.K., and Spain, that I would say they are top three markets in the world. Those, yes. There is a plan, and I'm telling you some figures for the upcoming years.

Richard Land
Managing Director, Alliance Advisors Investor Relations

What we're trying to say is that this—

Joaquín Martín
CEO Americas and Board Director, Nomadar

Raluca. Yeah.

Richard Land
Managing Director, Alliance Advisors Investor Relations

What we're trying to say is this combination of these two companies, you're going to capture the majority of that market share now, is what you're saying, right?

Joaquín Martín
CEO Americas and Board Director, Nomadar

Well, I wouldn't say the majority because—

Richard Land
Managing Director, Alliance Advisors Investor Relations

I know.

Joaquín Martín
CEO Americas and Board Director, Nomadar

—but we're happy with the—

Richard Land
Managing Director, Alliance Advisors Investor Relations

We're happy market.

Joaquín Martín
CEO Americas and Board Director, Nomadar

Absolutely.

Richard Land
Managing Director, Alliance Advisors Investor Relations

It's just a small piece of that market size, though. As you grow it, that's significant for the shareholders—

Joaquín Martín
CEO Americas and Board Director, Nomadar

No.

Richard Land
Managing Director, Alliance Advisors Investor Relations

—of this company. Absolutely.

Joaquín Martín
CEO Americas and Board Director, Nomadar

No, no. Absolutely. And the thing here is that with the combination of Fox Soccer Academy and Nomadar, we become a leader actor in the industry because that combination is unique in terms of—

Richard Land
Managing Director, Alliance Advisors Investor Relations

Yeah.

Joaquín Martín
CEO Americas and Board Director, Nomadar

Again, it is not common to have this alignment and common work combining and connecting the player development with a professional soccer environment. It is not common. Here in the ecosystem, thanks to the work, thanks to the alignment with Christian and Raluca as co-founders, we are able to do it.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Yeah.

Joaquín Martín
CEO Americas and Board Director, Nomadar

I would say the message is leaders in that niche, in a strong position to attack a big and huge market.

Richard Land
Managing Director, Alliance Advisors Investor Relations

That is great. Raluca?

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

And if I may add to your original question of how do parents typically move from local training to international travel, we have been doing this already for a few years. A big part of what we do is parent education, so we try to expose our families to international travel. We participate in international tournaments every year, for the last five years at least, and we have taken families from all locations, combined them into tournaments in Italy, in Spain. We are going to Madrid next year for Easter.

And parents are more and more open to this idea that soccer is a lot bigger than what is happening in the U.S., and once they go and they compete with local teams in Europe, they realize how important this is for their children's development. So we have already been working so much on that part of educating the parents, who are really our clients, right? The players are there to learn, but the parents are our clients. And I think we have been doing a very good job opening their eyes to how big this sport is and how much they do need to support their players and their children if they want to pursue this sport, and if they do not want to do it just casually.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Great. Thanks, Raluca. So Christian, I am going to turn this one over to you, and think it is appropriate for a former Premier League champion. By the way, what a magical season that was for all neutral observers. That was amazing watching.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

Quite some time ago.

Richard Land
Managing Director, Alliance Advisors Investor Relations

It was amazing.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

11 years ago, 10 years ago, quite some time.

Richard Land
Managing Director, Alliance Advisors Investor Relations

I can still remember it like it was yesterday, that last game of the season or the couple of games before that, actually, I think is when you clinched. Fox Soccer Academy uses a Premier League-inspired curriculum. Nomadar's got the Spanish LaLiga development HPT program. How do you envision that improving the overall player development, and their experience as you bring these two companies together, these two operations together?

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

Me, it excites me a lot. First of all, because the curriculum took me quite some time to put together. Yes, I've played in Leicester in the Premier League, but I've had quite some good coaches that I've worked with. Thomas Tuchel was one of them, or Brendan Rodgers, who just inspired me, who I took the best parts that I thought, okay, that helps me improve, right? To pass them on to the next generation. But also, the managers that I didn't go along so well, they actually taught me the bigger lessons, how I do not want our academy to be, right?

With that being said, our number one goal is the academic school success of our players. That's the number one thing, because that is a guarantee that they go to school. Now, how can we support them? We have now the opportunity to give our players the best of both football cultures, right? Football from one of the best leagues in the world. I know we are talking to some Spanish people here as well, and they will be like, "Ah, is it?" Who knows? Let's say the most popular league in the world, right? Plus football from the country of the World Cup champions.

So we are combining the intensity, the discipline, and the physical demands of the English game with the technical skills, creativity, and the technical understanding of the Spanish football. Our partnership with Cádiz adds another exciting opportunity in my eyes, which is giving players potential access to training experiences, evaluations, and simply exposure to professional football in Spain. Of course, these opportunities, they are not guaranteed to anybody. They will depend on each player's development and also their readiness.

For us, success isn't just producing professional players, professional footballers. Like I said, number one thing is how can we help them succeed academically? Because every player across three countries, they all have different dreams, and some want to play professionally, others want college scholarships, and many simply also just love the game. We want to measure that success through individual player progress, opportunities to advance, educational pathways, personal growth.

Ultimately, our goal is to keep our players as long as possible in our Fox environment, and if we help our players become better footballers, with more confident, more well-rounded young human beings I think that's when we actually do a pretty good job, and having now Nomadar and this curriculum added to Fox is a big, big plus for us.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Man, that's great. I know there's a little bit this national rivalry here. We know it's a global sport, right? We had an Englishman win the Player of the Year just earlier this week, and of course, Joaquín is very proud that Spain is the World Cup champion for now, but it's a global sport. The Englishman was playing in Germany when he won the, right?

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

See, that's why—

Richard Land
Managing Director, Alliance Advisors Investor Relations

Yeah.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

—I said before, the Premier League is really good, but we have the curriculum of the World Cup champions as well, right?

Richard Land
Managing Director, Alliance Advisors Investor Relations

Exactly. All right. So that is kind of maybe Raluca and Joaquín, we will look at this one for you. You are bringing these two operations together. If we think about how we think about a repeatable expansion model for the business, when you look at the different market opportunities, which of the existing or new markets do you think offer the strongest opportunity for near-term or even medium-term growth? Where can that expansion happen, and where will some of the efforts be placed?

Joaquín Martín
CEO Americas and Board Director, Nomadar

Well, I think, Raluca, if I may go first, then I will share with you. I think there are two levels here. One level is, as you say, from operation perspective, when an M&A operation like this happens, it is a phase I of integration and consolidation because there are two organizations, different territories, different countries, some of them operating in the same territory. So there is a phase I of consolidation and integration. I am not going to invent the wheel. That is what we need to do in order to maximize efficiency and to set the ground for.

Because one thing is that in the upper management level, we are fully aligned and the vision is clear, then you have to bring it down to operations, and both organizations have to be totally aligned as well in terms of the operations. Number two is expansion. I would say that there is a space to grow within U.S., and there is a space to grow with the interconnection between those territories, between U.S.A., U.K., and Spain, and Austria, of course, before going to other territories. Because again, there is a space to grow both with interconnection of those territories and everything that we can do together. That would be the focus, to maximize the efficiency, to maximize the opportunities that being fully integrated we have in terms of growing. Raluca?

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

Yes. I agree with you, Joaquín. First of all, we need to concentrate on our existing clientele, our existing database, and how do we integrate the products offered by Nomadar, and how do we offer these products in a new package to our current database. If you are referring to expansion location-wise, we as Fox, have always done it very carefully, very strategically, making sure that we are going into areas that need something new, that need something better, that we connect with other academies that might want to merge with us to continue offering what we are offering.

So that location expansion has been done very carefully in areas where there is high interest, where the population and the demographics have the right offering for what we have, where obviously we want to concentrate on the coasts and on the East and West Coast as much as possible. I think I am going to stop speaking there, so I do not say too much. You get the idea.

Richard Land
Managing Director, Alliance Advisors Investor Relations

We do get the idea.

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

Yes.

Richard Land
Managing Director, Alliance Advisors Investor Relations

We have just about 10 minutes more for the discussion. We have got a few more questions. I do want to remind everyone, if you had a question you wanted Joaquín, Christian, or Raluca to address, please feel free to put it into the Q&A at the bottom of your screen. We will pick it up, and we will get to it. Joaquín, maybe turning back to you. Nomadar has got a high focus on the digital HPT program, the digital program. How do you see that initiative supporting Fox Soccer Academy's players and coaches or their academy operations, even?

Joaquín Martín
CEO Americas and Board Director, Nomadar

No, totally. One thing that we have is the combination of the in-person experience with the digital experience. Something which is happening to us already is that we receive players actually from U.S. They go to Cádiz for two months, three months, the whole season, and when they go back to the States, they want to keep the motivation, the connection with the methodology, the training. Technology and digitalization is one of our drivers. We already launched in the first half of the year for the educational side, the membership community, for those that they want to work in a professional soccer team.

Specifically for the methodology for the HPT program, we are preparing the launch of an application, of a platform to allow two things. One, those that they are already enrolled in the program to have the possibility when they go back home to keep the connection with the whole methodology, the digitalization of the in-person experience. Two, for investors, it's an additional entrance to the program, because so far, the first entrance is in person, only in person.

I f you are in California, in Ohio, in Beijing, wherever you are, you have the possibility of being exposed or you have the possibility to enroll in elite methodology program digitally, and that's an additional entrance because you can start digitally, and from there you can jump in person. That is a way. In order for Fox, while we have the possibility to offer already since the beginning to the 2,100 players from Fox Soccer Academy, to be, again, what we said since the beginning, is closing the circle to enrich the experience in coordination with Christian and Raluca, but to have access to that even before having the possibility of traveling in person. In some way, you start aligning and enriching the experience that the players have.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Perfect. Thanks, Joaquín. I'm sorry, Raluca, go ahead.

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

Yes, I just wanted to mention how exciting it was for us to learn that Nomadar is so deeply involved into developing this technology for a long time, and operating a soccer academy as they have been operating for so many decades. You have to think ahead. You have to integrate somehow this age of AI and this age of technology. For me, it was so refreshing to see that someone has been working on it for a long time, and there's a way to integrate it into what all these academies do in the classical way, if I may say so.

So, great. We have a location in New York. We have a permanent location in New York. We have a lot of eyeballs going through this location every day, and I'm really very much looking forward to somehow integrating this technology into all of the clients that walk through our doors every day and seeing how we can create new products with it in the U.S.

Joaquín Martín
CEO Americas and Board Director, Nomadar

I will add very briefly something, which is in the philosophy. The methodology and the technology that we apply to the first team and we apply to the professional academy is the same methodology and technology that we democratize and we apply to the international programs. Christian is nodding because they had the possibility of having the experience, and that is part of the philosophy. It's technology.

Injury reductions, for example, it was reduced 30%, three zero in the first team. That same methodology, strength approach, physical preparation, is what is applied to the academy, to the international program. So it's a way of making broader the base of the application of the technology and the methodology. Just wanted to give that color for the commitment of player development.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Perfect. Thank you. So we do have a question from one of the participants on the webcast, and this gets into how youth soccer academies or academies around the world operate. The question, I guess, maybe first for Christian or Raluca, can you walk us through, is there any ownership rights of a player that comes through the academy that then goes onto a path towards the professional game? Joaquín, I'm not sure if that specifically at this point relates to the Nomadar program as well, but maybe Christian, Raluca, if you can start and address that question.

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

Yes. I will jump in here. Again, to paint the picture for those that might not be familiar with the soccer market in the U.S., each player signs a contract to join any academy for one season. At the end of that season, they are free to go anywhere they want. As I mentioned in the beginning, our retention rate is really high, so we hope that we do a really good job for these players to keep returning to us every year. There is no guarantee that players will stay with you for the lifetime of their soccer career. They do stay in our academy. Again, they sign a one-year contract.

They train with us starting at the age of nine, when they start playing competitive games in different leagues, and then they will stay with us hopefully until they are 18. Usually, we have many partnerships with professional clubs in each of our locations, and we expose these players through showcases, through personal invitations of certain clubs to come look at the players when they are the right age of recruiting, starting around 15 through 19. They are constantly exposed to the professional clubs. If they get an invitation to join a tryout at the professional club, we are the first ones to let them go, to let them take that path. We do not hold back our players, and that is something we are very proud of, that we want to push players further.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

I will just add one more thing here. Yes, we want to push players forward. We want them to be successful. We want them to sign a professional contract. We are not in the business of agencies. That is not who we are. We have the connections to when a player moves on and he signs with a professional team, that we can work with agencies to still be involved with the player after he leaves the academy, if that. That is where I stop.

Richard Land
Managing Director, Alliance Advisors Investor Relations

That is helpful. Thanks, Christian.

Joaquín Martín
CEO Americas and Board Director, Nomadar

I am going to complete just very quickly the scenario because it makes sense, the ecosystem. We are here speaking about the academy level. Obviously, the age is regulated about when you can have a professional contract. In the ecosystem, we have a professional club. That is where it has come onto the table. We are not an agency, but again, at the same time, we have a professional club already in the ecosystem. Any player in their development in their professional career, in terms of rights, it will be applied the same criteria than any professional club has in place. Just to complete the level of the academy with a professional club.

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

I do need to add something else because I reread Peter's question regarding the ownership rights. When a player signs a contract with a professional team, part of that part of that contract that they signed, they are being asked, "Where have you trained before you joined us?" There is a certain compensation that Fox would be due for all the years of training that we have provided. That professional club, sometimes we waive it if we need to support that player more, but we do have the right to request that training. It is called training compensation from that professional club, depending on what league or their country they are in.

Richard Land
Managing Director, Alliance Advisors Investor Relations

That's—

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

I hope I explained that better, Peter.

Richard Land
Managing Director, Alliance Advisors Investor Relations

That is great, Raluca, and that is the nuance of the question that I was not able to get to in asking it from the written comment, but thank you for that. We have time just for a closing comment, maybe Joaquín, you start with this. It came from another one of the participants. I think we talked about this earlier in the call, but if you can just give us an update on the status of the timing of the closing.

Again, I think you touched on a little bit earlier in the call, but just how you think about the milestones for the business, the combinations of the business over the next several years, and where you think that growth can come. So a little bit just reiteration on the timing of the transaction being completed, and then the next few years' expectations as the businesses come together.

Joaquín Martín
CEO Americas and Board Director, Nomadar

Yeah. Very quick question because I know that we are in the border of the time. Closing is scheduled for November, so during the month of November, we should close, definitely. The definitive agreement is already signed. It was middle of September, and there are just the legal pending requirements being completed, more administrative than other thing, and we intend and plan to close this month of November.

Although, as I said already, we are working as partners for the previous months, thanks to this collaborator. So moment zero is not November. We are already working together in different initiatives. For the upcoming years, for 2027 and the period, the main milestones from an operational perspective is the efficiency of being integrated and being working. We are happy with that, again, thanks to the great collaboration, and the increase of the business for the interconnection. Those opportunities to cross-sell the different territories and the different industries such as sports, tourism, and the different initiatives. Those are the main milestones on our side.

Richard Land
Managing Director, Alliance Advisors Investor Relations

Perfect. Thanks, Joaquín. We are at time. I just didn't know if I could open it up for all of you, just if there's some quick closing comments you want to make. Raluca, Christian, I can start with you. We will give the last word to Joaquín.

Raluca Gold-Fuchs
Co-founder, Managing Partner, and Business Director, Fox Soccer Academy

I just want to add that I have been running Fox for many years, and I am very excited to be in this sector, even though I do not know anything about football on the field, but I absolutely enjoy very much working with the players and with the parents. It is a great time to be in this industry in the U.S. and worldwide, and I do not think the growth is going away anytime soon. It is only going to get bigger because it is becoming a very safe sport compared to other sports in the U.S. So we are seeing the migration of children gravitating towards this sport. So I love working with our families and with our players and seeing them grow through the sport.

Christian Fuchs
Co-founder, Managing Partner, and Technical Director, Fox Soccer Academy

The timing is ideal as well because we have just seen the World Cup, right? Supposedly the biggest World Cup ever to be seen and with the right champions, where we had a party at our house. Well done, Joaquín. But also with the MLS changing their calendar structure to the European structure, which again opens the doors for a lot more growth on a professional level, which then trickles down to the academies, to the interest of players. Because suddenly you have players from Manchester United, from Barcelona coming there for a loan, for example, right?

Football is growing in the U.S. massively, and it is the right time now to dab into that market. On the other hand, if you know Raluca Gold-Fuchs and myself, we see Fox as our baby, and we take good care of our babies. We all do, of our children. For us, we have been approached several times before if we want to partner up with somebody, but it never worked because the synergies were not there. But ever since we met with Joaquín, with everybody else at Nomadar and Cádiz, it felt really good. And when you want to make something good happen, you have to follow your feelings, and those feelings are really good with that partnership.

Richard Land
Managing Director, Alliance Advisors Investor Relations

That is a perfect segue to you, Joaquín .

Joaquín Martín
CEO Americas and Board Director, Nomadar

I'm going to follow Christian's comment because we are very happy and very excited about everything that we are preparing and everything what's coming. In the world of M&A, as an investor, from an investor mind, it's so important the alignment of the partners and the operation teams that in this case, if 11, 12 months later, we are in the point where we are, where we are already working on specific projects for growth, on specific elements and plans. If we are at this point today, it's thanks to the, thank God, the fantastic alignment and being able to work together and with the same vision. The multiplication factor that both organizations being integrated in Nomadar ecosystem can bring. We're very excited and very happy, just as a closing comment, for all what's coming.

Richard Land
Managing Director, Alliance Advisors Investor Relations

That's a great way to end it. Let's end it right there. I want to thank Raluca, Christian, and Joaquín for their time this morning. Thank everyone for participating. I think you've seen that there's a lot of excitement around the growth opportunities that's going to come from this combination of Fox Soccer Academy and Nomadar. We appreciate you joining us this morning, and please, we're happy to talk to you going forward. Just reach out and be in touch with us. Thanks, everyone. I'll invite you all to disconnect at this time.
