Hello, I'm David Phipps, Chief Executive Officer of NextPlat Corp, and I want to welcome you to the 2026 Special Meeting of Stockholders of our company, where we're asking you, our shareholders, to approve an amendment to the company's amended and restated articles of incorporation to, at the discretion of the board of directors, effect one or more reverse stock splits with respect to our issued and outstanding common stock at any time prior to March 27, 2028, at a ratio of 1-5 to 1-50, provided that the aggregate splits will not exceed 1-50, with the ratio within such range to be determined at the discretion of our board of directors or any of its delegated authorized persons. We appreciate your interest in our company and are pleased you are able to attend this meeting.
I would like to introduce you to Amanda Ferrio, our Chief Financial Officer, and Robert Bedwell, our Chief Compliance Officer and Secretary, who are on the call today. At the outset, I wish to describe how we will conduct the meeting. First, there are some statements that must be made regarding notice of the meeting, the presence of a quorum and such. Then there are two matters to be voted on. There will be no time allotted for questions for shareholders. The meeting will be conducted in accordance with the agenda and the rules of conduct, which you can find on the virtual meeting portal. You can also find a link to the proxy statement on the portal. Robert Bedwell, the company's Chief Compliance Officer and Secretary, will act as Secretary of the meeting, and I will act as the Chairman of the meeting.
The secretary has available for inspection a list of the stockholders entitled to vote. Mr. Secretary, please advise us concerning the mailing of the proxy statement and please report as to a quorum.
Thank you, David. The notice of the special meeting, the proxy statement, and the proxy were made available by mail or electronic delivery to all stockholders of record on or about March 16, 2026. Jim Ray, a representative of American Election Services, is participating virtually today. He will act as the Inspector of Elections and will count and examine all votes. Mr. Ray has signed an Oath of Inspector of Election in which he has sworn faithfully to execute his duties as inspector with strict impartiality and to the best of his ability. The Inspector of Election has reported that there are represented, in person or by proxy, the holders of record of a majority in voting interest of the outstanding shares of common stock of the company eligible to vote, constituting a quorum for the transaction of business.

One, the proposal to approve an amendment to the company's amended and restated articles of incorporation to, at the discretion of the board of directors, effect one or more reverse stock splits with respect to our issued and outstanding common stock at any time prior to March 27, 2028 at a ratio of 1-for-5 - 1-for-50, provided that the aggregate splits will not exceed 1-for-50, with the ratio within such range to be determined at the discretion of our board of directors or any of its delegated authorized persons.
Two, the authorization of the adjournment of the 2026 special meeting, if necessary, to solicit additional proxies if there are not sufficient votes in favor of proposal one. If there are any stockholders of record who still wish to vote during the meeting, please go to www.virtualshareholdermeeting.com/nxpl2026sm and enter the same control number you used to enter the meeting. If you have already completed a proxy, there is no need to complete a ballot in order to vote. The polls for each matter to be voted on at this meeting are hereby declared open. Mr. Chairman, the inspector has submitted its preliminary report on the proposals. A majority of the holders present in person or represented by proxy and entitled to vote voted in favor of proposal one. Because there are sufficient votes to approve proposal one, the adjournment contemplated by proposal two will not be necessary. The final results of the meeting will appear in a current report on Form 8-K that the company will file within four business days from this meeting.
