Hello. Welcome to the Ranpak Holdings annual meeting of stockholders. I would now like to turn the meeting over to Omar Asali, Chairman of the Board and Chief Executive Officer. Please go ahead.

Thank you. Will the meeting please come to order? I am Omar Asali, Chairman of the Board and Chief Executive Officer of Ranpak Holdings Corp. I'll be presiding at this meeting. Along with my fellow directors and executive officers of the company, I would like to welcome you to our annual meeting of stockholders. We appreciate your attendance, your interest, and most importantly, your support of Ranpak. This annual meeting of the stockholders is held pursuant to the bylaws of the company and written notice to all stockholders. In accordance with our bylaws, I'll act as chairman of the meeting, and Ms. Sara Horvath will act as secretary of the meeting. Will the secretary please introduce the other directors and officers in attendance, explain the meeting procedures, and report on the proof of notice of meeting and determination of quorum?

Thank you, Omar. I would like to introduce the directors of Ranpak who are in attendance today. We welcome Victoria Dolan, Michael Gliedman, Robert King, Salil Seshadri, and Alicia Tranen. The Ranpak executives who are in attendance are myself, our chief legal and HR officer and secretary, and Michael Gliedman, who's also a Ranpak executive and serves as our chief technology officer. In order to conduct an orderly meeting, we ask that stockholders abide by the procedures set forth in the agenda and rules of conduct posted to the meeting online platform. You are participating in the meeting virtually. Stockholders may submit questions relating to any of the matters on the agenda at any time during this meeting in the space provided on the virtual meeting screen. We will conduct the formalities of our annual meeting first. The polls are open for voting.

All Ranpak stockholders entitled to vote at this meeting have the ability to do so online. If you are a stockholder entitled to vote and have not yet voted, or if you want to change your previously cast vote, please follow the instructions on your screen. Please remember that if you have already voted by proxy, it is not necessary to vote again. After the description of the four proposals to be voted on today, we will close the polls and provide the Inspector of Elections' preliminary report. After the close of voting, we will adjourn the formal portion of the meeting and immediately convene a question and answer session.

I have an affidavit of mailing from Broadridge Financial Solutions certifying as to the giving of notice of this meeting and the sending to stockholders of record as of March 27, 2026, the notice of Internet availability of proxy material, all of which Broadridge commenced distributing to stockholders on April 9, 2026. I also have a copy of Ranpak's annual report on Form 10-K for fiscal year 2025, which includes financial statements certified by KPMG. A copy of the proxy statement and this annual report was sent or made available to each stockholder entitled to vote at this meeting, and an electronic copy of the annual report is available on the website used to access this meeting. The notice of meeting and the affidavit of mailing, together with the attachments thereto and the annual report, will be filed with the minutes of this meeting.

I have been informed by our Inspector of Election for this meeting that a majority of the voting power of the company's outstanding shares is present, and accordingly, a quorum is present.

Thank you, Sara. This meeting has been properly convened. We'll move now to a review of the proposals. Sara, can you please review the proposals for the meeting?

The first proposal to come before the meeting is the election of directors. At this meeting, we will be electing three of the Class I directors for a three-year term, expiring at the 2029 annual meeting of stockholders. The nominees are Victoria Dolan, Michael Gliedman, and Alicia Tranen. Information concerning their principal occupations, service as Ranpak board members, skills and qualifications, and other matters which may be of interest are contained in the proxy statement. No other nominations were received prior to the deadline established in the company's bylaws. No additional nominations may be made at this meeting, and I declare the nominations closed. The board of directors recommends the election of Ms. Dolan, Mr. Gliedman, and Ms. Tranen as Class I directors. The next matter to come before the meeting is the ratification of the appointment of KPMG as Ranpak's independent registered public accounting firm.

The board of directors recommends the ratification of the appointment of KPMG to serve as Ranpak's independent registered public accounting firm and to audit Ranpak's financial statements for the fiscal year ending December 31st, 2026. A representative of KPMG is in attendance and will be available to answer questions during the Q&A portion of the meeting. The next matter to come before the meeting is a non-binding advisory resolution to approve the compensation of Ranpak's named executive officers. The board of directors recommends the approval of the named executive officer compensation as described in the proxy statement. The next matter to come before the meeting is the approval of the issuance of certain shares of our common stock upon the exercise of a warrant issued by the company to Walmart Inc. The board of directors recommends the approval of the issuance as described in the proxy statement.

The polls are about to close, so if you have not yet voted, please do so. Since everyone has had the opportunity to vote, the polls are closed. The Inspector of Election has delivered her preliminary report, and I will now announce the preliminary results. Mr. Chairman, based on the Inspector of Election's preliminary report, each of the nominees for director has been elected as a Class I Director of Ranpak Holdings Corp to serve for a three-year term that will expire in 2029. The appointment of KPMG as the company's independent registered public accounting firm has been ratified. The non-binding advisory resolution to approve the compensation of Ranpak's named executive officers has been approved, and the issuance of certain shares of our common stock upon the exercise of a warrant issued by the company to Walmart Inc. has been approved.

We will file the final report of the Inspector of Election with the records of this meeting. We expect to report the results of the voting on a Form 8-K to be filed with the SEC within four business days of this meeting.
