Good morning, everyone. Craig Mychajluk, Investor Relations for Rand Capital. Welcome to the Rand Capital 2026 annual meeting of shareholders. You are in a listen-only mode. Good morning, and thank you, Craig. As noted, I am Bob Zak, the Chair of the Board of Directors of Rand Capital Corporation. It is my pleasure, on behalf of the Board of Directors and the officers of Rand Capital Corporation, to welcome you and thank you for attending our virtual annual meeting, which I will now call to order. I will act as Chair for this meeting, and Margaret Brechtel, the company's Chief Financial Officer, Executive Vice President, and Secretary, will act as secretary and inspector of elections of this meeting. The agenda and rules for the conduct and procedures for the annual meeting of shareholders are posted on the virtual meeting website. I plan to conduct the meeting in accordance with the agenda and ask that you abide by those rules of conduct.
Only shareholders that have registered for the meeting with their control number and have provided their name may post questions to the website. Any questions we receive that are related to the meeting will be addressed after the formal portion of the meeting as appropriate. Let me also note that you do not need to recast your vote today if you have already voted. However, if you would like to vote, you may do so at any time up until we close the polls. Ms. Brechtel has provided the notice of meeting, the proxy statement, and the company's annual report, together with affidavits of their mailing on March 13th, 2026, to our shareholders. These documents will be incorporated into the minutes of this meeting.
In addition, the list of shareholders of the company as of the record date, March 5th, 2026, is available for inspection through the virtual meeting website and will be incorporated into the minutes of this meeting. Now, I would like to introduce Margaret Brechtel, who has been appointed by the board as Inspector of Elections for this meeting. Ms. Brechtel has signed an oath of Inspector, which will be filed with the minutes of this meeting. Will the Inspector now please report on whether a quorum is present?
Thank you, Mr. Chair. The total number of shares outstanding and entitled to vote at this meeting is 2,969,814. Of that number, approximately 81% are represented at this meeting. Therefore, a quorum is present.
Thank you. Proper notice of the meeting having been given and a quorum being present, we will proceed to transact the business of the meeting. The nominees for the board of directors as indicated in the proxy statement are as follows, Benjamin E. Godley, Adam S. Gusky, Cari L. Jaroslawsky, Erland E. Kailbourne, and myself, Robert M. Zak. The governance and nominating committee of the board of directors has recommended, and the entire board of directors has approved the nomination of this slate of directors. I now declare the polls open at 10:34 A.M. Eastern Time for the election of directors and for voting on the one other item of business described in the notice of meeting. That item is for voting on the ratification of WithumSmith+Brown, PC as our independent registered public accounting firm for the year ended December 31st, 2026.
Let me remind you that if you have voted by proxy, you do not need to vote again at this time unless you want to revoke your proxy.
