Good afternoon. My name is Bipul Sinha, and I'm the Chief Executive Officer of Rubrik Inc. I'm very happy to welcome you to the Rubrik's 2026 Annual Stockholders Meeting. The meeting will now officially come to order. The polls are now open for voting on all matters to be presented. As you know, we are hosting today's meeting through a virtual online platform. We are joined today by the members of our board of directors and members of the business team, including Kiran Choudary, our Chief Financial Officer, Melissa Franchi, our Vice President of Investor Relations, and Peter McGoff, Chief Legal Officer and Corporate Secretary. Representatives of KPMG LLP, the company's independent registered public accounting firm, are also in attendance virtually.
The meeting will now officially come to order. We will proceed with the formal business of the meeting in the order set forth in the Notice of Annual Meeting and Proxy Statement. As mentioned, the polls are open for voting on all matters to be presented. We will not accept ballots, proxies, revocations, or changes after the closing of the polls. If you have already submitted your vote by proxy and do not wish to change your vote, you do not need to vote now, and your shares will be voted as previously instructed. If you intend to vote and have not already done so, you must submit your vote online now in order for it to be counted. If you have not voted, I encourage you to vote online now. The rules of conduct for this meeting are posted in the Meeting Materials section of the Annual Meeting portal.
In order to conduct an orderly meeting, we ask that you follow these rules. To ask a question, please submit in the text box. We will only answer questions submitted that are germane to the proposals and/or this meeting as and if we have time. I am reporting that I have an affidavit certifying that notice of this annual meeting of shareholders of the company was duly given to all stockholders of record at the close of the business on April 7th, 2026. A copy of the notice and affidavit will be filed with the recording of this meeting. At this time, I'd like to introduce Heather Obey of Broadridge, who is present virtually and has been appointed to act as Inspector of Elections at this meeting. Heather has taken and subscribed the customary oath of office to execute her duties with strict impartiality.
We will file this oath with the records of the meeting. Heather has confirmed that we have received the necessary number of votes to constitute a quorum for the meeting today and may now carry out the official business of the meeting. We will now proceed with the formal business of this meeting. After all of the proposals have been described, we will answer any relevant questions related to the proposals submitted online. As a reminder, we ask that any comments or questions pertain only to these proposals. Please submit any questions as soon as possible for our review. There are three proposals to be considered by the stockholders at this meeting. The first item of business is the election of three Class II directors to serve until the 2029 annual meeting and until their successors are elected.
The nominees for Class II directors are Asheem Chandna, Ravi Mhatre, and Arvind Nithrakashyap. The second item of business is the ratification of the selection by the Audit Committee of our Board of Directors of KPMG LLP as the independent registered public accounting firm of the company for the fiscal year ending January 31, 2027. The third item of business is the advisory vote on frequency of stockholder advisory votes on the compensation of our named executive officers. That was the final proposal for today's meeting. We will now review if there are any questions submitted about the proposals or addressed to auditors before we close the polls. As a reminder, we will only review and answer questions that pertain to the proposals. There are no questions. The time is 2:05 P.M., and the polls are now closed for voting.
The preliminary report of Inspector of Elections covering the proposals presented at the meeting is as follows. Asheem Chandna, Ravi Mhatre, and Arvind Nithrakashyap have been elected as Class II directors of the company. The appointment of KPMG LLP as the company's independent registered public accounting firm for the fiscal year ending January 31st, 2027 is ratified. One year was selected in the advisory vote of stockholders' advisory votes on the compensation of the company's named executive officers. We expect to report our preliminary voting results, or if available to us on a timely basis, our final voting results on a current report on Form 8-K to be filed with the SEC within four business days after the end of this meeting.
If not earlier reported, we expect to report our final voting results in an amendment to our Form 8-K within four business days after the final results are known to us.
