Good morning, and welcome to the Reddit Inc 2026 Annual Meeting of Stockholders. Please note that this event is being held via live webcast. I will now turn the meeting over to Steve Huffman, Co-founder and CEO of Reddit.

Thank you. Welcome to our 2026 Annual Meeting of Stockholders. I will act as the chairperson of this meeting and now call the meeting to order. We are hosting this meeting virtually. We believe that doing so makes it easier for our global community of Redditors to attend and participate. I do want to set expectations for today's call. Today, we will be focused on corporate governance. The best time to join us for more interesting discussions about the product or business is during our quarterly earnings cycle, by joining our earnings call, asking questions on our AMA on the subreddit r/RDDT, or by participating in other Reddit stock-related subreddits. I would now like to introduce Benjamin Lee, our Chief Legal Officer and Corporate Secretary, who will act as secretary of this meeting and keep the minutes.

Thanks, Steve. I am advised by the Inspector of Elections that over a majority of the voting power of our outstanding shares of Class A common stock and Class B common stock entitled to vote at this meeting is present or represented by proxy here today, and a quorum is therefore present. Polls are now open for voting. Any stockholder who has not voted or wishes to change their vote may do so by clicking on the vote button on the webcast portal and following the instructions. Stockholders who have sent in proxies or previously voted via the Internet, by phone, or by mail and who do not wish to change their vote do not need to take further action. These votes will be counted automatically. We expect to close the polls after we present the matters to be voted on and the question and answer session.

In addition to Steve and myself, we are also joined on this call today by members of our Board of Directors as well as members of our Leadership Team. I'd also like to introduce David Ray and Marissa Johnson of KPMG, our independent registered public accounting firm. KPMG will be available during the question and answer session to respond to appropriate questions. Also joining us today is Beth Vanderbee of Broadridge Financial Solutions, Inc, who has executed the oath of Inspector of Elections and will act as the Inspector of Elections for this meeting and tabulate voting results. After we present the matters to be voted on, we will hold a question and answer session. Stockholders may submit questions through the web portal with a limit of one question per stockholder.

We will only answer questions regarding matters to be voted on at this meeting. We ask that you follow the posted rules of conduct so the meeting is orderly. This meeting is being recorded, but no one attending via the webcast is permitted to use any recording device. A webcast playback will be available at the same link for this meeting within 24 hours of the meeting. Let me now turn to the formal business of this meeting. The first proposal is the election of eight continuing directors for a one-year term expiring at our 2027 annual meeting of stockholders and until his or her successor has been duly elected and qualified or until his or her earlier death, resignation, disqualification, or removal. The director nominees are Steven Huffman, Sarah Farrell, Patricia Fili-Krushel, Porter Gale, David Habiger, Steven O. Newhouse, Robert A. Sauerberg Jr., and Michael Seibel.

Our board of directors recommends that you vote for the election of each of these nominees. As secretary of the meeting and on behalf of the board of directors, I move for the election of each of the nominated directors, which motion is seconded by proxy. The second proposal is the ratification of the appointment of KPMG LLP as our independent registered public accounting firm for the year ending December 31st, 2026. Our board of directors recommends a vote for this proposal. As secretary of the meeting and on behalf of the board of directors, I move for approval of this proposal, which motion is seconded by proxy. The third item of business is a non-binding advisory vote on the compensation of Reddit's named executive officers.

This non-binding advisory vote is commonly referred to as a say on pay vote. It gives our stockholders the opportunity to express their views on our named executive officers' compensation as a whole. Under this proposal, our stockholders may cast a non-binding advisory vote as to whether they agree with the compensation of our named executive officers. Our board of directors recommends a vote for the approval on a non-binding advisory basis of the compensation of Reddit's named executive officers. As secretary of this annual meeting and on behalf of the board of directors, I move for approval of this non-binding proposal, which motion is seconded by proxy. No other matters have been properly presented by our stockholders to be considered at today's meeting. We will now address any questions from stockholders that are relevant to the proposals.

Please note that we will not address any questions that are irrelevant to the matters presented at this meeting. If we do not receive any relevant questions, we will conclude the question and answer session. We will now pause for a moment to assemble the queue of questions. We do not see any questions. We will conclude the question and answer session. We will leave the polls open for approximately one more minute to allow anyone who chooses to vote here to cast ballots. The time begins now. Now that everyone has had the opportunity to vote, the polls are closed.

Based on the preliminary results tabulated by the Inspector of Elections, we can report that each of the eight director nominees is elected to the board of directors, the appointment of KPMG LLP as our independent registered public accounting firm for the year ending December 31st, 2026 is ratified, and the compensation of Reddit's named executive officers has been approved on a non-binding advisory basis. We expect to report final results within four business days on a Form 8-K. I now declare the meeting adjourned.
