I'm Dhiren Fonseca, the Executive Chairman of the Board of Directors, and I'll be serving as the chair of today's meeting. I'd like to take a moment to introduce the other members of our Board of Directors who are with us today, Teri Bariquit, Peter Comisar, Damian Giangiacomo, and Dan Rosensweig. From RTR's executive team, we also have Dave Loretta, our Interim CFO and Treasurer, and Cara Schembri, our Chief Legal and Administrative Officer and Secretary. In addition, joining us from PricewaterhouseCoopers, Penelope Moreno, who is RTR's independent auditor, is here with us today. During the Q&A period, she'll be available to answer any questions.
Tony Cardera is also here from Broadridge, who is also participating and is acting as our Inspector of Elections for today's meeting and has taken an oath of office to execute his duties with strict impartiality. I'll now turn the meeting over to Cara, who's acting as Secretary of the meeting, to cover some formalities.

We will begin today's meeting with the proposals described in our annual proxy statement, followed by preliminary voting results. After the formal portion of the meeting has adjourned, we will conduct Q&A. You can vote online through the meeting portal anytime until I announce that the polls are closed. I've received confirmation from the Inspector of Election that notice of this meeting was properly given to stockholders of record as of May 20th, 2026. I've also been informed by Broadridge that a quorum is present, this meeting is duly convened and can proceed. The agenda and rules of conduct of the meeting are posted on the annual meeting portal. We ask that you follow these rules to help the meeting run smoothly. We will address appropriate questions during the Q&A portion. If you have a question, please submit it by entering it into the text box on the annual meeting portal. We will now move to the proposals. There are 12 proposals for presentation at today's meeting. The first item of business is the election of directors.
The Board recommends that stockholders elect the following nominees as Class II directors to serve until the 2029 annual meeting of stockholders, Teri Bariquit and Dan Rosensweig. The second item of business is the ratification of the appointment of PricewaterhouseCoopers as Rent the Runway's independent registered public accounting firm for fiscal year 2026. The Board recommends that stockholders ratify the appointment of PwC. The next items of business are Proposals 3 through 11. In these proposals, our Board has unanimously adopted, declares the advisability of, and recommends that our stockholders approve certain amendments to our charter, more fully described in each proposal in our proxy statement. The third item of business is the Class B elimination proposal. The fourth item of business is the preferred stock elimination proposal. The fifth item of business is the super majority vote elimination proposal. The sixth item of business is the Board quorum proposal.
The seventh item of business is the special meeting proposal. The eighth item of business is the written consent proposal. The ninth item of business is the officer exculpation proposal. The tenth item of business is the Board designation rights proposal. The eleventh item of business is the corporate opportunity proposal. The twelfth and final item of business is to approve the First Amendment to the Second Amended and Restated 2021 Incentive Award Plan to increase the maximum shares of Class A common stock authorized for issuance under the 2021 plan, more fully described in the proxy statement. The Board recommends that stockholders approve the proposed amendment. The appointment of PwC as our independent registered public accounting firm for fiscal year 2026 has been ratified. Proposals 3 through 11 relating to the proposed amendments to our charter have each been approved. The proposed amendment to the Second Amended and Restated 2021 Incentive Award Plan has been approved. We expect to report the final vote results that are certified by our Inspector of Elections in a filing with the SEC within four business days.
