Good morning, ladies and gentlemen. I am Kersten Zupfer, Executive Vice President and Chief Financial Officer of Regis Corporation. I am here today with our Chief Executive Officer, Susan Lintonsmith. I would like to welcome you to the 2026 Annual Meeting of Shareholders of Regis Corporation. I will now call the 2026 Annual Meeting of Shareholders to order. Before we begin the formal business portion of the meeting, I'd like to introduce the members of the Regis Corporation Board of Directors who are standing for election.
They are Andrew Alfano, Chief Executive Officer of Retro Fitness; Lockie Andrews, Founder, Chief Executive Officer, and Managing Partner of Catalyst Consulting, and Founder and Chief Executive Officer of Catalyzes.ai; Nancy Benacci, former Head of Equity Research of KeyBanc Capital Markets; William Charters, Founder of Sabal Capital Management LLC; Michael Mansbach, Founder of Granite Stairway Advisors LLC, and our President and Chief Executive Officer, Susan Lintonsmith. I also want to take a moment to thank Michael Merriman, whose term is ending at this meeting, for his more than 15 years of service on the board and his leadership as chair of the audit committee, and his prior leadership as chair of the board. I would also like to introduce Tony Carideo, our Inspector of Elections from Carideo Group, who is with us today to certify the voting, as well as Kyle Hansen, who is a Partner at Grant Thornton.
Before we answer any questions, we will address certain items of business of the meeting, and I direct you to the rules of conduct for the meeting posted on the virtual meeting site. First, notice of this annual meeting of shareholders was first sent out on September 17th, 2026. The shareholders of record as of the close of business on September 2nd, 2026, are entitled to vote or sign proxies for this meeting. Of the 2,500,157 shares outstanding as of September 2nd, 2026, a majority of those shares constituting a quorum are represented at this meeting, either in person or by proxy. We thus declare this meeting duly organized. Shareholders have been asked to consider and approve three proposals. The first proposal is to elect six directors to Regis Corporation's Board of Directors to serve for a one-year term and until their successors are elected and qualified.
The following directors have been nominated to stand for election: Andrew Alfano, Lockie Andrews, Nancy Benacci, William Charters, Susan Lintonsmith, Michael Mansbach. The second proposal is to approve, on an advisory basis, the compensation of our named executive officers, referred to as the say- on -pay vote. The third proposal is to ratify the appointment of Grant Thornton LLP as Regis Corporation's independent registered public accounting firm. Before we begin the question -and -answer portion of this meeting, I would like to remind everyone that the company's remarks may include forward-looking statements within the meaning of the Private Securities Litigation Reform Act of 1995. Forward-looking statements are not guarantees of performance and, by their nature, are subject to inherent risks and uncertainties that could cause actual results to differ materially from such forward-looking statements.
Please refer to our recent SEC filings, including our June 30, 2026, Form 10-K for more information on these risks and uncertainties. We undertake no obligation to update or revise any forward-looking statements to reflect events or circumstances that may arise after the date of this meeting. Also, we may discuss non-GAAP financial measures that exclude the impact of certain business events and other discrete items. These non-GAAP financial measures are provided to facilitate meaningful year-over-year comparisons but should not be considered superior to or as a substitute for GAAP measures. A reconciliation of non-GAAP financial measures to the most directly comparable GAAP financial measures can be found on our website at www.regiscorp.com/investor-relations. We will now turn to any questions that have been submitted. We have not received any questions to address at this time. The polls are now closed.
Following tabulation, the final voting results will be reported in current report on Form 8-K, which we will file with the Securities and Exchange Commission within the next four business days. There being no further business, the meeting is now adjourned. Thank you for participating.
This now concludes the meeting. Thank you for joining, and have a pleasant day.
