Good afternoon. The annual meeting, please come to order. My name is Chris Milks, and I'm the Vice President of Finance at Resolute Inc. Welcome to the 2026 annual meeting of stockholders of Resolute Inc. This annual meeting is being webcast live, and replay will be available at the meeting URL used to access the meeting. The replay will be available for one full year after the meeting has concluded.
The matters in which the stockholders at the annual meeting are voting are to: one, elect seven directors to the company's Board of Directors, the board; two, ratify the appointment of Grant Thornton LLP as the company's independent registered public accounting firm for the year ending June 30th, 2026, the accounting proposal; three, approve by a non-binding advisory vote the compensation of the company's named executive officers, or NEOs, as disclosed in the executive compensation section of this proxy statement, the stay-on-pay proposal; four, approve an amendment to the 2021 Stock Incentive Plan to increase the number of shares available for issuance thereunder from 14,450,000 shares to an aggregate of 21,950,000 shares, the 2021 incentive compensation plan proposal; five, approve an adjournment of the annual meeting if necessary, if a quorum is present, to solicit additional proxies if there are not sufficient votes in favor of the share increase proposal, the Adjournment Proposal; and six, transact any other business that may properly come before the annual meeting.
Anthony Epps of Dorsey & Whitney LLP, the outside counsel of the company, will serve as secretary of the annual meeting and record the proceedings. He has delivered an affidavit of Broadridge Financial Solutions Inc. as to the mailing of the notice of the annual meeting. This affidavit is available if any stockholder wishes to examine it and will be filed with the minutes of this annual meeting. Mr. Epps will now discuss the procedures for transacting the business of the annual meeting.
Good afternoon. When an item of business is before the annual meeting for consideration, questions and comments should be limited to that item. Please submit your questions and comments through the questions application in the virtual annual meeting page. If a stockholder has a question or comment not related to a business item to be discussed at this annual meeting, an opportunity to raise other questions and comments will be provided via the virtual meeting page after voting on the proposals described in the proxy statement. I hereby appoint Louis Larsen, a representative of Broadridge Financial Solutions, as inspector of election for the annual meeting and any adjournment or postponement of this annual meeting. Mr. Larsen has signed an oath to act as inspector of election, and this oath will be filed with the minutes of this annual meeting. The inspector has the stockholder list of the company as of the close of business on September 22nd, 2025, the record date for determining stockholders eligible to vote at the annual meeting, which shows the stockholders and their respective number of shares entitled to vote at this annual meeting. The list is available if any stockholder wishes to examine it and will be filed with the minutes of this annual meeting.
Mr. Epps has advised us that a quorum is present at the annual meeting, so I declare the annual meeting duly and lawfully convened. The annual meeting is now open and ready for business. The first item of business is the election of the directors named in the proxy statement. A motion to elect the directors named in the proxy statement is now in order. The second item of business is to ratify the appointment of Grant Thornton as the company's independent registered public accounting firm for the year ending June 30th, 2026. The appointment of Grant Thornton LLP is discussed in the proxy statement that was sent to you earlier. A motion to ratify the auditor appointment as described in the proxy statement is now in order. The third item of business is to approve the amendment to the 2021 incentive compensation plan.

A motion to approve the 2021 incentive compensation plan proposal as described in the proxy statement is now in order. I hereby declare the polls open to vote. Any stockholder desiring to vote during this annual meeting should do so at this time through the virtual annual meeting website. The inspector of election will report on the results of the voting later in the annual meeting after tabulation has been completed. I hereby declare that the polls are now closed. At this time, I would like to open the annual meeting to any questions that stockholders may have.
If you have any questions relating to the company but not to the matters already voted on in the annual meeting, you may submit them through the virtual meeting page while the vote is being tabulated. Preliminary report of the inspector of election indicates that, one, the directors named in the proxy statement have been elected as directors by the stockholders. Two, the ratification of the appointment of Grant Thornton as the company's independent registered public accounting firm for the year ending June 30, 2026, has been approved. That the stay-on-pay proposal has been approved. And that the 2021 incentive compensation proposal has been approved.
I hereby request that the final report of the inspector of elections be filed with the minutes of this annual meeting. You have now heard the results of the voting, and this completes the business to be conducted at this annual meeting.
