AGM 2026

Apr 28, 2026

Granville Tate
Corporate Secretary, Trustmark Corporation

Good afternoon, welcome to the virtual webcast of the 2026 Annual Meeting of Shareholders of Trustmark Corporation. I am Granville Tate, Corporate Secretary of Trustmark. During this webcast, we may make forward-looking statements about our expectations or predictions about the future. Because these statements are based on current assumptions and factors that involve risks and uncertainties, Trustmark's actual performance and results may differ materially from what is said here today. Please refer to Trustmark's 2025 Annual Report on Form 10-K filed with the SEC for detailed discussions of principal risks and uncertainties that could cause such differences and to our subsequent SEC filings for updates. At this time, I would like to introduce Duane A. Dewey, President and CEO of Trustmark Corporation, to share a few opening remarks before we call the meeting to order.

Duane Dewey
President and CEO, Trustmark Corporation

Thank you, Granville. Trustmark had a record year in 2025, reflecting significant achievement across our diverse financial services businesses. Our traditional banking business drove continued loan and deposit growth, a strong net interest margin and solid credit quality. Mortgage banking achieved increased production and significant improvement in profitability, while revenue in our wealth management business reached an all-time high. Collectively, our businesses produced net income of $224.1 million, the highest level in our company's history, which represented diluted earnings per share of $3.70. We have a tremendous team of associates focused on expanding customer relationships and demonstrating the value Trustmark can provide as their trusted financial partner. Looking forward, we will continue to build upon this momentum and pursue opportunities to leverage investments in technology that will broaden our reach, enhance customer experience and improve efficiency.

Trustmark is well-positioned to meet the needs of our customers and build long-term value for our shareholders. On behalf of the entire Trustmark organization, I thank you for joining us today. At this time, I'd like to introduce Gerard R. Host, Chairman of the Trustmark Board of Directors, to call the meeting to order.

Gerard Host
Chairman of the Board, Trustmark Corporation

Thank you, Duane. Good afternoon. We're excited to be hosting a virtual meeting which allows us to reach a greater number of our shareholders. As Chair of Trustmark, I hereby call this meeting to order and note that it is being recorded. I am pleased to welcome you to the 2026 Annual Meeting of Shareholders of Trustmark Corporation. An agenda of today's meeting is posted on your webcast screen. While this meeting is in virtual-only format, we welcome questions from our shareholders. You may use the Ask a Question box displayed on your webcast screen to submit questions. Questions will be addressed later in the Q&A session following the preliminary report on the voting results. On behalf of the entire Trustmark organization, I thank you for joining us today. The polls for voting are now open.

If you've not already voted your shares or wish to change your vote, you may do so now by clicking on the Vote Here button displayed on your webcast screen. The polls will remain open until the conclusion of the matters to be voted on portion of the meeting. I'd like to introduce the following individuals who've been appointed to serve as the election inspectors to certify the results of the voting. Thomas C. Owens, Treasurer and Principal Financial Officer. Granville Tate Jr., Secretary of the Board. F. Joseph Rein, Jr., Assistant Secretary of the Board. At the beginning of this meeting, the election inspectors informed me that a quorum is deemed present for purposes of conducting the business of this meeting.

A Notice of Internet Availability, Notice of Annual Meeting, Proxy Statement, Proxy Card, Annual Report on Form 10-K, and a 2025 year-end review were distributed on or about March 16th, 2026, to all shareholders of record as of March 2nd, 2026, and at the same time, copies of these documents were posted on the internet. You may also access these documents by clicking on the links under the Meeting Materials section displayed on your webcast screen. Crowe LLP has served as Trustmark's independent auditor since December 2015, and joining us from Crowe is Ken Harris, Trustmark's 2025, 2026 audit partner. Ken is available to answer audit-related questions posed during the Q&A portion of the meeting. As you are aware, there are three proposals at this year's meeting for shareholder consideration.

The first proposal is the election of 11 nominees to the Board of Directors of Trustmark Corporation to hold office until their successors are elected and qualified. All 11 nominees are in attendance at today's meeting, and their names are as follows: Adolphus B. Baker, Augustus L. Collins, Tracy T. Conerly, Duane A. Dewey, Marcelo Eduardo, J. Clay Hays Jr., Gerard R. Host, Harris V. Morrissette, Richard H. Puckett, Lea B. Turnipseed, and William G. Yates III. Since no nominations have been made by shareholders pursuant to our bylaws, I now declare the nominations closed. The board recommends the election of all persons nominated. The second proposal is the advisory approval of Trustmark's executive compensation as described in the proxy statement. The board recommends that shareholders vote for this proposal.

The third proposal is the ratification of the selection of Crowe LLP as Trustmark's independent auditor for the fiscal year ending December 31st, 2026. The board recommends that shareholders vote for this proposal. This concludes the review of the matters to be voted on. At this time, I now declare the polls closed. The election inspectors have completed their report, and I now ask our secretary to share the voting results with us at this time.

Granville Tate
Corporate Secretary, Trustmark Corporation

Mr. Chairman, the election inspectors have tabulated the proxies, only a small percentage of the total vote remains to be counted, which should not significantly affect the overall results. Subject to a final tabulation, we report the following results. On proposal number 1 for the election of directors, all 11 individuals nominated to the board of directors have been elected. On proposal number 2, for advisory approval of Trustmark's executive compensation, it has been approved. On proposal number 3, for the selection of Crowe LLP as Trustmark's independent auditor for 2026, the selection has been ratified.

Gerard Host
Chairman of the Board, Trustmark Corporation

Thank you, Mr. Tate. The final voting results set forth in the election inspector's report will be filed with the minutes of this meeting and reported in a Form 8-K to be filed with the SEC in connection with the matters voted upon at this meeting.
