Good morning, welcome to the Verra Mobility Corporation 2026 Annual Meeting of stockholders. I will now turn the meeting over to David Roberts, Chief Executive Officer of Verra Mobility Corporation and Chairman of this meeting.

Good morning. We're excited to be hosting a virtual stockholder meeting which allows us to reach a greater number of our stockholders. As it is now shortly after 9:00 A.M. Pacific Time, this meeting is officially called to order. We will conduct the business portion of the meeting first. We will then take any stockholder questions. Before proceeding to the business of the meeting, let me start by saying that we are very pleased to have members of our board of directors here with us today. Also joining this morning are Craig Conti, our CFO, and Jon Keyser, our Chief Legal Officer and Corporate Secretary. Additionally, we are joined by representatives of Deloitte & Touche, our Independent Auditor. They will be available during the Q&A session to respond to appropriate questions.

Finally, we have appointed Ms. Laura Cisneros from CT Hagberg and Associates to act as Inspector of the Election. Ms. Cisneros is with us and took the Oath of Inspector of Election earlier today. Jon, over to you.

Thank you, David. The Board of Directors fixed March 24th, 2026 as the record date for determining stockholders entitled to vote at this meeting. An affidavit has been delivered attesting to the fact that on or about April 6th, 2026, the company distributed to all stockholders as of the record date the proxy statement and the 2025 Annual Report, either via mail or notice of internet availability. The affidavit will be incorporated into the minutes of this meeting. The stockholder list shows that as of the record date, there were 151,906,484 shares of common stock outstanding and eligible to vote at this meeting.

We are informed by the Inspector of Election that more than a majority of the voting power of all issued and outstanding stock entitled to vote on the record date are present at this meeting in person or by proxy. With that, David, a quorum is present for purposes of conducting business.

Thanks, Jon. I will now summarize the matters to be voted on, which are further described in our proxy statement. Proposal one is the election of Class II directors. Our board has nominated Patrick J. Byrne, David Roberts, and John Rexford for election as Class II directors to hold office until the 2029 Annual Meeting of Stockholders or until a successor is duly elected and qualified. Proposal two is the approval on an advisory basis of the compensation of our named executive officers. While this vote, which is often called a Say-On-Pay vote, is non-binding, the compensation committee and the board will consider the results of this vote when making future compensation decisions. Proposal three is the approval on an advisory basis of the frequency of future say-on-pay votes every one, two, or three years.

This vote is also non-binding, the compensation committee and the board will consider the results of this vote when setting the frequency of the advisory vote on executive compensation. Proposal four is the ratification of the appointment of Deloitte & Touche as the company's independent registered public accounting firm for the fiscal year ending December 31st, 2026. The polls are open. With those proposals being all the matters to be voted on at this meeting, any stockholder who has not yet voted via proxy, telephone or internet, or who wishes to change their vote may do so now by clicking on the voting button on the web portal and following the instructions there. Stockholders who have sent in proxies or voted via telephone or internet and do not want to change their vote do not need to take any further action.

Yes, David. The report of the inspector of elections indicates that nominees for Class II directors have been duly elected. The stockholders have approved our executive compensation as set forth in the proxy statement. The stockholders have voted to hold a Say-On-Pay vote annually. The stockholders have ratified the appointment of Deloitte & Touche as the company's independent registered public accounting firm for the fiscal year ending December 31st, 2026. We will be reporting the final official voting results in a Form 8-K to be filed within four business days of this meeting.
