DoorDash plans to acquire Instacart in $17B deal, or $65 per share
DoorDash (DASH) has agreed to acquire Instacart (CART) for about $17B of equity value, or $65 per share — a 26% premium to Instacart's October 22 closing price — in a cash-and-stock deal (1, 2).
- On Thursday, October 29, DoorDash announced that it plans to acquire Instacart in a deal valued at about $17B. The move will significantly expand the company's grocery delivery and retail tech operations, DoorDash says.
- DoorDash primarily serves customers ordering food from restaurants and everyday goods, while Instacart focuses on grocery shopping and delivery.
- The companies claim the move will help local grocery stores compete with larger retailers with strong online marketplaces and delivery networks. It also expands options for customers, widening their access to stores, and could save them money by streamlining membership fees, DoorDash says.
- DoorDash says it plans to keep the Instacart brand, app, tech products, and more, following the acquisition.
- The transaction will consist of at least 75% cash and up to 25% DoorDash stock. Instacart shareholders will have three options, subject to proration, with DoorDash stock limited to 25% of the total consideration:
- Receive $65 in cash.
- Receive 0.3372 shares of DoorDash common stock.
- Receive $48.75 in cash and 0.0843 shares of DoorDash common stock.
- DoorDash plans to fund the cash portion of the acquisition using its existing cash and debt financing, supported by a bridge loan commitment from JPMorgan Chase (JPM).
- The deal is expected to close in late 2027 or 1H 2028, pending Instacart shareholder approval and regulatory clearances in several countries.
