Morning, ladies and gentlemen. Welcome to this general meeting. I am Chris Crawford, the Company Secretary of The Renewables Infrastructure Group Limited. Before we move to the formal proceedings, I would like to introduce my colleagues who have joined me this morning. Attending the meeting by video conference today are the Board of Directors, Richard Morse, the Chairman, Tove Feld, John Whittle, Erna- Maria, and Selina Sagayam . Representing Aztec Financial Services the Company Secretary, are myself, Chris Crawford, and Laura Dunning. I have offered to chair this meeting due to fog, and well done for doing it overnight. In addition, we also have representatives from both the Investment Manager and Operations Manager present today. I should like to thank those registered shareholders who have dialed in to listen and are present at this annual general meeting.
Before I move on, I wish to state that we will not be providing any update on the Company's performance today. Shareholders will have seen our annual results and report, and further details arising from the capital markets day held last month is available on the Company's website. I would, however, like to note that the last 18 months has overall been a testing period for the Company and for its shareholders, and I would like to thank each and every shareholder for their support. The recent share price appreciation, up more than 25% from its low of GBP 0.70 just over three months ago, has obviously been more encouraging for all concerned, and we recognize there is more to be done. On the 2nd of June, we invited registered shareholders to submit any questions they may have regarding the business of the meeting by email via the Company Secretary.
However, we can confirm that no questions have been received. The quorum for this annual general meeting is two members present in person or by proxy and entitled to vote. There are at least these numbers of members present, and I therefore declare the meeting open. There are 16 resolutions proposed at this annual general meeting. Resolutions 1 to 11 are proposed as ordinary resolutions under ordinary business and require a simple majority to be passed. Resolutions 12 to 14 are proposed as ordinary resolutions under special business and require a simple majority to be passed. Resolutions 15 and 16 are proposed as special resolutions and require a majority of 75% to vote in favour to be passed.
The full text of each resolution appears in the notice of the meeting, and it is not my intention to read the resolutions in full, but to propose them as spelled out in the notice of the meeting.
The ordinary business ordinary resolutions: one to receive and consider the audited accounts, the directors' report, the auditors' report for the year ended 31 December 2024. To re-elect Richard Morse as a director. To re-elect Tove Feld as a director. To re-elect John Whittle as a director. To re-elect Erna- Maria Trixl as a director. To re-elect Selina Sagayam as a director. That Deloitte LLP be reappointed as auditor of the company. That the directors be authorized to agree the remuneration of the auditors. To approve the directors' remuneration report, excluding the directors' remuneration policy set out on page 100 of the annual report, as set out in the annual report. To approve the directors' remuneration policy for the year ending 31 December 2025, as set out on page 100 of the annual report. To approve the company's dividend policy for the year ending 31 December 2025.
The special business ordinary resolutions, starting with Resolution 12, to authorize the directors to offer to shareholders the option to elect to receive future dividends wholly or partly in the form of further shares, whether or not of the same class, in the company rather than cash, to authorize the company to make market acquisitions of up to 14.99% of its own issued ordinary shares, to authorize the directors to issue shares in the company or to grant rights to subscribe for or to convert any securities into shares of the company.
The special resolutions to approve the partial disapplication of the preemption rights under Article 7 of the Company's Articles of Incorporation, therefore giving the directors the power to allot and issue and/or sell out of treasury up to 10% of the issued ordinary shares at a premium to current net asset value per share on a non-preemptive basis by way of tax issues. Finally, to approve the amendment to the Company's Articles of Incorporation to insert a new Article 53 proposing a continuation vote. As announced by the Company on the 2nd of June, shareholders were requested to submit their votes by completing and signing the proxy form that accompanies the notice of the meeting or appoint a proxy electronically if their shares are held in credit.
I am pleased to report that the Secretary has informed me that 226 valid proxy votes were received, representing 1,684,801,399 shares, which represents 70% of the Company's shares in issue. MUSG Capital Markets, as scrutineers, have confirmed that all proxy votes cast have been reconciled back to the share register. I would now like to invite our shareholders who are in present to vote their shares. Would you like to vote your shares now, please, Alexander?
I do, thank you.
Thank you, Alex. As we have, Alex has kindly completed a proxy form, which we will need to add to the votes already cast for the meeting via proxy. I think it's best if further details of the final results be made available on the Company's website and announced to the London Stock Exchange as soon as possible after we've allowed that reconciliation to take place. That concludes the Business of the Annual General Meeting. I would like to take this opportunity once again to thank you for your support as shareholders and for attending this meeting today. I now declare the meeting closed.
This concludes today's call. Thank you very much for joining. You may now disconnect your line.
Thank you.
