Good morning, everyone. It's 10:00 A.M. Oslo time. My name is Geir Evenshaug. I am a partner with the law firm Schjødt in Oslo, and I have been asked to open this Extraordinary General Meeting in Agilyx ASA. The records show that there are approximately 46,650,000 shares and votes represented at this meeting, and that is equal to approximately 55.2% of the entire share capital. As usual, a full summary of represented votes and the votes cast will be appended to the minutes, which will be made public as soon as practicable after this meeting. Item 1 on the agenda is election of chairperson and a person to co-sign the minutes. The board has proposed that I chair the meeting. I propose that the general counsel of the company, Isabel Hacker, co-signs the minutes.
We have no votes against these proposals. I will then continue as the chair of the meeting. Item 3 on the agenda is election of board members. The proposal has been to elect Jan Secher as the Chair and Martha Crawford and Peter Norris as board members, so that the entire board will then consist of Jan Secher, Ranjeet Bhatia, Carolyn Clarke, Catherine Keenan, Martha Crawford, Steen Jakobsen, and Peter Norris. In line with the Norwegian Code of Practice for Corporate Governance, votes have been cast for each candidate separately. The records show that we have 6,117,331 votes against each candidate. This represents 13%, approximately, of all votes represented at the meeting, which then also means that each candidate has been elected. Item 4 on the agenda is an amendment to the Articles of Association , and more specifically, it's a new Section 8.
The proposal is then to include a new Section 8, which then says that the Board of Directors shall consist of two to eight members elected by the shareholders. The Chair of the Board of Directors is elected by the general meeting. On item 4, we have no votes against, which means that the proposal has been approved. Moving on to item 5 on the agenda. Item 5 is the determination of remuneration to the members of the board. The proposal has been set out in the calling notice for this meeting. On item 5, we have 10,562,463 votes against. That represents approximately 22.6% against of all votes represented at the meeting, which then also means that the proposal has been approved. That actually concludes all of the items on the agenda.
