Good morning, everyone. My name is Mark Hollinger, and I'm the independent lead director of the board of Corus Entertainment Inc., and I will be the chair of today's meeting. With me today from the company are John Gossling, Corus's CEO, and Jennifer Lee, Chief Administrative and Legal Officer and Corporate Secretary of the company. On behalf of the company, I'd like to welcome you to this meeting of senior noteholders of the company. I will ask Jennifer Lee to review some rules of conduct before we begin with the business of the meeting. Jennifer.
Thank you, Mr. Chair. I will share a few rules to ensure the orderly conduct of the meeting. For the purposes of the meeting today, voting will be conducted by a single electronic ballot. Registered senior noteholders and duly appointed proxy holders can vote by clicking the Vote Here button. You must click the Submit Vote button for your vote to be counted. Voting is already open. Senior noteholders are entitled to one vote for each CAD 1 in principal amount of Senior Notes held by such registered senior noteholder in respect of the Senior Noteholders Arrangement Resolution, and any other matters before the meeting. If you validly submitted a proxy in advance of the meeting, you do not need to vote during this meeting. Your previously submitted proxy will remain valid, and your Senior Notes will be voted in accordance with your instructions.
By voting during this meeting, you will be revoking any previously submitted proxy. If we do encounter any technical difficulties with the audio webcast during the course of the meeting, please remain logged on, and we will resume as soon as possible. Questions in respect of the motion can be submitted by any senior noteholder or duly appointed proxy holder by typing it in the Ask a Question field, located at the bottom left of your screen, and clicking Submit. Questions can be submitted any time during the meeting. However, only questions regarding procedural matters or directly related to the motion before the meeting will be addressed during the meeting. To expedite matters, certain proxy holders have agreed to propose the motions with respect to the business of the meeting.

I now call to order this meeting of senior noteholders of the company. As noted, I will act as chair of the meeting, and Jennifer Lee will act as secretary of the meeting. Rita Gutierrez Fernandez of Broadridge Investor Communications Corporation will act as scrutineer for the meeting. Quorum for the transaction of business at this meeting has been set at two or more persons entitled to vote at this meeting, present in person or by proxy. I adopt the report of the scrutineer and declare that a quorum is present. I have received proof of mailing from Broadridge Investor Communications Corporation that the Notice of Meeting, Form of Proxy, Form of Voting Instruction Form, New First Lien Notes, Participation Form, and Management Information Circular were properly mailed to senior noteholders of the company.
This is in accordance with the Interim Order of the Ontario Superior Court of Justice (Commercial List), dated December 17th, 2025. Unless there's an objection, I will dispense with the reading of the notice of the meeting. As a quorum is present and as proper notice of the meeting has been given, I now declare that this meeting is regularly called and properly constituted for the transaction of business. The purpose of today's meeting is for the senior noteholders to consider, and if deemed advisable, to pass, with or without variation, a resolution approving an arrangement pursuant to Section 192 of the Canada Business Corporations Act. The purpose of the arrangement is to effect a Recapitalization of the company. The full text of the resolution, also known as the Senior Noteholders Arrangement Resolution, is set out in Appendix A to the Management Information Circular.
To be adopted, the Senior Noteholders Arrangement Resolution must be passed by at least two-thirds of the votes cast by the Senior Noteholders, voting as a single class, present in person or represented by proxy at the meeting and entitled to vote on this resolution.
