Hello, and welcome to the annual general meeting of Equinox Gold Corp 2020. During the meeting, we'll have a question and answer session. You can submit a written question at any time by clicking on the message icon at the top of your screen. After the formal business of this meeting is complete, the company will host a separate webcast where management will present an overview of Equinox business strategy and objectives, activities underway at each of our projects, and a summary of our Q1 results. It is now my pleasure to turn today's meetings over to Ross Beaty, Chairman of the Board. The floor is yours.

Thank you very much, operator. Good afternoon, ladies and gentlemen, and welcome to the annual general meeting of the shareholders of Equinox Gold Corp. My name is Ross Beaty, and I'm the chairman of the board of Equinox Gold, and on behalf of the directors, management, and employees, I would like to thank you for joining us today. This is a very strange annual meeting. I've chaired many of these type of meetings over the years since I first started public companies in 1985, and this is the only one we've held without any shareholders present in the room. In fact, we're all virtual today due to the COVID crisis and the unprecedented public health restrictions related thereto. We have to do it this way.

It's a real shame because all of our senior management really enjoy meeting shareholders who come to the meetings and going over what we're doing with them in person. Like all of our meetings, we will have a full presentation of what we're doing as a company in terms of our business strategy, our objectives, the activities underway at each of our projects, and a summary of our Q1 results, which we just reported today, by way of a separate webcast after the formal business is complete. In fact, it's going to take place at 2:00 P.M. Vancouver time, so in about 30 minutes from now. I hope you'll all join us for that. I'm extremely happy about how the year has gone.

Delighted with the acceptance of the Leagold merger, with the results for our company that's brought in, and I'm really looking forward to sharing some of those results with all of you, both with remarks that I'll make and also Christian Milau, our CEO, will make during the webcast at 2:00 P.M. I do hope you'll be able to share that with us even though it's 30 minutes from now. We will have a break after this meeting, which will be a fairly short meeting of the perfunctory legal requirements for our annual meeting. Here's some information for the orderly conduct of today's meeting. Questions of a motion can be submitted by any registered shareholder or duly appointed proxyholder using the instant messaging service of the virtual interface.

Unless questions are procedural or directly related to motions before the meeting, they will be addressed at the company's webcast after the meeting. For the purposes of the meeting today, voting on all matters will be conducted by electronic ballot. If you have already voted by proxy, it's important that you do not vote again here at the meeting unless you intend to change your initial vote. We will now proceed with the formal portion of today's meeting, which should take a few minutes, 10 minutes or so. To expedite matters, I will move and second all motions. The meeting will now come to order, and I will act as chair. First thing we need to do is to appoint a secretary and scrutineer. I will ask Susan Toews, our General Counsel, to act as recording secretary for this meeting, and Bernadette Villarica of Computershare Investor Services Inc.

to act as scrutineer for this meeting. Both of them are on the phone with us right now. I confirm that a notice for this meeting was mailed to shareholders, and the meeting materials were posted on Equinox Gold's website and on SEDAR on April 6, 2020. The company has received an affidavit confirming proof of mailing, and a copy of the affidavit will be annexed to the minutes of this meeting as a schedule. The scrutineer has advised that proxies were received from the holders of a sufficient number of common shares to constitute a quorum. I declare the meeting to be regularly called and properly constituted for the transaction of business. The formal report of the scrutineer will be attached as a schedule to the minutes of this meeting.

As most of you are aware, at annual meetings, the majority of shares are represented by proxies given to management. The scrutineer has advised that an overwhelming majority of the proxies received by management have been voted in favor of each director nominee and in favor of each of the other items of business. We thank you for your confidence. I will now present to the meeting the audited consolidated financial statements of the company for the year ended December 31st, 2019, together with the auditor's report on the financial statements. Copies of these documents have previously been mailed or made available to shareholders in accordance with applicable laws, and there are links on the screen. I do not propose to read the financial statements and auditor's report to this meeting. We would be pleased to deal with any questions regarding the financial statements during the company's general question period.

The remaining items are to be voted on using an electronic ballot. The voting lines are open and will remain open until a few minutes after the last item is presented. All registered holders and proxy holders who have properly logged in with their control numbers or username and wish to vote will be able to see on the screen all motions being brought forward at this meeting. Please remember that if you have previously recorded your vote by proxy, you should not vote again unless you wish to revoke and change your initial vote. We will conduct a ballot for fixing the number of directors at 10, the election of directors to reappoint KPMG as our independent auditors, and a non-binding advisory resolution on executive compensation. The first item of business is the number of directors.

Equinox Gold is seeking approval to fix the number of directors at 10, and this will increase the number of directors from the current number of directors of eight. I move and second the motion to fix the number of directors at 10. The next item of business is the election of directors. Management nominates the following 10 individuals: Ross Beaty, Lenard Boggio, Neil Woodyer, Tim Breen, Gordon Campbell, Wesley Clark, Marshall Koval, Peter Marrone, Maryse Bélanger, and Christian Milau. Equinox Gold has adopted an advance notice policy that requires shareholders to give the company advance notice of proposed director nominations at the annual shareholders' meeting. Equinox Gold did not receive notice of any such nominations for this meeting. As a result, I declare the nominations closed, and I move and second a motion to elect the directors. The next item of business is the appointment of Equinox Gold's auditors.

I move and second a motion to appoint KPMG LLP as auditors of the company to hold office until the close of the next annual meeting of shareholders, and to authorize the directors to fix their remuneration. The last item of business is the say-on-pay advisory vote. I move and second a motion that on an advisory basis, and not to diminish the role and responsibilities of the board, the shareholders accept the board's approach to executive compensation disclosed under the section entitled "Executive Compensation" in the management information circular of the corporation, dated March 30, 2020, delivered in advance of the meeting. These are all the resolutions before the meeting. Polls for voting will remain open for one minute from now. This will give you a chance to vote if you wish to vote beyond the proxies that have already been submitted.

I'm going to just speak for a minute here to kill time and say also that I regret not having our board here. We had a very good board meeting this morning, which is always held in conjunction with our annual meeting, and we always ask our board to be here in person to be able to meet any shareholders that come to our AGM and to have a nice session with our senior management team. Once again, for the first time, we have not been able to do that today. We did our board meeting virtually. It was okay, but I really miss the in-person meetings, and I know all of the board does as well. I'm very happy with our board. I'm very happy with the year that we've just had.

I'm really looking forward to next year when I really invite any shareholder who wants to come to our meeting to do so. We'll do it in a room. I'm sure this COVID crisis will be over by then. We'll have a vaccine. We'll be getting back to business as usual. That can't happen too soon. It's a strange time for all of us, and we just have to roll with the punches. In the meantime, our company, unlike many others that are suffering, our company is healthy and thriving. As you might have seen today with our financial results, we're hitting records in almost every single metric that count. We're in fabulous shape and wonderfully run. Has the minute gone? Okay.

We're through a minute, and I'm therefore now going to close the polls, and I would ask that the scrutineer compile the report regarding the results of voting on all business matters, and I direct that the results of the poll be included with the minutes of this meeting, and the results of the voting will be announced in a press release in accordance with the policies of the Toronto Stock Exchange and filed on SEDAR. Is there any further business for the formal portion of the meeting? If not, I now move and second a motion to terminate this meeting. I declare that the formal business of this meeting is now terminated. We will now take a 20-minute break and reconvene at 2:00 P.M. for the conference call and webcast I described.
