Hello, and welcome to the Annual and Special Meetings of Stockholders of IAMGOLD. Please note that today's meeting is being recorded. During the meeting, we will have a question and answer session. You can submit a written question at any time by clicking on the message icon at the top of your screen. Please note that your registered name will be announced along with your question during the Q and A session following the formal portion of the meeting. Guests will not be able to submit questions. It is now my pleasure to turn today's meeting over to Donald Charter. Don, the floor is yours. Thank you, Catherine. Good afternoon, and welcome to the annual and special meeting of shareholders of IAMGOLD Corporation. As you heard, my name is Don Charter. And as Board Chair, in accordance with our bylaws, I will chair this meeting. Joining me on this line are Gord Stothard, President, Chief Executive Officer and Director Daniella Dimitrov, Executive Vice President and Chief Financial Officer Kim Bradburn, Senior Vice President, General Counsel and Corporate Secretary as well as Ron Gagell, who chairs both the Audit Committee and the Compensation Committee. Other directors of the company who are listening in on this meeting today are Ron Rich Hall, Tim Snyder, Anne Marie Toutin and Deb Starkman. As this is a virtual meeting, It is necessary to set out a few rules for the orderly conduct of the meeting. Voting on all matters will be by electronic ballot. Registered shareholders and duly appointed proxy holders will be able to will be asked to vote on all matters after all the motions have been put to the meeting. When asked to vote, you will receive a message on the virtual interface requesting you to place your votes. You will have a short amount of time to do so when the polls are opened. Following the presentation of all matters of formal business and prior to voting, there will be an opportunity for questions in respect of the business of the meeting. Questions can be submitted by any registered shareholder or duly appointed proxy holder using the instant messaging service of the virtual interface. When asking a question, please indicate your name, Questions will be addressed prior to the commencement of voting on the matters of formal business. If for some reason with this technology, My connection to this meeting is terminated. The President and CEO, Gordon Stothart, will take over and continue chairing the remainder of the meeting. So we will now proceed with the matters of formal business. I now ask that the annual and special meeting of the shareholders of IAMGOLD come to order. I appoint Tim Bradburn as Secretary of the meeting. I appoint Computershare Trust Company of Canada as the scrutineer of the meeting. The business of the meeting is set out in the management information circular dated April 7. The notice calling this meeting, the management information circular and the form of proxy were mailed to shareholders on or around April 7, 2021. Prior to that, the audited consolidated financial statements of the company for the year ended December 31, 2020 and the related MD and A were mailed to shareholders who requested them. Copies of the information circular and the other meeting materials are available under the company's profile on the SEDAR and EDGAR Our transfer agent has attested to the proper mailing of the notice calling this meeting. There has been filed with me proof of such mailing, and I direct the secretary attach a copy to the minutes. I am advised that a quorum of shareholders in accordance with the bylaws is present, and the meeting is therefore properly called and duly constituted for the transaction of business. I have received the scrutineers report in this regard, and I direct the secretary attach a copy to the minutes. I have been advised that based on the proxies properly deposited and voted. All matters of business to be put to this meeting have been overwhelmingly approved. As the first item of business, I put to the meeting the audited consolidated financial statements for the year ended December 31, 2020, together with the auditors report. Copies of such documents were mailed to shareholders who requested them. There will be an opportunity for shareholders to ask questions concerning the financial statements following the presentation of the formal business. The next item of business is the election of directors. The 7 directors nominated for election by shareholders Shall hold office until the close of business of the next annual meeting or their successors are elected or appointed. Don Charter, Gord Stothart, Ron Gagell, Rich Hall, Tim Snyder, Anne Marie Toutant and Deb Starkman have each been nominated as Directors, and each of the persons nominated have confirmed They are prepared to serve as a director. I put the motion to the meeting to elect these directors. The next item of business is the appointment of the auditors of the company. I put the motion to the meeting that KPMG LLP be appointed auditor of the company until the next meeting of shareholders and that the Board of Directors be authorized to fix their remuneration. The next item of business is the approval of the company's approach to executive compensation as described in the management information circular. I put the motion to the meeting to approve the company's approach to executive compensation as described in the management information circular. The last item of business is the approval of the amendments to the company's share incentive plan as described in the management information circular. I put the motion to the meeting to approve the amendments to the company's share incentive plan and the amended and restated share incentive plan described and as set out in the management information circular. Voting on all the motions will be by electronic ballot. Before the polls are opened, I would like to take a brief opportunity to answer any questions from registered shareholders or proxy holders regarding the business of the meeting.
