Good morning. I am Oguzhan Atay, Chief Executive Officer and Chairperson of the Board of Directors of BillionToOne, it's my pleasure to welcome you to BillionToOne's 2026 annual meeting of stockholders. I will now introduce Tom Lynch, who's our General Counsel , who will act as secretary of the meeting.
Thank you, Ozan. As you know, we're hosting today's meeting through our virtual online platform. We have designed this meeting to provide stockholders with the same rights and opportunities to participate as they would in an in-person meeting. It is now 9:01 A.M. Pacific Time on June 10th, 2026. The meeting is now called to order. I have proof by affidavit, signed by a representative of Broadridge Financial Solutions, Inc., that the notice of this meeting has been duly given and that the notice of the 2026 annual meeting of stockholders, proxy statement, and proxy card were made or made available on or about April 21st, 2026, to all stockholders of record at the close of business on April 17th, 2026. The affidavit, together with copies of the notice, proxy statement, and proxy card, and other proxy materials, will be filed with the minutes of this meeting.
In addition, I have signed an oath of office in my role as the inspector of election. The oath of the inspector of election will be filed with the minutes of this meeting. As inspector of election, I can confirm that we have present in person and by proxy a sufficient number of shares to constitute a quorum, the meeting is duly constituted and is able to transact business. We will vote by proxy ballot today. If you have already turned in a proxy by mail, telephone or internet, do not intend to change your vote, it's not necessary for you to vote today. Those of you who did not turn in a proxy or wish to change your vote may do so by clicking on the voting button on the web portal and following the instructions there.
It is now 9:02 A.M. Pacific Time on June 10th, 2026. The polls are now open for voting. Until the polls close, any stockholder may revoke or change their vote on any matter. However, upon the closing of the polls, no ballots, proxies, or votes, nor any revocations or changes will be accepted. The first item of formal business is the election of 2 Class I directors to the board of directors, each to hold office until the 2029 annual meeting of stockholders. The persons named in the proxy statement have been nominated to serve as Class I directors of the company. They are Oguzhan Atay and Akshay Rai. The second item of formal business is to ratify the appointment of PricewaterhouseCoopers LLP as BillionToOne's independent registered public accounting firm for the fiscal year ended December 31, 2026. These are the only items of formal business of the meeting.
It is now 9:03 A.M. Pacific Time on June 10th, 2026. I hereby declare that the polls are closed. The ballots and proxies will be held in the possession of the inspector of elections. As the inspector of elections, I can confirm that the preliminary vote report shows that the nominees for election to the board have been duly elected and the appointment of PricewaterhouseCoopers LLP has been duly ratified. We will be reporting the final vote results in a Form 8-K to be filed within four business days. This concludes the formal business of the meeting.
