AGM 2021

May 4, 2021

Speaker 1

Good afternoon and welcome to the BOK Financial 2021 Annual Meeting of Shareholders. I now like to turn the meeting over to George Kaiser, Chairman of BOK Financial Corporation. Please go ahead, Mr. Kaiser.

Speaker 2

Thank you for joining us at the 2021 Annual Meeting of the Shareholders of BOK Financial. I am George Kaiser, Chairman of BOK Financial Corporation or as the recorded voice said earlier, the Bak Financial Corporation. I hereby call the meeting to order. This shareholder meeting is taking place solely on the Internet via webcast. This webcast incorporates shareholder validation capabilities, which means that any shareholder can vote in real time during the meeting until we announce that the polls are closed.

And any shareholder may submit a question through the online portal while the meeting is in progress. All shareholders received a 12 digit control number with their proxy. If you entered the shareholder meeting using the control number, you can now vote online until the time the polls close. The polls to vote online are now open. Pamela Wagman from the law firm of Frederick Dorrick Lawyers will serve as Inspector of Elections for today's Annual Meeting.

Ms. Wagman, is there a quorum present?

Speaker 3

Mr. Chairman, a quorum is present.

Speaker 2

Thank you, Tamara. I'll now introduce Steve Bradshaw, President Chief Executive Officer of the corporation.

Speaker 4

Good afternoon, everyone. This is Steve Bradshaw. Thank you for joining us. I'd also like to introduce Steven Nell. He's our Chief Financial Officer of the corporation.

We're also joined by Frederick Dorward and Tamara Wagman from Frederick Dorward Lawyers, who serve as our Corporate Secretary and Assistant Corporate Secretary, respectively. And we're also joined by representatives from Ernst and Young, our independent auditors, who are also available to respond to your questions. We are also joined by a number of members of our Board of Directors.

Speaker 2

We have 3 formal items for business. First is to fix the number of directors to be elected at 22 and to elect 22 persons as directors for a term of 1 year or until their successors have been elected and qualified. 2nd, to ratify Ernst and Young LLP, the company's independent auditor for the fiscal year ending December 31, 2021. And third, to consider an advisory vote to approve the compensation of the named executive officers. If you have questions on these formal items of business, please enter them now on the Ask a Question section of the Annual Meeting portal.

We will pause a moment to allow you to enter your questions. Mr. Chairman, we have no questions at this time. Thank you. Any shareholders participating in this meeting should vote their shares now if they have not already voted by proxy.

If you wish to rescind your proxy and vote on your own behalf, you will do so now through the online portal. We'll pause a moment to allow shareholders to vote and to compile the outcome of the elections. Thank you. The polls are now officially closed. Will the Inspector of Elections please present the results of the vote?

Speaker 3

Mr. Chairman, as Inspector I have reviewed the proxies received prior to the meeting and the votes received during the meeting. Based on the preliminary count of proxies and ballots, each of the 22 director nominees have been elected to the Board of Directors. The appointment of Ernst and Young as independent auditors of the company for its fiscal year ending December 31, 2021 has been ratified and the approval on an advisory basis of the compensation of named executive officers as disclosed in the company's proxy statement has been ratified.

Speaker 2

Thank you. That concludes the formal portion of the 2021 Annual Meeting of Shareholders of BOK Financial Corporation. Steve Bradshaw, our CEO, will now conduct a question and answer session. Steve?

Speaker 4

Thank you, George. We will now take any questions you may have regarding our business or our financial results. If you have a question, you may submit it through the Ask a Question button on your Annual Meeting portal. We will pause a moment to compile the Q and A queue. I second.

Speaker 2
