This shareholder meeting is taking place solely on the Internet via webcast and all of us of course are social distancing. This webcast incorporates shareholder validation capabilities, which means that any shareholder can vote in real time during the meeting until we announce that the polls are closed.
And any shareholder may submit a question through the online portal while the meeting is in progress. All shareholders receive a 12 digit control number with their proxy. If you entered the shareholder meeting using the control number, you can vote online until the time the polls close. The polls to vote online are now open. Tamara Wagman from the law firm of Frederick Dorbert Lawyers will serve as Inspector of Elections for today's Annual Meeting.

Good afternoon, everyone. This is Steve Bradshaw. Thank you for joining us. I'd also like to introduce Steven Nell. He's our Chief Financial Officer of the corporation.
And we're also joined by Frederick Dorwart and as you know, Tamara Wagner from Frederick Dorwert Lawyers, who serve as our Corporate Secretary and Assistant Corporate Secretary respectively. We are also joined by representatives from Ernst and Young, our independent auditors, who are available to respond to your questions, and we are also joined by a number of our Board of Directors.
We have 3 formal items of business today. 1st, to fix the number of directors to be elected at 24 and to elect 24 persons as directors for a term of 1 year or until their successors have been elected and qualified. 2nd item of business is to ratify Ernst and Young LLP as the company's independent auditor for the fiscal year ending December 31, 2020. And 3rd, to consider an advisory vote to approve the compensation of the named executive officers. Mr. Chairman, as Inspector of the Elections, I reviewed the proxies received prior to the meeting and the votes received during the meeting. Based on the preliminary count of proxies and ballots, each of the 24 director nominees has been elected to the Board of and third, the approval on an advisory basis of the compensation of named executive officers as disclosed in the company's proxy statement has been ratified.
