It is now my pleasure to turn today's meeting over to Vance Spilman, chairman of Blue Ridge Bankshares, Inc. Mr. Spilman, the floor is yours.
Thank you, good morning. It is my honor and pleasure to welcome each of you to this annual meeting of Blue Ridge Bankshares. I am acting as chairman of this annual meeting. At this time, I wish to call the meeting to order. Representatives from the company's independent registered public accounting firm, Elliott Davis, are attending this meeting today. Scott Richter, the company's legal counsel of the law firm Williams Mullen, is also in attendance. Thank you for participating in this virtual annual meeting today. I also thank the members of the board of directors and senior management for being in attendance. Amanda Story, Corporate Secretary, will act as the inspector of elections for this meeting.
The agenda for the meeting is, first, the formal determination of a quorum, and second, the consideration of two items, the election of directors, and the ratification of Elliott Davis as the company's independent registered public accounting firm for 2026. Thank you for voting early. It's been a great help to us. Ms. Story will report on the mailing of the notice of this meeting and the presence of a quorum.
Thank you, Vance. This meeting is held pursuant to printed notice mailed out on May 5th, 2026, to each shareholder of record on April 23rd, 2026, who is entitled to vote. All documents concerning the call and notice of the meeting, including the secretary's affidavit concerning mailing, will be filed with the records of the meeting. The count of holders of shares of the company's common stock immediately prior to the commencement of this meeting indicated that the holders of 80,605,074 shares of the company's common stock were in attendance at the meeting or represented by proxy. This represents 89.76% of the company's outstanding shares and a majority of the total votes eligible to be voted at this meeting, and a quorum.
I hereby declare a quorum present at the meeting. This meeting is duly constituted and officially convened. We now proceed with the business of this annual meeting. If there are no additional votes to be cast, the polls are now closed. First item is the election of directors. The shareholders have received proxy statements regarding proposed directors.
The following directors of Blue Ridge Bankshares have been elected to serve: Heather Cozart, Harry Golliday, Otis Jones, Anthony Scavuzzo, William Stokes, all with terms expiring in 2027.
The last item is to ratify the appointment of Elliott Davis PLLC as the company's independent registered public accounting firm for 2026.
Elliott Davis have been elected as the company's auditors for 2026.
If there is no other business, this concludes the formal business of our meeting. At this time, I'll ask Ms. Story to read any questions asked that pertain to the business of the meeting.
