Good morning, and welcome to Coeur Mining's Special Meeting of Stockholders. At this time, I'd like to turn the conference over to Mr. Mitchell J. Krebs, President, Chief Executive Officer, and Chairman of the Board of Directors of Coeur Mining. Mr. Krebs, please proceed.

Thank you, and hello, everyone. On behalf of the officers and directors of the company, I wanna welcome you all to Coeur's special stockholders meeting. Please be sure to reference the meeting agenda and the special meeting rules of conduct that have been posted on the virtual meeting website for relevant information. By hosting this meeting virtually, all stockholders are able to attend the meeting and vote as they would at an in-person meeting. Voting is now open, and any stockholder who hasn't already submitted a proxy and wishes to vote their shares may do so by clicking on the voting button on their screen. It isn't necessary to vote through the virtual meeting platform if you have already submitted your proxy to the company.

With that, let's get started. Joining me today is Casey Nault, Coeur's Senior Vice President, General Counsel, and Secretary. Casey Nault and Louis Larsen, who is with Broadridge Financial Solutions, are appointed to act as inspectors of election for this meeting. The meeting is now called to order and officially open. Adequate notice of this meeting was given to the stockholders of the company, as evidenced by the Affidavit of Distribution of the notice that was prepared by Broadridge, which completed the mailing of notices.

I will order the certificate and any related documents prepared by Broadridge to be filed with the permanent records of the company. The company has received proxies representing approximately 70% of the total shares of the company issued and outstanding as of the record date. A quorum is present at the meeting. We have two proposals to come before the stockholders for approval today. If there is any stockholder present who has not voted or who wishes to change an earlier vote, please vote online now. If you have previously voted by proxy, you do not need to vote today unless you would like to change your vote.

I will close the polls following the presentation of proposals. The first proposal being considered today is to approve the amendment to the Certificate of Incorporation of Coeur, as amended, to increase the number of authorized shares of Coeur common stock from 900 million to 1.3 billion shares. Our board of directors recommends the stockholders vote for this charter amendment proposal. The second proposal being considered today is to approve the issuance of shares of Coeur common stock to New Gold shareholders in connection with the arrangement. Our board of directors recommends the stockholders vote for this stock issuance proposal.

There being no further items of business to be presented for a stockholders' vote, the polls are hereby closed, and I will report the preliminary results of the voting. I am pleased to report that by an initial review of all shares voted, both proposals have been approved. At the adjournment of this meeting, the inspector will count and review the final votes received and promptly issue an inspector's report. The company will release the final vote results to the public no later than February 2nd, 2026 . This concludes our special meeting of stockholders. I now declare the meeting adjourned. We do have one shareholder question that's been submitted. The question relates to the amount of gold versus silver and other metals recovered in our various mines.

The five operations that we currently have, each has a separate revenue mix. Some are all gold, some are silver and gold. When we combine with the two operations from New Gold, the seven operations will have an overall metals mix of about 70% gold, about 20% silver, and about 10% copper. So hopefully that answers the question. Now, with that, I just wanna thank you for taking the time to join us today and for voting.
