Thank you. Good afternoon, ladies and gentlemen. Will the meeting please come to order? I would like to welcome all of you to the virtual annual meeting of Stockholders of Corvus Pharmaceuticals Incorporated. I am Richard Miller, the CEO and Chairman of Corvus' Board of Directors, and I will be presiding at this meeting.
Also present today are members of our Board of Directors. Michelle Liu of Latham and Watkins will act as Secretary of the meeting. Leif Lee, Corbus' CFO, has been appointed to act as Inspector of Election. Stockholders can submit questions related to the matters being acted upon at this meeting through the virtual meeting portal. The Secretary has delivered an affidavit of mailing establishing that notice of this meeting was duly given.
A copy of the notice of meeting and the affidavit of mailing will be incorporated into the minutes of the meeting. Only stockholders of record at the close of business on April 13, 2020 are entitled to vote at this meeting. Our first order of business is to determine whether the shares represented at the meeting, either in person or by proxy, are sufficient to constitute a quorum for the purpose of transacting business. Mr. Lee, do you have a report on the quorum?
Yes. The certified stockholders list shows that holders of 27,953,233 shares of common stock of the company are entitled to vote at this meeting. There are represented in person or by proxy 24,166,491 shares of our common stock or approximately 86% of all the shares entitled to vote at this meeting. Therefore, we have a quorum.
Thank you. Because holders of the majority of the shares entitled to vote at this meeting are present online or by proxy, I declare this meeting to be duly convened for purposes of transacting such business as may properly come before it. Please note that the polls are still open for shareholders to vote. So for shareholders who have not yet cast their vote via proxy or the virtual meeting portal, you will need to complete the process in the virtual meeting portal prior to the polls closing in order for your vote to be counted. The polls will be closing in a few minutes.
The next order of business is a a description of the matters to be voted on at today's meeting. Please note that the polls will be closing once I have finished discussing these proposals, so any final votes should be cast now. The first proposal to be voted upon is the election of 2 Class 1 Directors to serve until the Annual Meeting of Stockholders in 2023 and until their successors are duly elected and qualified. The nominees' qualifications are described in this year's proxy statement. Based on the recommendation of the governance and nominating committee, the Board has nominated for election the following persons as directors of the company, Doctors Richard Miller and Linda Grace.
The second proposal to be voted on is the ratification of PricewaterhouseCoopers to serve as the independent registered public accounting firm for the company for the fiscal year ending December 31, 2020. PricewaterhouseCoopers acted as the company's independent registered public accounting firm for the fiscal year ended December 31, 2019. Mr. Lee, have any questions come from stockholders regarding any of the proposals?
No, there are no questions regarding the proposals that have been submitted.
It is now time to move on to the voting. Please note that we are about to close the polls for voting at this meeting. Please remember that if you've already sent in your proxy card or voted by Internet or telephone, your shares have been voted accordingly. You do not need to vote today unless you are voting for the first time or want to change your previous vote. We are now going to take a short pause to allow for any stockholders who have not yet voted to do so.
I now declare the polls closed. We have been informed by the Inspector of Election that the proxies and ballots have been counted. Based on the preliminary vote totals, Richard Miller and Linda Grace have been elected to the Board of Directors and the selection of PricewaterhouseCoopers LLP as the company's independent registered public accounting firm for 2020 has been ratified. The final vote will be included in the company's current report on Form 8 ks to be filed with the Securities and Exchange Commission within 4 business days following this meeting. We have concluded the business part of the annual meeting.
