Morning. I'm Olivier Pomel, Chief Executive Officer at Datadog, and I'd like to welcome you to Datadog's special meeting of stockholders. With us today are senior leaders of Datadog, including David Obstler, Chief Financial Officer, Kerry Acocella, General Counsel and Secretary, and Yuka Broderick, Head of Investor Relations. The meeting will now officially come to order. We will proceed with the formal business of the meeting as set forth in your notice of special meeting and proxy statement. After the formal part of our meeting, we will give you an opportunity to ask questions. Will the secretary please provide a report regarding the mailing of the notice of the meeting and the stockholder list?

I have at this meeting a complete list of the stockholders of record of our Class A and Class B common stock on February 24th, 2026, the record date for this meeting. I also have an affidavit certifying that on February 27th, 2026, a notice of special meeting of stockholders of Datadog was deposited in the United States Mail to stockholders of record.

Speaker 2

At this time, I'd like to introduce Michael Barbaro of First Coast Results, who I'm appointing to act as Inspector of Election at this meeting. Mr. Barbaro has taken an oath of office to execute his duties impartially. We will file this oath with the records of the meeting.

I've been informed by the Inspector of Election that proxies have been received for approximately 57% of the aggregate voting power of the outstanding shares of common stock entitled to vote at this meeting. This constitutes a quorum for the meeting, and we may now carry out the official business of the meeting.

Speaker 2

We will now proceed with the formal business of this meeting. The first and only proposal to be voted on at this meeting is the re-domiciliation of the company from the state of Delaware to the state of Nevada by conversion. The board of directors unanimously recommended that you vote in favor of this proposal.

The time is now 10:02 A.M. on Tuesday, April 21, 2026, and the polls are now open for voting on the proposal. The agenda and rules of conduct for the meeting are posted on the Citrix special meetings portal. We will address questions during the Q&A portion of the meeting. If you have a question, please submit it in the fields below, Ask a Question, on the bottom left-hand corner of the special meeting portal. If you've already voted, there's no need to vote now unless you'd like to change your vote. If you've not voted and you'd like to vote now, or if you'd like to change your vote, click the Vote Here button at the bottom center of the special meeting portal. We'll pause for a moment to give anyone who hasn't yet voted a chance to vote.

As a reminder, each share of Class A common stock is entitled to one vote, and each share of Class B common stock is entitled to 10 votes. The time is 10:03 A.M. and the polls are now closed for voting. I have been informed by the Inspector of Election that based on the preliminary voting results, our stockholders have approved the proposal to re-domicile the company to the State of Nevada by conversion. We expect to report our final voting results on a current report on Form 8-K to be filed with the SEC within four business days after the end of this meeting.
