Good afternoon. I'm Lachlan Murdoch, Executive Chair and CEO of Fox Corporation. It is my pleasure to welcome you to this special meeting of stockholders. We are here today to consider a proposal to issue shares of our Class A common stock in connection with the proposed acquisition of Roku, Inc. This is a transformative transaction that will pair Fox's high impact live sports and news content with Roku's leading streaming distribution and technology platform.
The best source of information about the transaction and the proposed combination of Fox and Roku, including the matters presented at this meeting, is the joint proxy statement and prospectus filed with the SEC on September 1st, 2026. I now call the meeting to order. In accordance with the company's bylaws, Mr. Jim Wright, from American Election Services, LLC, has been appointed the independent inspector of election for this special meeting.
This meeting is held pursuant to a notice of special meeting of stockholders mailed on or about September 1st, 2026 to each record holder of a share of Class B common stock on August 27th, 2026, the record date fixed for determining stockholders entitled to notice of and vote at this special meeting. The agenda is accessible on the meeting portal and outlines how we will proceed with today's meeting. The inspector of election has examined the proxies received and reports that holders of a majority of the outstanding shares of Class B common stock entitled to vote at the meeting are present in person or represented by proxy.
Therefore, I hereby declare a quorum present at the meeting. On behalf of our Board of Directors, I would like to express my appreciation to all stockholders who returned their proxies. We open the polls through the meeting portal at 3:00 P.M. Eastern Time. Only Class B common stockholders of record, as of the record date or their valid proxy holders, are eligible to vote during this meeting. If you voted or returned a proxy card before the meeting, it is not necessary to vote again. If you wish to cast your vote now or wish to change or revoke a previous vote, you may do so by clicking the Vote Here button on the meeting portal.
The polls will close shortly following the presentation of the proposals before the meeting. We have two items on today's agenda. The first matter to be acted upon by the stockholders is Proposal I, which we refer to as the Fox Stock Issuance Proposal, to approve the issuance of Class A common stock of Fox Corporation pursuant to the Agreement and Plan of Merger dated as of June 14th, 2026, as it may be amended, restated, supplemented, or otherwise modified from time to time by and among Fox, Roku, and two wholly owned subsidiaries of Fox.
Approval of the Fox Stock Issuance Proposal requires the affirmative vote of a majority of the total votes cast by the holders of Class B common stock entitled to vote on the proposal. The Board of Directors recommends a vote for the approval of this proposal. The second matter to be acted upon is Proposal II, which we refer to as the Special Meeting Adjournment Proposal, to adjourn this special meeting from time to time, if necessary or appropriate, to solicit additional proxies in the event there are not sufficient votes at the time of this special meeting to approve the Fox Stock Issuance Proposal or if a quorum is not present at the special meeting.
Approval of this proposal requires the affirmative vote of a majority of the total votes cast by the holders of Class B common stock entitled to vote on the proposal. The Board of Directors recommends a vote for the approval of this proposal. We will now pause to permit any stockholders who wish to cast their votes to do so. As a reminder, if you have properly submitted your proxy card or voted by telephone or internet prior to this meeting, your vote has been received and will be counted by the inspector of election and no further action is needed at this time.
We will pause briefly to allow stockholders to submit their votes. It is now 3:05: 35 seconds Eastern Time on October 14th, 2026. The polls are now closed. A preliminary report of the inspector of election reflects that an overwhelming majority of eligible votes cast have been voted for the Stock Issuance Proposal, and so the proposal has been approved. Because a sufficient number of votes have been cast to approve the Fox Stock Issuance Proposal, the adjournment contemplated by the Fox Special Meeting Adjournment Proposal is not necessary, and the Fox Special Meeting Adjournment Proposal does not need to be presented to stockholders for approval or voted on at this meeting.
The final vote totals will not be known until the inspector of election certifies the tabulation after the meeting. We will then report the final results of this meeting in an SEC filing. On behalf of the company and the Board of Directors, thank you for your continued support. The meeting is now concluded. Thank you all very much for attending this special meeting, and have a great day.
