Welcome to the 2026 annual meeting of shareholders of Fortive Corporation. Our host for today's call is Sharmistha Dubey, Chair of the Board. At this time, all participants will be in a listen-only mode. I will now turn the call over to your host, Ms. Dubey. You may begin, ma'am.

Sharmistha Dubey
Chair of the Board, Fortive

Thank you. Good afternoon, ladies and gentlemen, and welcome to the 2026 annual meeting of shareholders of Fortive Corporation. I am Shar Dubey, Chair of the Board. We are once again holding our annual meeting in a virtual format. I would like to introduce the other directors of the company: Eric Branderiz, Dan Comas, Rejji Hayes, Wright Lassiter, Kate Mitchell, Greg Moore, Jeannine Sargent, and Olumide Soroye, who is also our President and CEO. I would like to take a moment to recognize Eric Branderiz, who is retiring at the conclusion of this meeting. We also have in attendance Mark Okerstrom, our Chief Financial Officer, Pete Underwood, our Chief Legal Officer, Christina Jones, our head of Investor Relations, and Daniel Kim, our Corporate Secretary. I would like to introduce Mark Foreman of Ernst & Young, the company's independent registered public accounting firm.

A list of shareholders entitled to vote at this meeting has been posted on this platform. We also posted the meeting agenda and rules and procedures. If you have not reviewed the rules and procedures, please review them now. I will begin with the formal portion of the meeting, and then we will end by answering some of your questions. This meeting is held pursuant to the notice dated April 29th, 2026. An affidavit showing the proper mailing of the notice will be filed with the records. The 2026 annual meeting of shareholders of Fortive Corporation will please come to order. The polls are now open for voting. The polls will close upon conclusion of discussion on the last item being voted on here today.

As a reminder, shareholders can vote their shares online from now through the closing of the polls by clicking the Vote Here button on this platform. If you have previously voted by proxy and do not wish to change your vote, your vote will be cast as you have previously instructed. Following the formal portion of this meeting, we will have a few minutes to answer any questions submitted by our shareholders. Shareholders who would like to submit a question may do so in the designated field on this platform. As a reminder, only shareholders may ask questions. Out of consideration for others, please limit yourself to one question each. Our Board has appointed Broadridge to act as Inspector of Election. Leah Grant from Broadridge is with us today, and she has taken the oath of office as required by law.

The oath of office will be filed with the minutes. Our corporate secretary has informed me that we have a quorum. In the interest of time, we will waive a reading of the minutes of the last annual meeting. There are three items of business to be conducted at today's meeting. Each item is described more fully in the company's 2026 proxy statement. At this time, no other proposals may be properly introduced. The first item of business is the election of Dan Comas, Char Dubey, Rejji Hayes, Wright Lassiter, Kate Mitchell, Greg Moore, Jeannine Sargent, and Olumide Soroye, each of whom has been nominated by the board to serve as a director until the 2027 annual meeting. The second item of business is the approval of the company's named executive officer compensation.

The third item of business is the proposed ratification of the selection of Ernst & Young as the company's independent registered public accounting firm for fiscal year 2026. The polls are now closed for voting. We will now report the preliminary voting results. I call on the inspector of election for her report.

Leah Grant
Inspector of Election, Broadridge

Ms. Dubey, the preliminary results are as follows. With respect to proposal one on the election of each of the eight director nominees, a majority of the votes cast were voted in favor of the election of each of the eight nominees. With respect to proposal two on the advisory vote on the company's named executive officer compensation, a majority of the shares present or represented by proxy and entitled to vote, voted in favor. Lastly, with respect to proposal three on the ratification of the selection of Ernst & Young LLP as Fortive's independent registered public accounting firm, a majority of the shares present or represented by proxy and entitled to vote, voted in favor.

Sharmistha Dubey

Thank you. In view of the results, I declare that each of the nominees for director has been duly elected and proposals two and three have been approved. We will report the final voting results in a current report on Form 8-K within four business days from today. Ladies and gentlemen, that completes the business of the meeting. I declare the formal portion of our meeting adjourned. At this point, I would like to take a few minutes to answer questions. Christina, can you read the first question?
