Thank you. Good morning. I am David Gandler, CEO and member of the board of FuboTV Inc., and the chairman of today's meeting. I am very happy to welcome you to our 2024 Annual Meeting of Shareholders, which we are holding virtually to facilitate broader access for our shareholders. Before I call the meeting to order, I'd like to introduce to you the other members of the board and the officers of the company who are with us today. The other members of the board in attendance are Edgar Bronfman Jr., our Executive Chairman, Ignacio Figueras, Neil Glat, Julie Hadden, Daniel Leff, and Laura Onopchenko. In addition, participating today are John Janedis, our Chief Financial Officer, and Gina DiGioia, our Chief Legal Officer and Corporate Secretary.
I would also like to introduce Michael Sambus and Mike Percent of KPMG LLP, the company's independent auditor, who will be available to respond to appropriate questions during the question-and-answer portion of the meeting. And finally, Jenna Cooper of Latham & Watkins LLP, the company's outside legal counsel, is also joining us today. I'd also like to note that today's remarks may include forward-looking statements. We will proceed with the formal business of the meeting as set forth in the Notice of Annual Meeting and Proxy Statement. I will now turn the meeting over to Gina DiGioia, who will conduct the formal part of the meeting.
The polls open today, June 18, 2024, at 12:00 P.M. Eastern Time for voting on all matters before the meeting. If you have not already voted and wish to vote, the polls will remain open until we finish presenting the proposals and close the polls. You do not need to vote during the meeting if you have already voted and do not wish to change your vote. On the virtual meeting web page, you will find the agenda for the meeting. You will also find the rules of conduct for today's meeting. Please review these rules carefully. Note that only shareholders who are logged into the meeting using their 16-digit control number will be able to vote and submit questions at today's meeting. We will file the proof of mailing of notice of the meeting with the records of the meeting.
All shareholders of record at the close of business on April 22, 2024, or holders of a valid proxy are entitled to vote at the meeting. A complete list of the holders of record of the outstanding shares of the company's common stock on the record date for the meeting is available on your screen if you have logged into the meeting using your 16-digit control number. At this time, I'd like to introduce Andrew Wilcox, a representative of Broadridge Financial Solutions. The board of directors has appointed a representative of Broadridge to act as inspector of election at today's meeting. Mr. Wilcox has signed the customary oath of office to execute his duties with strict impartiality. We will file this oath with the records of the meeting. I have been informed that a quorum is present.
Therefore, I hereby declare this meeting to be duly constituted for the transaction of business. We will now proceed with the formal business of this meeting. There are seven proposals to be considered by the shareholders. The company's board recommends that the shareholders vote for each of these proposals. The first item of business is the election of Edgar Bronfman Jr., David Gandler, Ignacio Figueras, Neil Glat, Julie Hadden, Daniel Leff, and Laura Onopchenko to serve as directors of the company for a term of office expiring at the annual meeting of the shareholders to be held in 2025. The second item of business is the ratification of the audit committee's appointment of KPMG LLP as the independent registered public accounting firm of the company for the year ending December 31, 2024.
The third item of business is the approval of the following resolution: Resolved that the shareholders of fuboTV Inc. approve on an advisory non-binding basis the 2023 compensation of fuboTV Inc.'s named executive officers as described in the summary compensation table and related compensation tables and narrative disclosure set forth in fuboTV Inc.'s proxy statement for the 2024 Annual Meeting of Shareholders. The fourth item of business is the approval of an amendment to the company's 2020 Equity Incentive Plan to, among other things, increase the number of shares of common stock available for issuance. The fifth item of business is the approval of the full settlement of conversions in company stock of the company's Convertible Senior Secured Notes due 2029. The sixth item of business is the approval of an amendment to the company's Articles of Incorporation that would increase the number of authorized shares of common stock.
The seventh item of business is the approval of the adjournment of the annual meeting if necessary to solicit additional proxies if there are not sufficient votes in favor of Proposal 4, Proposal 5, or Proposal 6. That was the final proposal for today's meeting. If you wish to vote and you haven't already, please vote now by clicking on the voting button on the web portal and following the instructions. You do not need to vote electronically if you have already sent in your signed proxy or if you have voted by telephone or internet. Thank you very much. I have received the preliminary report of the inspector of election to be kept with the company's records of the annual meeting. Based on this preliminary report of the inspector of election, David Gandler, Edgar Bronfman Jr., Ignacio Figueras, Neil Glat, Julie Hadden, Daniel Leff, and Laura Onopchenko have been elected as directors. The appointment of KPMG as our independent registered public accounting firm for the year ending December 31, 2024, has been ratified. The compensation of our named executive officers has been approved. The amendment to the company's 2020 equity incentive plan to, among other things, increase the number of shares of common stock available for issuance has been approved. The full settlement of conversions in common stock of the company's convertible senior secured notes due 2029 has been approved.
The amendment to the company's Articles of Incorporation to increase the number of authorized shares of common stock has been approved, and the adjournment of the annual meeting if necessary to solicit additional proxies if there are not sufficient votes in favor of Proposal 4, Proposal 5, or Proposal 6 has been approved. The final tally of the votes will be published within four business days in a current report on Form 8-K to be filed with the Securities and Exchange Commission.
