Good afternoon. Welcome to the Graco Inc. annual shareholder meeting. As a reminder, you can submit a question to management or the board of directors at any time during the meeting by typing it in the text box on your screen and clicking Submit. I would now like to turn the conference call over to Kevin Gilligan, Chairman of Graco Inc.'s Board of Directors. Mr. Gilligan, please go ahead.
The board of directors, Heather Anfang, Archie Black, Eric Etchart, Jodi Feragen, Marty Morfitt, Mark Sheahan, Andy Simon, and Kevin Wheeler. From Deloitte & Touche, Graco's independent auditors, Lindsay Simpson and Linda Schmitt. I'll now turn the meeting over to Graco's Executive Vice President, General Counsel, and Corporate Secretary, Joe Humke, who will take us through the business portion of the shareholders' meeting.
Good afternoon, everyone. I'm going to address the business portion of our meeting. I have an affidavit of Broadridge Financial Solutions, Inc. stating that notice of this meeting has been given to all shareholders entitled to vote at the meeting. The affidavit will be placed on file with the records of this meeting. There were 165,790,025 shares of the company's common stock, the only class of securities entitled to vote at this meeting, outstanding as of the close of business on February 23, 2026, the record date for the meeting. Prior to the convening of this meeting, based on the proxies on file as reported by the Inspector of Election, I determined that a quorum is present for purposes of conducting the business of the meeting. We have three items of business.
First, the election of four directors to three-year terms expiring in 2029: Marty Morfit, Mark Sheehan, Andy Simon, and Kevin Wheeler. The board of directors recommends that shareholders vote for the election of each of Ms. Morfit, Mr. Sheehan, Ms. Simon, and Mr. Wheeler. Second, the ratification of the appointment of Deloitte & Touche LLP as the company's independent registered public accounting firm for 2026. The board of directors recommends that the shareholders vote for the appointment of Deloitte & Touche. Third, the advisory vote on compensation for our named executive officers. The board of directors recommends that shareholders vote for the approval on an advisory basis of our executive compensation. Before I announce the results, a few words on voting procedures. The board of directors has appointed Broadridge Financial Solutions, Inc. and me as Inspectors of Election to conduct the voting at this meeting.
Tony Carideo from Broadridge has joined us today and has taken the oath of inspector. The written oath of office will be filed with the company's corporate records. The voting on the three items of business will be conducted with a single ballot. If you have sent in your paper proxy or exercised your right to vote via telephone or internet, your shares will be voted accordingly. The polls are now open. Any shareholder who hasn't yet voted may do so by clicking on the voting button on the web portal and following the instructions there. Now that everyone has had the opportunity to vote, I declare the polls for the 2026 Graco Inc. annual shareholder meeting closed.
I'm pleased to report that the Inspectors of Election have determined that there are sufficient votes to elect Ms. Morfitt, Mr. Sheahan, Ms. Simon, and Mr. Wheeler to the board for three-year terms expiring in 2029. There are also sufficient votes to ratify the appointment of Deloitte & Touche LLP as the company's independent registered public accounting firm for 2026. Lastly, there are also sufficient votes to approve, on an advisory basis, the compensation paid to our named executive officers. The final official results of the vote will be published in an 8-K, which will be filed within the next four business days. This concludes the corporate formalities. Now I would like to turn it over to our Chairman, Kevin Gilligan.
